2024版服務(wù)合同英語2024ServiceContractContractNumber:_______PartyA(Client):_______Address:_______LegalRepresentative:_______ContactNumber:_______PartyB(ServiceProvider):_______Address:_______LegalRepresentative:_______ContactNumber:_______ConsideringthatPartyArequirescertainservicestobeprovidedbyPartyB,andPartyBagreestoprovidethesaidservicesaccordingtothetermsandconditionsofthisContract,bothparties,inaccordancewiththe"ContractLawofthePeople'sRepublicofChina"andrelevantlawsandregulations,havereachedaconsensusonthebasisofequality,voluntariness,andgoodfaith,andherebyenterintothisServiceContract(hereinafterreferredtoas"thisContract"),whichshallbejointlyadheredto.Article1:DescriptionofServices1.1PartyBagreestoprovidethefollowingservicestoPartyA:_______.1.2Thespecificcontent,standards,andrequirementsoftheservicesaredetailedinAnnex1"ServiceDescriptionandRequirements".Article2:TermofService2.1ThetermofserviceunderthisContractshallcommenceon_______andconcludeon_______.2.2Shouldtheextensionoftheservicetermberequired,bothpartiesshallnegotiateinwritingatleast_______daysinadvance.Article3:ServiceFeesandPaymentTerms3.1ThetotalservicefeefortheservicestobeprovidedunderthisContractisRMB(inwords):_______(￥_______).3.2PartyAshallmakepaymentstoPartyBfortheservicesasfollows:3.2.1Within_______workingdaysaftersigningthisContract,PartyAshallpayPartyBanadvancepaymentof%ofthetotalservicefee,i.e.,RMB(inwords):_______(￥).3.2.2UponcompletionoftheservicesandacceptancebyPartyA,PartyAshallpaytheremainingamount,whichis%ofthetotalservicefee,i.e.,RMB(inwords):_______(￥),within_______workingdays.Article4:RightsandObligationsofPartyA4.1PartyAhastherighttosuperviseandinspecttheservicesprovidedbyPartyBandtomakesuggestionsforimprovement.4.2PartyAshallmakepaymentsoftheservicefeesinatimelyandfullamountasstipulatedinthisContract.4.3PartyAshallprovidenecessaryassistanceandinformationtoPartyBtoensurethesmoothprogressoftheservices.Article5:RightsandObligationsofPartyB5.1PartyBhastherighttoreceivetheservicefeesasstipulatedinthisContract.5.2PartyBshallprovideservicesthatmeettherequirementsofPartyAandensurethequalityoftheservices.5.3PartyBshallcomplywiththerelevantregulationsandrequirementsofPartyAandprotectthetradesecretsandintellectualpropertyrightsofPartyA.Article6:ServiceAcceptance6.1Uponcompletionoftheservices,PartyBshallpromptlynotifyPartyAforacceptance.6.2PartyAshallcompletetheacceptancewithin_______workingdaysafterreceivingthenotificationandissueanacceptancereport.6.3IftheservicesdonotmeettherequirementsofthisContract,PartyAhastherighttorequirePartyBtorectifywithin_______workingdays.Article7:LiabilityforBreachofContract7.1IfPartyAfailstomakepaymentsontime,itshallpayliquidateddamagestoPartyB,calculatedas:overduepaymentamount×_______%×numberofoverduedays.7.2IfPartyBfailstoprovideservicesontimeortheservicequalitydoesnotmeettherequirementsofthisContract,itshallpayliquidateddamagestoPartyA,calculatedas:amountofuncompletedservicepart×_______%.Article8:ModificationandTerminationoftheContract8.1OncethisContractissigned,neitherpartymayunilaterallymodifyorterminatetheContractwithouttheconsensusofbothparties.8.2IfforcemajeuremakestheperformanceoftheContractimpossible,bothpartiesmaynegotiatetomodifyorterminatetheContract.Article9:DisputeResolution9.1AnydisputesarisingduringtheperformanceofthisContractshallfirstberesolvedthroughfriendlynegotiation.9.2Ifnegotiationfails,eitherpartymaysubmitthedisputetothe_______ArbitrationCommissionforarbitrationinaccordancewiththerulesoftheCommission.Article10:ConfidentialityClause10.1BothpartiesshallkeepconfidentialthetradesecretsandtechnicalsecretslearnedduringtheperformanceofthisContract.10.2TheobligationofconfidentialityremainseffectiveevenaftertheterminationofthisContract.Article11:IntellectualPropertyRights11.1Theintellectualpropertyrightsofanymaterials,technologies,orinnovationsdevelopedbyPartyBinthecourseofprovidingservicesbelongtoPartyB,butPartyAhastherighttousethemwithinthescopestipulatedbythisContract.11.2Theintellectualpropertyrightsofmaterials,technologies,orinformationprovidedbyPartyAbelongtoPartyA,andPartyBcanonlyusetheminthecourseofprovidingservices.Article12:AdditionalTerms12.1Bothpartiesmaynegotiateadditionaltermsaccordingtospecificsituations.12.2AdditionaltermshavethesamelegaleffectasthisContract.Article13:EffectivenessoftheContract13.1ThisContractshallcomeintoeffectfromthedatewhenitissignedandsealedbytheauthorizedrepresentativesofbothparties.Article14:Miscellaneous14.1ThisContractismadeoutintwocopies,eachpartyholdingonecopy,withthesamelegaleffect.14.2MattersnotcoveredbythisContractshallbenegotiatedbybothparties.PartyA(Seal):_______AuthorizedRepresentativeSignature:_______Date:_______PartyB(Seal):_______AuthorizedRepresentativeSignature:_______Date:_______[EndofText]Article15:WarrantyandPost-ServiceSupport15.1PartyBshallprovideawarrantyfortheservicesandnecessarypost-servicesupportasstipulated.15.2ThewarrantyperiodfortheservicesprovidedbyPartyBshallbe_______monthsfromthedateofacceptance.Article16:ServiceQualityAs
