2.DeliveryTerms

4.QualityandInspection

5.IntellectualPropertyRights

PartyArepresentsandwarrantsthatithasfullrightsandtitletotheproductsandthattheproductsdonotinfringeanyintellectualpropertyrightsofanythirdparty.PartyBshallnotusetheproductsinanywaythatmayinfringetheintellectualpropertyrightsofPartyAoranythirdparty.

6.ForceMajeure

NeitherPartyshallbeliableforthefailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureofsuchcause.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[arbitrationinstitution].Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweenthePartieswithrespecttothesubjectmatterhereof.
