WHEREAS,PartyAisengagedin[briefdescriptionofPartyA'sbusiness];

WHEREAS,PartyBisacompanyspecializedin[briefdescriptionofPartyB'sbusiness];

WHEREAS,PartyAdesirestoengagePartyBfortheperformanceofcertainengineeringservicesonaninternationalproject(hereinafterreferredtoasthe"Project");and

WHEREAS,PartyBiswillingtoacceptsuchengagementandprovidethenecessaryservices.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.ScopeofWork

PartyBshallprovidethefollowingengineeringservicesfortheProject:

2.TimeofPerformance

PartyBshallcompletetheserviceswithinthetimeframespecifiedinExhibitAattachedhereto.

3.Compensation

PartyAshallpayPartyBthefeessetforthinExhibitBattachedhereto,inaccordancewiththepaymenttermsandconditionsspecifiedtherein.

4.IntellectualProperty

PartyBwarrantsthattheservicesprovidedunderthiscontractshallnotinfringeanythird-partyintellectualpropertyrights.AnyintellectualpropertycreatedbyPartyBinthecourseofperformingtheservicesshallbelongtoPartyA,asspecifiedinExhibitCattachedhereto.

5.Confidentiality

BothPartiesagreetomaintainstrictconfidentialitywithrespecttoanyproprietaryinformation,tradesecrets,orotherconfidentialinformationexchangedduringtheperformanceofthiscontract.Theobligationsofconfidentialityshallsurvivetheterminationorexpirationofthiscontract.

6.ForceMajeure

NeitherPartyshallbeliableforanydelayorfailureintheperformanceofitsobligationsunderthiscontractduetoanyunforeseencircumstancesoreventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,wars,riots,strikes,orgovernmentregulations.

7.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughamicablenegotiationbetweentheParties.IfthePartiesfailtoreachanagreement,suchdisputesshallbefinallysettledbyarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

8.GoverningLawandJurisdiction

Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].ThePartiesagreethatanylegalactionorproceedingsarisingoutofthiscontractshallbebroughtexclusivelyinthecompetentcourts/tribunalshavingjurisdictionin[City,Country].

9.EntireAgreement

ThiscontractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthiscontract.

10.AmendmentsandWaivers

AnyamendmentormodificationofthiscontractshallbeinwritingandsignedbybothParties.Awaiverofanyrightorobligationunderthiscontractshallnotbedeemedtobeawaiverofanyotherrightorobligation.
