OEMAgreement

ThisOEMAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[YourCompanyName](the"Supplier")and[OEMCompanyName](the"Manufacturer").

WHEREAS,Supplierisengagedinthedesign,development,andsupplyofcertainproducts(the"Products");

WHEREAS,ManufacturerdesirestoengageSuppliertomanufactureandsupplytheProductsforthepurposeofresaleunderManufacturer'sbrand;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:

1.GrantofRights

SuppliergrantsManufactureranon-exclusive,royalty-freelicensetouse,sell,distribute,market,andpromotetheProductsunderManufacturer'sbrandandtrademark,subjecttothetermsandconditionsofthisAgreement.

2.ManufacturingandSupply

SuppliershallmanufactureandsupplytheProductstoManufacturerinaccordancewiththespecifications,qualitystandards,anddeliveryschedulesmutuallyagreeduponbytheparties.

3.PricingandPaymentTerms

ManufacturershallpurchasetheProductsfromSupplieratthepricesmutuallyagreeduponinwriting.Paymenttermsshallbe[Specifypaymentterms,e.g.,net30days].

4.IntellectualPropertyRights

SupplierretainsallownershipandintellectualpropertyrightsintheProducts,includinganypatents,trademarks,copyrights,tradesecrets,andknow-how.ManufacturershallnotclaimanyownershiporintellectualpropertyrightsintheProducts.

5.Confidentiality

Bothpartiesagreetomaintaintheconfidentialityofanyproprietaryinformation,tradesecrets,orotherconfidentialinformationdisclosedbytheotherpartyduringthetermofthisAgreementandforaperiodof[Specifyduration,e.g.,fiveyears]afterterminationorexpirationofthisAgreement.

6.TermandTermination

ThisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodof[Specifyterm,e.g.,twoyears].EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofamaterialbreachthatremainsuncuredforaperiodof[Specifycureperiod,e.g.,30days].

7.Indemnification

SuppliershallindemnifyandholdManufacturerharmlessagainstanyclaims,losses,damages,liabilities,andexpensesarisingfromanythird-partyclaimsthattheProductsinfringeuponanyintellectualpropertyrightsofsuchthirdparty.

8.LimitationofLiability

Innoeventshalleitherpartybeliabletotheotherforanyindirect,incidental,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.

9.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Specifygoverningjurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[Specifydisputeresolutionmechanism,e.g.,negotiation,mediation,arbitration,orlitigation].

10.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

INWITNESSWHEREOF,thepartieshaveexecutedthisOEMAgreementasoftheEffectiveDatefirstabovewritten.
