**ContractforDeposit**
ThisContractforDeposit(the"Contract")ismadeandenteredintoasof[Date],byandbetween[Buyer'sName],hereinafterreferredtoasthe"Buyer",and[Seller'sName],hereinafterreferredtoasthe"Seller".
**Recitals**
WHEREAS,theBuyerwishestopurchasefromtheSellercertaingoodsorservices(the"Purchase"),asspecifiedinExhibitAattachedhereto;
WHEREAS,theSelleragreestosupplythePurchaseuponcertaintermsandconditions;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:
**Article1:DepositAmountandPayment**
1.1TheBuyeragreestopaytotheSelleradepositintheamountof[DepositAmount],asadownpaymentforthePurchase.
1.2TheDepositshallbepaidbytheBuyerwithin[Number]daysafterthedatehereof,bywiretransfertotheaccountoftheSellerspecifiedinExhibitBattachedhereto.
**Article2:PurposeofDeposit**
2.1TheDepositshallbeappliedbytheSellertowardsthePurchasePriceforthePurchase.
2.2TheDepositshallbeheldbytheSellerassecurityfortheperformancebytheBuyerofitsobligationsunderthisContract.
**Article3:RefundofDeposit**
3.1IntheeventthattheBuyerfailstofulfillitsobligationsunderthisContract,theSellershallbeentitledtoretaintheDepositasliquidateddamagesandnotasapenalty.
3.2IftheSellerfailstofulfillitsobligationsunderthisContract,theBuyershallbeentitledtoafullrefundoftheDeposit.
**Article4:ApplicationofDeposit**
4.1TheSellershallapplytheDeposittowardsthePurchasePriceforthePurchaseuponthefulfillmentoftheBuyer'sobligationsunderthisContract.
4.2AnyexcessoftheDepositafterapplicationtothePurchasePriceshallberefundedtotheBuyer.
**Article5:GoverningLawandJurisdiction**
5.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].
5.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].
**Article6:EntireAgreement**
6.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal.
6.2ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
