英文版房屋買賣合同的補充協(xié)議合同編號:__________supplementalagreementthissupplementalagreement(the"supplementalagreement")isenteredintoasof__________(the"effectivedate"),andbetween____________________________(the"seller")and____________________________(the"buyer")(eacha"party"andcollectivelythe"parties").RECITALS:WHEREAS,thepartieshaveenteredintothatcertainagreementforthesaleandpurchaseofacertainpropertylocatedat____________________,withalegaldescriptioninthepublicrecordsofthecountywherethepropertyislocated(the"deedoftrust"),whichdeedoftrustisrecordedasinstrumentnumber__________inthepublicrecordsofsaidcounty(the"originalcontract");andWHEREAS,thepartiesdesiretomodifyandsupplementthetermsoftheoriginalcontractassetforthherein.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesagreeasfollows:ARTICLE1:MODIFICATIONSTOTHEORIGINALCONTRACT1.1.Amendments.Theoriginalcontractishereamendedandrestatedinitsentiretyassetforthinthissupplementalagreement.1.2.AdditionalTerms.Thepartiesheretoagreetoincludethefollowingadditionaltermsandconditions:(a)Thepurchasepriceforthepropertyshallbeincreasedanadditional__________dollars($__________),resultinginanewtotalpurchasepriceof__________dollars($__________).(b)Theclosingdateforthetransactionshallbeextendedto__________(the"newclosingdate").Thepartiesagreetousereasonableeffortstocoordinateandscheduletheclosingaccordingly.(c)Thebuyershallberesponsibleforthepaymentofallclosingcostsandexpensesassociatedwiththetransaction,includingbutnotlimitedtoattorney'sfees,insurancepremiums,andescrowfees.(d)Thesellershallprovidethebuyerwithageneralwarrantydeedconveyinggoodandmarketabletotheproperty,freeandclearofallliensandencumbrances.(e)Thepartiesagreetoexecuteanddeliversuchfurtherdocumentsandinstrumentsasmaybenecessaryorappropriatetogiveeffecttothetermsofthissupplementalagreement.ARTICLE2:CONSIDERATIONThepartiesagreethattheconsiderationforthissupplementalagreementisthemutualpromisescontainedhereinandtheadditionaltermsandconditionssetforthinarticle1.ARTICLE3:REPRESENTATIONSANDWARRANTIESEachpartyrepresentsandwarrantstotheotherpartyasfollows:3.1.Authority.Theexecutingpartyhasthelegalcapacitytoenterintothissupplementalagreementandtoperformitsobligationshereunder.3.2.ValidandBinding.Thissupplementalagreementconstitutesalegal,valid,andbindingobligationofeachparty,enforceableagainstsuchpartyinaccordancewithitsterms.ARTICLE4:TERMINATIONThissupplementalagreementmaybeterminatedandthetransactioncontemplatedheremaybeabandonedatanytimepriortothenewclosingdatemutualwrittenconsentoftheparties.ARTICLE5:MISCELLANEOUS5.1.GoverningLaw.Thissupplementalagreementshallbegovernedandconstruedinaccordancewiththelawsofthestateof__________________,withoutregardtoitsconflictoflawsprinciples.5.2.EntireAgreement.Thissupplementalagreement(includingtheexhibitshereto)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.5.3.AmendmentsandModifications.Thissupplementalagreementmaybeamendedormodifiedonlyawritteninstrumentexecutedallparties.iftotheseller:____________________________________________________________________________________iftothebuyer:____________________________________________一、附件列表:1.房屋買賣合同原件2.補充協(xié)議草稿3.房產(chǎn)證復印件4.買賣雙方身份證明復印件5.付款憑證復印件6.房產(chǎn)評估報告復印件7.交易過程中的其他相關文件二、違約行為及認定:1.賣家逾期交付房屋2.買家逾期支付購房款3.賣家未能提供清晰產(chǎn)權(quán)證明4.買家未能按照合同約定配合辦理過戶手續(xù)5.雙方未能在約定的closingdate完成交易6.除上述違約行為外,任何一方違反合同約定的其他條款三、法律名詞及解釋:1.違約行為:一方或雙方未履行合同約定的義務2.closingdate:交易完成的期限3.產(chǎn)權(quán)證明:證明房屋所有權(quán)的法律文件4.過戶手續(xù):將房屋所有權(quán)轉(zhuǎn)移至買家名下的手續(xù)5.購房款:買家根據(jù)合同約定支付給賣家的款項四、執(zhí)行中遇到的問題及解決辦法:1.賣家逾期交付房屋:解決辦法:買家有權(quán)要求賣家支付違約金,或者在嚴重情況下要求解除合同。2.買家逾期支付購房款:解決辦法:賣家有權(quán)要求買家支付違約金,或者在嚴重情況下要求解除合同。3.賣家未能提供清晰產(chǎn)權(quán)證明:解決辦法:買家有權(quán)要求賣家承擔因此造成的一切損失,并要求解除合同。4.買家未能按照
