2.PriceandPaymentTerms

5.PropertyandRiskofLoss

TitletotheVehicleshallpasstotheBuyeruponfullpaymentofthePurchasePrice.TheriskoflossordamagetotheVehicleshallpasstotheBuyerupondeliveryoftheVehicletotheBuyeroritsdesignatedagent.

6.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofGermany.

7.EntireAgreement

ThisAgreement,togetherwiththeexhibitsattachedhereto,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

8.ModificationsandWaiver

AnymodificationoramendmenttothisAgreementmustbeinwritingandsignedbybothparties.Nofailuretoexercise,andnodelayinexercising,anyright,power,orprivilegehereundershalloperateasawaiverthereof,norshallanysingleorpartialexerciseofanyright,power,orprivilegehereunderprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.

9.Attorneys'Fees

IntheeventofanydisputeorcontroversyarisingoutoforrelatingtothisAgreement,theprevailingpartyshallbeentitledtorecoverreasonableattorneys'feesandexpensesincurredinconnectionwithsuchdisputeorcontroversy.

10.Signatures

7.PartyA'sRightsandBenefits

b.PartyAshallhavetherighttocancelthisAgreementandreceiveafullrefundofthePurchasePriceiftheVehicledoesnotmeettheagreed-uponspecificationsorifanyrepresentationsmadebyPartyBarefoundtobefalse.

c.PartyAshallhavetherighttoseeklegalremediesagainstPartyBforanybreachofthisAgreement.

8.PartyB'sLiabilityandLimitations

a.PartyBshallbeliableforanydefectsintheVehiclethatarisefromfaultymanufacturingorworkmanship.

b.PartyBshallnotbeliableforanydamagetotheVehiclethatoccursafterdeliverytoThirdParty.

9.GoverningLaw

10.ModificationsandWaiver
