3.DELIVERYANDACCEPTANCE

6.TERMINATION

6.2UponterminationofthisAgreement,theBuyershallpaytheSellerforanyGoodsdeliveredpriortotheterminationdate.

7.FORCEMAJEURE

7.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.

8.DISPUTERESOLUTION

8.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.

8.2IntheeventthatthePartiesfailtoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
