(b)Therearenooutstandingjudgments,liens,orencumbrancesagainsttheProperty.

(c)ThePropertyisfreefromanyviolationsofzoninglaws,buildingcodes,orotherregulations.

4.2PartyBrepresentsandwarrantsthat:

(a)PartyBhasthelegalcapacitytoenterintothisContractandpurchasetheProperty.

(b)PartyBhasconductedduediligenceonthePropertyandisawareofallrelevantinformationregardingtheProperty.

5.Indemnification

5.1PartyAshallindemnify,defend,andholdharmlessPartyBfromandagainstanyandallclaims,actions,liabilities,losses,damages,orexpensesarisingoutoforresultingfromanybreachofthisContractbyPartyA.

5.2PartyBshallindemnify,defend,andholdharmlessPartyAfromandagainstanyandallclaims,actions,liabilities,losses,damages,orexpensesarisingoutoforresultingfromanybreachofthisContractbyPartyB.
