heDesignerandConstructorinperformingtheirobligationsunderthiscontract.13.2工程量清單Thedetailedengineering量表attachedheretoasExhibitCsetsforththescopeofworkandquantitiesfortheproject,andshallbeusedasabasisfortheprogresspaymentsandfinalpaymentunderthiscontract.13.3相關(guān)資質(zhì)證明文件第十四條雙方簽字蓋章頁Thepartieshaveexecutedthiscontracttheirrespectiveauthorizedrepresentativesasofthedatefirstabovewritten.第二部分：第三方介入后的修正第一條第三方定義與責任1.1第三方定義Forthepurposesofthiscontract,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnottheClient,Designer,orConstructor,andisinvolvedintheperformanceofthiscontract.1.2第三方責任TheThirdPartyshallberesponsiblefortheirownactsandomissionsintheperformanceoftheirobligationsunderthiscontract,andshallindemnifyandholdharmlesstheClient,Designer,andConstructorfromandagainstanyandallclaims,damages,losses,andexpensesresultingfromorarisingoutoftheThirdParty'sperformanceornonperformanceoftheirobligations.第二條第三方選擇與審批2.1第三方選擇TheClient,Designer,andConstructorshallhavetherighttoselectandengageThirdPartiestoperformcertaintasksorservicesinconnectionwiththeproject.2.2第三方審批AnyThirdPartyengagedanypartymustbeapprovedtheotherpartiesinwriting,andsuchapprovalshallnotbeunreasonablywithheldordelayed.第三條第三方協(xié)調(diào)與溝通3.1第三方協(xié)調(diào)3.2第三方溝通第四條第三方違約處理4.1第三方違約IntheeventofamaterialbreachofthiscontracttheThirdParty,thenonbreachingpartiesshallhavetherighttoterminatetheThirdParty'sinvolvementintheprojectandseekdamagesinaccordancewiththerelevantlawsandregulations.4.2第三方違約處理TheClient,Designer,andConstructorshallhavetherighttotakesuchactionsasarenecessarytomitigatetheeffectsoftheThirdParty'sbreachandtopursueanyandallremediesavailabletothemunderthiscontractoratlaw.第五條第三方責任限額5.1第三方責任限額TheliabilityoftheThirdPartyunderthiscontractshallbelimitedtotheextentprovidedinthiscontractandshallnotexceedtheamountspecifiedintherelevantclauseofthiscontract.5.2第三方責任限制TheThirdPartyshallnotbeliableforanyindirect,consequential,orpunitivedamagesarisingoutoforinconnectionwiththiscontract,andshallnotbeliableforanyclaimsordemandsexceedingtheamountspecifiedintherelevantclauseofthiscontract.第六條第三方與其他各方的關(guān)系6.1第三方與甲方關(guān)系TheThirdPartyacknowledgesthattheyareanindependentcontractorandnotanagent,employee,orrepresentativeoftheClient,andthattheyhavenoauthoritytobindtheClientortomakerepresentationsorwarrantiesonbehalfoftheClient.6.2第三方與乙方關(guān)系TheThirdPartyacknowledgesthattheyareanindependentcontractorandnotanagent,employee,orrepresentativeoftheDesignerorConstructor,andthattheyhavenoauthoritytobindtheDesignerorConstructorortomakerepresentationsorwarrantiesonbehalfoftheDesignerorConstructor.第七條第三方介入的額外條款7.1第三方介入條款ThepartiesagreetoincludeinthiscontractsuchadditionaltermsandconditionsasmaybenecessaryorappropriatetoaddresstheinvolvementoftheThirdPartyintheperformanceofthiscontract.7.2第三方條款的修改ThepartiesagreethattheyshallhavetherighttomodifyoramendthiscontracttoincludeanyadditionaltermsandconditionsthatmaybenecessaryorappropriatetoaddresstheinvolvementoftheThirdPartyintheperformanceofthiscontract.第八條第三方權(quán)益的保護8.1第三方權(quán)益保護ThepartiesagreetotakeallnecessarystepstoprotecttherightsandinterestsoftheThirdPartyinconnectionwiththeperformanceofthiscontract.8.2第三方權(quán)益的維護ThepartiesagreetoindemnifyandholdharmlesstheThirdPartyfromandagainstanyandallclaims,damages,losses,andexpensesresultingfromorarisingoutoftheperformanceornonperformanceoftheirobligationsunderthiscontract.第九條第三方退出機制9.1第三方退出機制ThepartiesagreetoestablishamechanismfortheorderlyandefficientterminationoftheThirdParty'sinvolvementintheprojectintheeventthattheThirdPartybreachesthiscontractorotherwiseceasestoperformtheirobligationsunderthiscontract.9.2第三方退出后的處理UpontheterminationoftheThirdParty'sinvolvementintheproject,thepartiesagreetotakeallnecessarystepstomitigatetheeffectsofsuchterminationandtopursueanyandallremediesavailable第三部分：其他補充性說明和解釋說明一：附件列表：1.設(shè)計方案與施工圖紙
