WHEREAS,theClubisaprivateclubofferingvariousrecreational,social,andleisureactivitiestoitsmembers;
WHEREAS,theMemberdesirestobecomeamemberoftheClubandenjoythebenefitsandprivilegesassociatedwithsuchmembership;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:
1.Membership.TheMemberagreestobecomeamemberoftheClubandpayallapplicablefeesandduesasrequiredbytheClub.
2.ClubRulesandRegulations.TheMemberagreestocomplywithallrules,regulations,andpoliciesoftheClubasmaybeestablishedfromtimetotime.
3.AccesstoFacilities.TheMembershallhavetherighttoaccesstheClub'sfacilities,subjecttoanylimitationsorrestrictionsimposedbytheClub.
4.DuesandFees.TheMembershallpayallapplicableduesandfeesinaccordancewiththeClub'spaymentscheduleandterms.
5.TerminationofMembership.TheClubmayterminatetheMember'smembershipuponfailuretocomplywithanytermorconditionofthisAgreementoranybreachoftheClub'srulesandregulations.
6.Indemnification.TheMemberagreestoindemnifyandholdharmlesstheClub,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeMember'suseoftheClub'sfacilitiesorparticipationinClubactivities.
7.Confidentiality.ThepartiesagreetomaintaintheconfidentialityofallinformationobtainedduringthecourseofthisAgreement,includingbutnotlimitedtofinancialinformation,memberlists,andproprietaryinformation.
8.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].
9.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.
10.Modifications.AnymodificationoramendmenttothisAgreementmustbemadeinwritingandexecutedbybothparties.

1.Membership.TheMemberPartyagreestobecomeamemberoftheClubPartyandpayallapplicablefeesandduesasrequiredbytheClubParty.
2.ThirdPartyServices.TheThirdPartyshallprovidethefollowingservicestotheClubPartyandMemberParty:
a.ManagementofClubOperations
b.MaintenanceandRepairofClubFacilities
c.ProvisionofAdditionalServicesasagreeduponbytheparties
3.ThirdParty'sObligations:
a.TheThirdPartyshallperformitsservicesinaprofessionalandcompetentmanner.
b.TheThirdPartyshallmaintainappropriateinsurancecoverageforitsoperations.
c.TheThirdPartyshallcomplywithallapplicablelawsandregulations.
4.ClubParty'sRights:
a.TheClubPartyhastherighttoterminatetheThirdParty'sservicesuponthirty(30)days'writtennotice,intheeventofabreachofthisAgreementoranyapplicablelawsandregulations.
b.TheClubPartyhastherighttoinspectandaudittheThirdParty'srecordsandoperationstoensurecompliancewiththisAgreement.
c.TheClubPartyhastherighttorequestmodificationsorimprovementstotheservicesprovidedbytheThirdParty.
5.MemberParty'sRights:
a.TheMemberPartyhastherighttoaccesstheClubParty'sfacilitiesandenjoythebenefitsofmembership.
b.TheMemberPartyhastherighttoreceiveupdatesandnotificationsregardingClubPartyactivitiesandevents.
c.TheMemberPartyhastherighttoparticipateinClubPartyprogramsandactivities.
6.ThirdParty'sLiability:
a.TheThirdPartyshallindemnifyandholdharmlesstheClubPartyandtheMemberPartyagainstanyclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeThirdParty'snegligenceorwillfulmisconduct.
b.TheThirdPartyshallbeliableforanydamagesorlossescausedbythefailuretoperformitsservicesinaccordancewiththisAgreement.
7.MemberParty'sObligations:
a.TheMemberPartyshallcomplywithallClubPartyrulesandregulations.
b.TheMemberPartyshallpayallapplicablefeesandduesinatimelymanner.
c.TheMemberPartyshallnotusetheClubParty'sfacilitiesforanyillegalorunauthorizedactivities.
8.ThirdParty'sLimitations:
a.TheThirdPartyshallnotassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheClubParty.
b.TheThirdPartyshallnotengageinanyactivitythatcouldreasonablybeexpectedtodamagethereputationorgoodwilloftheClubPartyortheMemberParty.
9.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].

ThePrincipalClubLocation,astheprimarycontractingparty,maintainsadominantroleinthisAgreementtosafeguarditsinterestsandensurethedeliveryofhigh-qualityservicestotheMemberParty.ByspecifyingtherightsandobligationsoftheClubParty,theAgreementprotectsthePrincipalClubLocation'sinvestmentintheClubandguaranteestheprovisionofamenitiesandactivitiesthatalignwiththeMemberParty'sexpectations.ThisapproachisessentialformaintainingtheClubParty'sreputationandensuringtheongoingsuccessoftheClub.

b.ThePropertyManagershallensurethesafetyandsecurityoftheResidentsandtheirproperty.
c.ThePropertyManagershallenforcetherulesandregulationsofthePropertiestomaintainorderandharmonyamongResidents.
3.Resident'sRights:
a.TheResidenthastherighttooccupythepurchasedorleasedunitintheProperties.
b.TheResidenthastherighttousethecommonareasandfacilitiesoftheProperties,subjecttotherulesandregulations.
c.TheResidenthastherighttoreceivetimelyupdatesandnotificationsregardingthePropertiesandanychangestotherulesandregulations.
4.Developer'sRights:
a.TheDeveloperhastherighttoapproveorrejectanyproposedchangestothePropertyManager'soperations.
b.TheDeveloperhastherighttoinspectthePropertiesandthePropertyManager'sperformance.
c.TheDeveloperhastherighttoterminatethePropertyManager'sservicesifthePropertyManagerfailstomeettheagreed-uponstandards.
5.Resident'sObligations:
a.TheResidentshallcomplywiththerulesandregulationsoftheProperties.
b.TheResidentshallpayallapplicablefeesandchargesinatimelymanner.
c.TheResidentshallnotengageinanyactivitythatcouldreasonablybeexpectedtodamagethePropertiesorthereputationofthePropertyManager.
6.Developer'sLimitations:
a.TheDevelopershallnotunreasonablywithholdapprovalofchangestothePropertyManager'soperations.
b.TheDevelopershallprovidethePropertyManagerwithreasonableaccesstothePropertiesforthepurposeofperformingitsduties.
c.TheDevelopershallnotassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofthePropertyManager.
7.PropertyManager'sLiability:
a.ThePropertyManagershallindemnifyandholdharmlesstheDeveloperandtheResidentsagainstanyclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththePropertyManager'snegligenceorwillfulmisconduct.
b.ThePropertyManagershallbeliableforanydamagesorlossescausedbythefailuretoperformitsservicesinaccordancewiththisAgreement.
