國(guó)有企業(yè)變革管理手冊(cè)合同編號(hào):__________甲方(委托方):__________乙方(受托方):__________鑒于甲方為一家國(guó)有企業(yè),為實(shí)現(xiàn)企業(yè)轉(zhuǎn)型升級(jí),提高企業(yè)核心競(jìng)爭(zhēng)力,擬對(duì)現(xiàn)有管理體系進(jìn)行變革,乙方為專業(yè)管理咨詢機(jī)構(gòu),具備豐富的管理變革經(jīng)驗(yàn),雙方本著平等自愿、誠(chéng)實(shí)守信的原則,就甲方企業(yè)管理變革事宜達(dá)成如下協(xié)議:一、合作目標(biāo)1.1甲方希望通過(guò)本次管理變革,優(yōu)化組織結(jié)構(gòu),提高管理效率,降低運(yùn)營(yíng)成本,提升員工素質(zhì),增強(qiáng)企業(yè)市場(chǎng)競(jìng)爭(zhēng)力。1.2乙方應(yīng)根據(jù)甲方的實(shí)際情況,提供有針對(duì)性的管理變革方案,協(xié)助甲方實(shí)施管理變革,確保甲方管理變革目標(biāo)的實(shí)現(xiàn)。二、合作內(nèi)容2.1乙方應(yīng)進(jìn)行甲方企業(yè)管理現(xiàn)狀的診斷,分析甲方企業(yè)管理存在的問(wèn)題,為甲方提供針對(duì)性的變革方案。2.2乙方應(yīng)協(xié)助甲方制定管理變革計(jì)劃,包括變革的步驟、時(shí)間節(jié)點(diǎn)、責(zé)任人和預(yù)期成果等。2.3乙方應(yīng)根據(jù)甲方需求,為甲方提供管理培訓(xùn)、人才培養(yǎng)、制度建設(shè)等方面的支持。2.4乙方應(yīng)定期對(duì)甲方管理變革情況進(jìn)行跟蹤評(píng)估,確保甲方管理變革的順利進(jìn)行。三、合作期限3.1本協(xié)議自雙方簽字蓋章之日起生效,有效期為_(kāi)___年。3.2乙方應(yīng)在協(xié)議有效期內(nèi)完成甲方委托的管理變革工作。四、費(fèi)用及支付方式4.1甲方應(yīng)支付乙方管理咨詢費(fèi)共計(jì)人民幣_(tái)___元(大寫:____________________元整)。4.2乙方提供服務(wù)過(guò)程中發(fā)生的其他費(fèi)用,如差旅費(fèi)、住宿費(fèi)等,由甲方承擔(dān)。4.3甲方應(yīng)按照本協(xié)議約定的時(shí)間節(jié)點(diǎn)支付乙方咨詢費(fèi)。五、保密條款5.1雙方在合作過(guò)程中所獲悉的對(duì)方商業(yè)秘密、技術(shù)秘密、市場(chǎng)信息等,應(yīng)予以嚴(yán)格保密。5.2保密期限自本協(xié)議簽訂之日起算,至協(xié)議終止或履行完畢之日止。六、違約責(zé)任6.1雙方應(yīng)嚴(yán)格按照本協(xié)議約定履行各自的權(quán)利和義務(wù)。如一方違約,應(yīng)承擔(dān)違約責(zé)任,向守約方支付違約金,并賠償因此給對(duì)方造成的損失。七、爭(zhēng)議解決7.1雙方在履行本協(xié)議過(guò)程中發(fā)生的爭(zhēng)議,應(yīng)通過(guò)友好協(xié)商解決;協(xié)商不成的,可以向有管轄權(quán)的人民法院提起訴訟。八、其他約定8.1本協(xié)議一式兩份,甲乙雙方各執(zhí)一份。8.2本協(xié)議自甲乙雙方簽字蓋章之日起生效。甲方(委托方):__________乙方(受托方):__________簽訂日期:___________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________
