2.Territory

c.MaintaintheconfidentialityofallinformationprovidedbythePrincipal;

d.UsereasonableeffortstopromoteandsellthePrincipal’sproductsorservices;

e.NotengageinanyactivitiesthatmaybedetrimentaltothePrincipal’sreputationorbusiness.

7.IntellectualProperty

AllintellectualpropertyrightsassociatedwiththePrincipal’sproductsorservicesshallremainthepropertyofthePrincipal.TheAgentshallnotacquireanyrightsorinterestsinsuchintellectualproperty.

8.Termination

ThisAgreementmaybeterminatedbyeitherPartyupon[NoticePeriod]writtennoticetotheotherParty,providedthatsuchterminationdoesnotprejudiceanyrightsorobligationsthathavealreadyarisenunderthisAgreement.

9.Indemnification

ThePartiesagreetoindemnify,defend,andholdharmlesstheotherPartyagainstanyandallclaims,actions,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeperformanceornon-performanceofthisAgreement.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

11.EntireAgreement
