Now,therefore,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.TheGuarantorherebyundertakestoguaranteethePrincipal'srepaymentoftheloan,includingprincipal,interest,andotherrelatedfees,inaccordancewiththetermsandconditionsoftheloanagreement(hereinafterreferredtoas"theLoanAgreement")enteredintobetweenthePrincipalandtheLender.

2.TheGuarantoragreestopaytheBeneficiarythefullamountoftheguaranteeddebtupontheoccurrenceofthefollowingevents:

a)ThePrincipalfailstorepaytheloaninaccordancewiththetermsandconditionsoftheLoanAgreement;

b)ThePrincipalisdeclaredbankruptorinsolvent;

c)ThePrincipalissubjecttoanylegalproceedingsthatmayresultinthenon-repaymentoftheloan;

d)AnyothereventthatmayresultintheBeneficiary'slossoftheloan;

e)Anyothereventagreeduponbythepartiesinwriting.

3.TheGuarantorshallnotbereleasedfromitsguaranteeobligationsuntilthePrincipalhasfullyrepaidtheloantotheLender,includingprincipal,interest,andotherrelatedfees.

4.TheBeneficiarymay,atitssolediscretion,assignitsrightsandobligationsunderthisContracttoanythirdparty.

5.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof__________.AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtof__________forarbitration.
