iplinaryPolicyTheEmployershallhaveadisciplinarypolicyinplacetoaddressanybreachesoftheAgreementorconductthatisdeemedinappropriate.10.2GroundsforDisciplinaryActionGroundsfordisciplinaryactionmayincludebutarenotlimitedto:Unacceptableperformanceorconduct.Grossmisconduct.10.3AppealProcessAnyEmployeewhoissubjecttodisciplinaryactionshallhavetherighttoappealthedecisioninaccordancewiththeEmployer'sinternalappealprocess.11.TerminationofEmployment11.1NoticePeriodUponterminationofthisAgreement,theEmployeeshallprovide[NoticePeriod]ofwrittennoticetotheEmployer,unlesstheEmployeeisterminatedforcauseortheAgreementisterminatedmutualagreement.11.2SeverancePayIntheeventofterminationofthisAgreement,theEmployeeshallbeendto[SeverancePayAmount],subjecttothetermsandconditionssetforthinthisAgreement.11.3PostTerminationRestrictions12.ConfidentialityandDataProtection12.1ConfidentialityObligationsTheEmployeeagreestokeepconfidentialallconfidentialinformationoftheEmployer,includingbutnotlimitedtotradesecrets,customerinformation,andbusinessstrategies.12.2DataProtection12.3ReturnofCompanyProperty13.GoverningLawandDisputeResolution13.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Country/State].13.2DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism,e.g.,mediation,arbitration,orlitigation].14.MiscellaneousProvisions14.1AmendmentsAnyamendmenttothisAgreementshallbemadeinwritingandshallbesignedbothParties.14.2EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.14.3SignaturesThisAgreementshallbeexecutedintwocopies,eachPartyretainingoneoriginal.第二部分:第三方介入后的修正1.IntroductiontoThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnotaPartytothisAgreementbutisengagedinprovidingservices,goods,orassistancetoeitherPartyortotheperformanceofthisAgreement.Thisincludes,butisnotlimitedto,consultants,suppliers,contractors,intermediaries,andfinancialinstitutions.2.ScopeofThirdPartyInvolvement2.1TypesofThirdPartyServicesTheinvolvementofThirdPartiesmayinclude,butisnotlimitedto,thefollowingservices:Recruitmentservicesforhiringpersonnel.Traininganddevelopmentprograms.ITsupportandmaintenanceservices.Legalandfinancialadvisoryservices.Logisticsandtransportationservices.3.RightsandObligationsofThirdParties3.1ThirdPartyRightsThirdPartiesshallhavetherightto:ReceivepaymentforservicesrenderedinaccordancewiththisAgreement.Beprovidedwithnecessaryinformationandresourcestoperformtheirservices.BetreatedfairlyandwithrespectbothParties.3.2ThirdPartyObligationsThirdPartiesshallbeobligatedto:Performtheirservicesinaprofessionalandtimelymanner.Complywithallapplicablelaws,regulations,andstandards.MaintainconfidentialityofanyconfidentialinformationprovidedeitherParty.4.ThirdPartyAgreements4.1TermsofEngagementAllagreementswithThirdPartiesshallbeinwritingandshallinclude,butnotbelimitedto,thefollowing:Thescopeofservicestobeprovided.Thedurationoftheagreement.Thefeesandpaymentterms.Confidentialityprovisions.Terminationclauses.5.LimitationofLiabilityforThirdParties5.1GeneralLimitationTheliabilityofanyThirdPartyforanybreachofthisAgreementoranyactoromissionarisingoutoforinconnectionwiththeperformanceofthisAgreementshallbelimitedtotheamountpaidtherelevantPartytotheThirdPartyfortheservicesrendered.5.2ExclusionofCertainLiabilityNotwithstandingtheabove,theliabilityofanyThirdPartyshallnotextendtoanyindirect,special,orconsequentialdamages,includingbutnotlimitedtolossofprofit,lossofbusiness,orlossofdata.6.DisputeResolution6.1ThirdPartyDisputesAnydisputesarisingbetweenaThirdPartyandeitherPartyshallberesolvedbetweenthepartiesinvolved,withoutinvolvingtheotherPartytothisAgreement.6.2ArbitrationIfadisputecannotberesolvedamicably,itshallbesubmittedtoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].7.ThirdPartyChanges7.1SubstitutionAPartymaysubstituteaThirdPartyforanotherwithouttheconsentoftheotherParty,providedthatthesubstitutedThirdPartymeetstherequirementssetforthinthisAgreementandisacceptabletotheotherParty.7.2NotificationThePartysubstitutingaThirdPartyshallnotifytheotherPartyinwritingofthesubstitutionatleast[NoticePeriod]beforetheeffectivedateofthesubstitution.8.Confidentiality8.1ThirdPartyConfidentialityAnyThirdPartyengagedeitherPartyshallberequiredtosignaconfidentialityagreementthatbindsthemtomaintaintheconfidentialityofallinformationreceivedinconnectionwiththeperformanceofthisAgreement.8.2ConfidentialityofThirdPartyInformationThePartiesshallrespecttheconfidentialityofanyinformationprovidedaThirdPartyandshallnotdisclosesuchinformationtoanyunauthorizedpersonorentity.9.GoverningLawTheprovisionsofthisSection9shallbegovernedandconstruedinaccordancewiththelawsof[Country/State].10.EntireAgreementThisSection9,togetherwithanyThirdPartyagreements,constitutestheentireagreementbetweenthePartiesregard
