AUTOMOBILELEASINGAGREEMENT

ThisAUTOMOBILELEASINGAGREEMENT(the"Agreement")ismadeandenteredintothis[insertday]dayof[insertmonth],[insertyear],byandbetween[insertLessor'sfulllegalname],a[insertLessor'sstateofincorporation]corporationwithitsprincipalplaceofbusinessat[insertLessor'saddress](hereinafterreferredtoas"Lessor"),and[insertLessee'sfulllegalname],anindividualresidingat[insertLessee'saddress](hereinafterreferredtoas"Lessee").

WHEREAS,LessoristheownerofcertainautomobilesandiswillingtoleasesaidautomobilestoLesseeuponthetermsandconditionssetforthherein;and

WHEREAS,LesseedesirestoleasefromLessortheautomobilesdescribedhereinonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedinthisAgreement,thepartiesheretoagreeasfollows:

1.LEASEDAUTOMOBILES

LessorherebyleasestoLessee,andLesseeherebyleasesfromLessor,thefollowingautomobiles(the"LeasedAutomobiles"):

2.TERMOFLEASE

ThetermofthisAgreement(the"Term")shallcommenceonthedatefirstabovewrittenandshallcontinueforaperiodof[insertnumber]years(the"InitialTerm"),unlesssoonerterminatedasprovidedinthisAgreement.

3.RENTALFEE

LesseeshallpaytoLessorarentalfee(the"RentalFee")intheamountof[insertamount]per[insertperiod],payableinadvanceonthefirstdayofeach[insertperiod]duringtheTerm.TheRentalFeeisnon-refundableandshallbepaidwithoutoffset,deduction,orcounterclaim.

4.MAINTENANCEANDREPAIR

LesseeshallberesponsiblefortheregularmaintenanceandrepairoftheLeasedAutomobilesduringtheTerm,includingbutnotlimitedtooilchanges,tirerotations,andanyothernecessarymaintenanceasrecommendedbythemanufacturer.LesseeshallpromptlyrepairanydamagetotheLeasedAutomobiles,normalwearandtearexcepted.

5.INSURANCE

Lesseeshallmaintaininfullforceandeffect,atLessee'ssolecostandexpense,insurancecoveragefortheLeasedAutomobileswithareputableinsurancecompany,inanamountnotlessthan[insertamount]forcomprehensiveandcollisioncoverage,and[insertamount]forliabilitycoverage.LesseeshallprovideLessorwithcertificatesofinsuranceevidencingtherequiredcoverage.

6.USEOFLEASEDAUTOMOBILES

LesseeshallusetheLeasedAutomobilesonlyforpersonal,non-commercialpurposesandshallnotpermitanyotherpersontooperatetheLeasedAutomobileswithoutLessor'spriorwrittenconsent.Lesseeshallnotsell,assign,transfer,mortgage,pledge,orencumbertheLeasedAutomobilesoranyinteresttherein.

7.TITLEANDPOSSESSION

TitletotheLeasedAutomobilesshallatalltimesremainwithLessor.LesseeshallhavetherighttopossessandusetheLeasedAutomobilesduringtheTerm,subjecttothetermsandconditionsofthisAgreement.

8.DEFAULT

IfLesseefailstopayanyRentalFeewhendue,orifLesseefailstocomplywithanyothertermorconditionofthisAgreement,Lessormay,inadditiontoanyotherremediesavailableatlaworinequity,declareallunpaidRentalFeesimmediatelydueandpayableandmayrepossesstheLeasedAutomobileswithoutnotice.

9.TERMINATION

ThisAgreementmaybeterminatedbyLessoratanytimeuponwrittennoticetoLesseeifLesseeisindefaultunderanytermorconditionofthisAgreementandfailstocuresuchdefaultwithin[insertnumber]daysafterwrittennoticefromLessor.

10.RETURNOFLEASEDAUTOMOBILES

UpontheexpirationorearlierterminationoftheTerm,LesseeshallreturntheLeasedAutomobilestoLessoratLessee'sexpense,inthesameconditionaswhenreceived,ordinarywearandtearexcepted.

11.INDEMNIFICATION

Lesseeshallindemnify,defend,andholdLessorharmlessfromandagainstanyandallclaims,demands,causesofaction,liabilities,losses,damages,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwith(i)Lessee'suseoftheLeasedAutomobiles,or(ii)anybreachbyLesseeofanytermorconditionofthisAgreement.

12.ASSIGNMENT

LesseeshallnotassignthisAgreementoranyinteresthereinwithoutthepriorwrittenconsentofLessor.Anypurportedassignmentwithoutsuchconsentshallbenullandvoid.

13.ENTIREAGREEMENT

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,representations,warranties,andagreements,whetherwrittenororal.

14.SEVERABILITY

IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

15.GOVERNINGLAW

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[insertstate],withoutregardtoprinciplesofconflictsoflaw.

16.NOTICES

AnynoticerequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedeffectiveuponpersonaldelivery,orthreedaysafterdepositintheUnitedStatesmail,certifiedorregistered,returnreceiptrequested,oronedayafterdepositwithanationallyrecognizedovernightcourier,asfollows:

17.WAIVER

Thefailureofeitherpartytoinsistuponstrictadherencetoanytermorconditionofthis
