otlessthan[Number]dayspriortotheeffectivedateoftermination.14.3ConsequencesofTermination:UponterminationofthisAgreement,thepartiesshallimmediatelyceaseallactivitieshereunderandshallreturnanyConfidentialInformationreceivedtotheotherparty.第二部分：第三方介入后的修正1.IntroductiontoThirdPartyInvolvement1.1.Thepartiesmay,attheirsolediscretion,involvethirdpartiesintheperformanceofthisAgreement,includingbutnotlimitedtoconsultants,agents,intermediaries,andsuppliers.1.2."ThirdParty"referstoanyentityorindividualnotapartytothisAgreementthatisengagedeitherpartytoassistinthefulfillmentoftheirobligationsunderthisAgreement.2.RolesandResponsibilitiesofThirdParties2.1.ThirdpartiesshallperformtheirservicesinaccordancewiththetermsandconditionssetforthinthisAgreementandanyadditionalagreementsenteredintobetweenthepartiesandthethirdparty.2.2.Theobligationsofthethirdpartyshallbesolelybetweenthethirdpartyandthepartyengagingthem,andshallnotcreateanydirectobligationsorliabilitiesfortheotherparty.3.ThirdPartyApproval3.1.Anythirdpartyengagedeitherpartymustbeapprovedinwritingtheotherpartypriortothethirdparty'sengagement.3.2.Theapprovalprocessshallincludeareviewofthethirdparty'squalifications,experience,andabilitytoperformtherequiredservices.4.AdditionalTermsandConditionsforThirdPartyInvolvement4.1.TheengagingpartyshallensurethatthethirdpartyisboundconfidentialityobligationsequivalenttothosesetforthinthisAgreement.4.2.Theengagingpartyshallprovidethethirdpartywithallnecessaryinformationandresourcestoperformtheirserviceseffectively.4.3.Theengagingpartyshallbesolelyresponsibleforthesupervisionandmanagementofthethirdparty'sperformance.5.LimitationofLiabilityforThirdParties5.1.TheliabilityofanythirdpartyfortheiractionsoromissionsunderthisAgreementshallbelimitedtotheextentthatsuchliabilityarisesfromtheirownnegligenceorwillfulmisconduct.5.2.Theengagingpartyshallindemnifytheotherpartyagainstanyclaimsordamagesarisingfromthethirdparty'sperformanceorfailuretoperformtheirobligationsunderthisAgreement,totheextentthatsuchclaimsordamagesarenotcoveredthethirdparty'sinsuranceorarenottheresultoftheengagingparty'snegligenceorwillfulmisconduct.6.ThirdPartyInsurance6.2.Theengagingpartyshallprovideproofofsuchinsurancetotheotherpartyuponrequest.7.DisputeResolutionInvolvingThirdParties7.1.Anydisputesarisingbetweenthethirdpartyandeitherpartyshallberesolvedbetweenthethirdpartyandtheengagingpartyinaccordancewiththetermsoftheiragreement.7.2.Iftheengagingpartyandthethirdpartyareunabletoresolvethedispute,thepartiesshallseekresolutionthrougharbitrationorlitigationasprovidedforinthisAgreement.8.TerminationofThirdPartyInvolvement8.1.Theengagingpartymayterminatetheinvolvementofathirdpartyatanytimeuponwrittennotice,providedthatsuchterminationdoesnotaffecttheobligationsofthethirdpartyunderthisAgreement.8.2.Theotherpartyshallnotbeliableforanycostsordamagesincurredthethirdpartyasaresultofsuchtermination.9.ThirdPartyIndependence9.1.Thirdpartiesshallactindependentlyandshallnotbedeemedagentsoremployeesofeitherparty.9.2.Thethirdparty'sobligationsunderthisAgreementshallbesolelytotheengagingpartyandnottotheotherparty.10.ThirdPartySubcontracting10.1.TheengagingpartymaysubcontractanyoftheirobligationsunderthisAgreementtoathirdparty,providedthatsuchsubcontractingdoesnotaffectthequalityortimelinessoftheservicestobeprovided.10.2.TheengagingpartyshallremainresponsiblefortheperformanceofthesubcontractedobligationsandshallensurethatthesubcontractorisboundthetermsofthisAgreement.11.ThirdPartyChangestoScopeofWork11.1.Anychangestothescopeofworkperformedathirdpartyshallbesubjecttothepriorwrittenapprovaloftheotherparty.11.2.Changestothescopeofworkmayresultinadjustmentstothefees,timelines,andothertermsoftheAgreement,asagreedtheparties.12.ThirdPartyPerformanceReviews12.2.Theengagingpartyshallprovidetheotherpartywithasummaryoftheperformancereviewsuponrequest.13.ThirdPartyIndemnification13.1.Theengagingpartyshallindemnifytheotherpartyagainstanyclaimsordamagesarisingfromthethirdparty'sperformanceorfailuretoperformtheirobligationsunderthisAgreement,totheextentthatsuchclaimsordamagesarenotcoveredthethirdparty'sinsuranceorarenottheresultoftheengagingparty'snegligenceorwillfulmisconduct.14.ThirdPartyCompliancewithLawsandRegulations第三部分：其他補充性說明和解釋說明一：附件列表：1.ProductCatalogue:Detaileddescriptionoftheproductstobesupplied,includingspecifications,prices,andquantities.2.PaymentSchedule:Ascheduleoutliningthedatesandamountsofpaymentstobemadethebuyer.3.DeliverySchedule:Ascheduleoutliningthedatesandquantitiesofdeliveriestobemadetheseller.4.QualityAssurancePlan:Adocumentoutliningthequalitycontrolmeasurestobeimplementedtheseller.5.NonDisclosureAgreement:Alegaldocumentoutliningtheconfidentialityobligationsoftheparties.6.InsuranceCertificate:Adocumentfromtheseller'sinsuranceproviderverifyingthattherequiredinsurancecoverageisinplace.7.ThirdPartyApprovalLetter:Aletterfromtheotherpartyapprovingtheengagementofathirdparty.8.ThirdPartyContract:Acontractbetweentheengagingpartyandthethirdpartydetailingthescopeofworkandtermsofengagement
