采購(gòu)合同英文合同word合同編號(hào)：__________本采購(gòu)合同（以下簡(jiǎn)稱“合同”）由以下雙方于[合同簽訂日期]簽訂：甲方（采購(gòu)方）：公司名稱：法定代表人：地址：聯(lián)系方式：電子郵箱：乙方（供應(yīng)方）：公司名稱：法定代表人：地址：聯(lián)系方式：電子郵箱：1.Preface1.1IntroductionThisContractismadeandenteredintoandbetweenPartyAandPartyBforthepurposeofpurchasing[CommodityName]fromPartyB.ThepartiesagreetobeboundthetermsandconditionssetforthinthisContract.1.2DefinitionsandInterpretationsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsascribedtothem:"Commodity"means[CommodityName]tobesuppliedPartyBtoPartyA."DeliveryDate"meansthedateonwhichtheCommodityistobedeliveredtoPartyA."ForceMajeureEvent"meansaneventbeyondthecontroloftheparties,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentactions.2.CommodityandQuantity2.1CommodityDetailsPartyBshallsupplytoPartyA[CommodityName]withthefollowingspecifications:[SpecifythedetailedspecificationsoftheCommodity,suchassize,color,material,etc.]2.2QuantitySpecificationsThequantityoftheCommoditytobepurchasedPartyAfromPartyBis[Quantity].Thequantitymaybeadjustedmutualagreementofthepartiesinwriting.3.PriceandPayment3.1PriceTermsThetotalpricefortheCommodityis[TotalPrice].ThepriceincludesthecostoftheCommodity,packaging,anddeliverytothedesignatedlocation.3.2PaymentMethodsPartyAshallmakepaymenttoPartyBinthefollowingmanner:[Specifythepaymentmethod,suchasbanktransfer,creditcard,etc.].Paymentshallbemadewithin[PaymentDueDate]daysafterthereceiptoftheinvoice.3.3InvoiceandBillingPartyBshallissueaninvoicetoPartyAwithin[InvoiceIssuanceDate]daysafterthedeliveryoftheCommodity.TheinvoiceshallincludethedetailsoftheCommodity,theprice,andanyapplicabletaxes.4.DeliveryandShipping4.1DeliveryTimeandPlacePartyBshalldelivertheCommoditytothedesignatedlocationat[DeliveryAddress]onorbefore[DeliveryDate].Ifthedeliveryisdelayed,PartyBshallnotifyPartyAinwritingandprovideanewestimateddeliverydate.4.2ShippingArrangementsPartyBshallberesponsibleforarrangingtheshippingoftheCommodity.Theshippingcostsshallbeborne[PartytoBearShippingCosts].PartyBshallensurethattheCommodityisproperlypackagedandinsuredduringtransportation.4.3TitleandRiskofLossTitletotheCommodityshallpasstoPartyAupondelivery.RiskoflossordamagetotheCommodityshallpasstoPartyAupondeliveryatthedesignatedlocation.5.QualityandInspection5.1QualityStandardsTheCommodityshallmeetthefollowingqualitystandards:[Specifythequalitystandards,suchasindustrystandards,nationalstandards,etc.].PartyBshallensurethattheCommodityisfreefromdefectsandconformstothespecificationsagreeduponinthisContract.5.2InspectionProceduresPartyAshallhavetherighttoinspecttheCommodityupondelivery.IftheCommodityisfoundtobenonconformingordefective,PartyAshallnotifyPartyBwithin[InspectionPeriod]daysafterthedelivery.PartyBshallberesponsibleforrectifyingthedefectsorreplacingthenonconformingCommodityatitsownexpense.5.3RejectionandRemediesIftheCommodityfailstomeetthequalitystandardsorisotherwisenonconforming,PartyAreservestherighttorejecttheCommodity.Insuchcase,PartyBshallrefundthepurchasepriceandbearanylossesanddamagesincurredPartyAasaresultofthenonconformance.6.WarrantyandGuarantee6.1ProductWarrantyPartyBwarrantsthattheCommodityisfreefromdefectsinmaterialandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.DuringtheWarrantyPeriod,PartyBshallrepairorreplaceanydefectiveCommodityatnoadditionalcosttoPartyA.6.2WarrantyPeriodTheWarrantyPeriodshallmenceonthedateofdeliveryandshallexpireafter[WarrantyPeriod]months.6.3RemediesforWarrantyClaimsIntheeventofawarrantyclaim,PartyAshallnotifyPartyBinwritingwithintheWarrantyPeriod.PartyBshall,atitsoption,eitherrepairorreplacethedefectiveCommodityorrefundthepurchaseprice.PartyBshallberesponsibleforallcostsassociatedwiththewarrantyservice,includinglabor,materials,andtransportation.7.IntellectualPropertyRights7.1OwnershipofIntellectualPropertyAllintellectualpropertyrightsinandtotheCommodity,includingbutnotlimitedtopatents,copyrights,andtrademarks,shallremainthepropertyoftherespectiveowner.PartyBwarrantsthattheCommoditydoesnotinfringeanythirdpartyintellectualpropertyrights.7.2ProtectionofIntellectualPropertyThepartiesshalltakereasonablemeasurestoprotecttheintellectualpropertyrightsoftheotherparty.Neitherpartyshalldiscloseorusetheotherparty'sintellectualpropertywithoutthepriorwrittenconsentoftheowner.8.Confidentiality8.1DefinitionofConfidentialInformation"ConfidentialInformation"meansanyinformationdisclosedonepartytotheotherpartyinconnectionwiththisContractthatismarkedasconfidentialorthatreasonablyshouldbeconsideredconfidentialgiventhenatureoftheinformationandthecircumstancesofthedisclosure.8.2ObligationsofConfidentialityThepartiesshallmaintaintheconfidentialityoftheConfidentialInformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.ThepartiesshallusetheConfidentialInformationonlyforthepurposesofthisContract.8.3ExceptionstoConfidentialityTheobligationsofconfidentialityshallnotapplytoinformationthat:(a)isorbeespubliclyavailablethroughnofaultofthereceivingparty;(b)islawfullyreceivedfromathirdpartywithoutobligationofconfidentiality;or(c)isindependentlydevelopedthereceivingpartywithoutreferencetotheConfidentialInformation.9.LimitationofLiability9.1GeneralLimitationofLiabilityInnoeventshalleitherpartybeliabletotheotherpartyforanyindirect,incidental,consequential,special,orpunitivedamages,includingbutnotlimitedtolossofprofits,lossofbusiness,orlossofdata,arisingoutoforinconnectionwiththisContract,whetherincontract,tort,orotherwise,excepttotheextentsuchdamagesareexpresslyprovidedforinthisContract.9.2ExceptionstoLimitationofLiabilityNotwithstandingtheforegoing,neitherparty'sliabilityfordeathorpersonalinjurycauseditsnegligence,forfraudorfraudulentmisrepresentation,orforanyotherliabilitythatcannotbeexcludedorlimitedlawshallbelimitedorexcluded.10.ForceMajeure10.1DefinitionofForceMajeureA"ForceMajeureEvent"meansaneventorcircumstancethatisbeyondthereasonablecontrolofapartyandthatpreventsordelaystheperformanceofthatparty'sobligationsunderthisContract,includingbutnotlimitedtoactsofGod,war,terrorism,strikes,lockouts,riots,civilmotion,naturaldisasters,governmentactions,andshortagesofmaterialsorlabor.10.2NoticeandMitigationIfapartyisaffectedaForceMajeureEvent,thatpartyshallpromptlynotifytheotherpartyinwritingofthenature,extent,andexpecteddurationoftheForceMajeureEventandshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureEvent.10.3EffectsofForceMajeureIfaparty'sperformanceofitsobligationsunderthisContractispreventedordelayedaForceMajeureEvent,thetimeforperformanceofthoseobligationsshallbeextendedforaperiodequaltothedurationoftheForceMajeureEvent.However,iftheForceMajeureEventcontinuesforaperiodofmorethan[ForceMajeurePeriod]days,eitherpartymayterminatethisContractgivingwrittennoticetotheotherparty.11.Termination11.1GroundsforTerminationThisContractmaybeterminatedeitherpartyinthefollowingcircumstances:(a)iftheotherpartymateriallybreachesthisContractandfailstocurethebreachwithin[CurePeriod]daysafterreceivingwrittennoticeofthebreach;(b)iftheotherpartybeesinsolvent,filesforbankruptcy,orhasareceiverappointedoveritsassets;or(c)iftheperformanceofthisContractisrenderedimpossibleaForceMajeureEventthatcontinuesforaperiodofmorethan[ForceMajeurePeriod]days.11.2ProcedureforTerminationIntheeventoftermination,theterminatingpartyshallgivewrittennoticetotheotherpartyspecifyingthegroundsfortermination.Upontermination,thepartiesshallsettletheiraccountsanddischargetheirobligationsasprovidedinthisContract.11.3ConsequencesofTerminationUponterminationofthisContract,allrightsandobligationsofthepartiesunderthisContractshallcease,exceptforthoserightsandobligationsthatexpresslysurvivetermination.PartyAshallreturnanyunusedCommoditytoPartyB,andPartyBshallrefundthepurchasepriceforthereturnedCommodity.12.DisputeResolution12.1NegotiationIntheeventofadisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Thepartiesshallappointrepresentativeswhoshallmeetwithin[NegotiationPeriod]daysafterthenoticeofthedisputetoattempttoresolvethedispute.12.2MediationIfthenegotiationfailstoresolvethedisputewithin[MediationPeriod]daysafterthemencementofthenegotiation,thepartiesmayagreetosubmitthedisputetomediation.Themediationshallbeconductedinaccordancewiththerulesof[MediationInstitution].12.3ArbitrationorLitigationIfthemediationfailstoresolvethedisputeorifthepartiesdonotagreetosubmitthedisputetomediation,thedisputeshallberesolvedarbitrationorlitigation.Ifthepartiesagreetoarbitration,thearbitrationshallbeconductedinaccordancewiththerulesof[ArbitrationInstitution].Ifthepartiesdonotagreetoarbitration,thedisputeshallbesubmittedtothecourtsof[Jurisdiction].13.GoverningLawandJurisdiction13.1ApplicableLawThisContractshallbegovernedandconstruedinaccordancewiththelawsof[ApplicableLawJurisdiction].13.2JurisdictionAnydisputearisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Juris
