5.Confidentiality:Bothpartiesagreetokeepconfidentialanyandallinformation,documents,anddataobtainedduringtheexecutionofthisContract,exceptforinformationthatisalreadypubliclyavailableordisclosedbylaw.

6.TerminationofContract:ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingcircumstances:

a.TheotherpartyfailstoperformitsobligationsunderthisContractwithintheagreedtimeframeandfailstorectifythesituationwithin[Number]daysuponreceivingwrittennoticefromtheaggrievedparty;

b.TheotherpartycommitsamaterialbreachofthisContractandfailstorectifythesituationwithin[Number]daysuponreceivingwrittennoticefromtheaggrievedparty;

c.Eitherpartyisdissolvedordeclaredbankruptbyacompetentauthority;

d.Anyothercircumstancesasagreeduponbybothpartiesinwriting.

7.DisputeResolution:AnydisputesarisingfromtheexecutionofthisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifthedisputescannotberesolvedthroughnegotiations,theyshallbesubmittedto[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.

8.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].

SUMMARY:
