nAnydisputesarisingoutoforinconnectionwiththeinvolvementofaThirdPartyunderthisAgreementshallberesolvedinaccordancewiththedisputeresolutionmechanismsetforthinthisAgreement.9.ModificationstoThirdPartyInvolvementAnymodificationstotheinvolvementofaThirdPartyunderthisAgreementshallbemadeinwritingandshallbeagreeduponboththeDisclosingPartyandtheReceivingParty.10.ThirdPartyDefinitionandScopeForthepurposesofthisAgreement,theterm“ThirdParty”shallinclude,butnotbelimitedto:AnyentityorindividualthathasaccesstoConfidentialInformationinthecourseofprovidingservicestotheDisclosingPartyortheReceivingParty.AnyentityorindividualthatisapartytoanyagreementorarrangementwiththeDisclosingPartyortheReceivingPartythatrequiresthedisclosureofConfidentialInformation.AnyentityorindividualthatisasubcontractororsuppliertotheDisclosingPartyortheReceivingPartyandhasaccesstoConfidentialInformationasaresultofsuchsubcontractingorsupplying.11.ThirdPartyRightsandObligationsTherightsandobligationsofaThirdPartyunderthisAgreementshallbeasfollows:TherighttoreceiveanduseConfidentialInformationsolelyforthepurposeofperformingtheservicesrequiredunderthisAgreement.TheobligationtomaintaintheconfidentialityoftheConfidentialInformationinaccordancewiththetermsofthisAgreement.12.ThirdPartyIdentificationTheDisclosingPartyshallprovidetheReceivingPartywiththename,address,andcontactinformationofanyThirdPartythatwillbeengagedintheperformanceofthisAgreement.TheReceivingPartyshallhavetherighttorequestadditionalinformationregardingtheThirdParty,includingitsconfidentialityandsecuritypolicies.13.ThirdPartyPerformance14.ThirdPartyDisputeResolutionIntheeventofanydisputebetweenthepartiesregardingtheinvolvementofaThirdParty,thepartiesshallattempttoresolvethedisputethroughnegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothejurisdictionofthecourtsof[Jurisdiction].15.ThirdPartySubstitutionTheDisclosingPartymaysubstituteaThirdPartyforanyexistingThirdPartywithouttheconsentoftheReceivingParty,providedthatthesubstitutedThirdPartyisboundconfidentialityobligationsatleastasstringentasthosecontainedinthisAgreementandisengagedtoperformthesameorsubstantiallysimilarservices.16.ThirdPartyIndemnificationTheDisclosingPartyagreestoindemnifyandholdtheReceivingPartyharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheactsoromissionsofaThirdPartyinconnectionwiththeperformanceofthisAgreement,providedthattheReceivingPartypromptlynotifiestheDisclosingPartyofsuchclaim.17.ThirdPartyTermination18.ThirdPartyDefinitionandScopeForthepurposesofthisAgreement,theterm“ThirdParty”shallinclude,butnotbelimitedto:AnyentityorindividualthathasaccesstoConfidentialInformationinthecourseofprovidingservicestotheDisclosingPartyortheReceivingParty.AnyentityorindividualthatisapartytoanyagreementorarrangementwiththeDisclosingPartyortheReceivingPartythatrequiresthedisclosureofConfidentialInformation.AnyentityorindividualthatisasubcontractororsuppliertotheDisclosingPartyortheReceivingPartyandhasaccesstoConfidentialInformationasaresultofsuchsubcontractingorsupplying.19.ThirdPartyRightsandObligationsTherightsandobligationsofaThirdPartyunderthisAgreementshallbeasfollows:TherighttoreceiveanduseConfidentialInformationsolelyforthepurposeofperformingtheservicesrequiredunderthisAgreement.TheobligationtomaintaintheconfidentialityoftheConfidentialInformationinaccordancewiththetermsofthisAgreement.20.ThirdPartyIdentificationTheDisclosingPartyshallprovidetheReceivingPartywiththename,address,andcontactinformationofanyThirdPartythatwillbeengagedintheperformanceofthisAgreement.TheReceivingPartyshallhavetherighttorequestadditionalinformationregardingtheThirdParty,includingitsconfidentialityandsecuritypolicies.21.ThirdPartyPerformance22.ThirdPartyDisputeResolutionIntheeventofanydisputebetweenthepartiesregardingtheinvolvementofaThirdParty,thepartiesshallattempttoresolvethedisputethroughnegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothejurisdictionofthecourtsof[Jurisdiction].23.ThirdPartySubstitutionTheDisclosingPartymaysubstituteaThirdPartyforanyexistingThirdPartywithouttheconsentoftheReceivingParty,providedthatthesubstitutedThirdPartyisboundconfidentialityobligationsatleastasstringentasthosecontainedinthisAgreementandisengagedtoperformthesameorsubstantiallysimilarservices.24.ThirdPartyIndemnificationTheDisclosingPartyagreestoindemnifyandholdtheReceivingPartyharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheactsoromissionsofaThirdPartyinconnectionwiththeperformanceofthisAgreement,providedthattheReceivingPartypromptlynotifiestheDisclosingPartyofsuchclaim.25.ThirdPartyTermination26.ThirdPartyDefinitionandScopeForthepurposesofthisAgreement,theterm“ThirdParty”shallinclude,butnotbelimitedto:AnyentityorindividualthathasaccesstoConfidentialInformationinthecourseofprovidingservicestotheDisclosingPartyortheReceivingParty.AnyentityorindividualthatisapartytoanyagreementorarrangementwiththeDisclosingPartyortheReceivingPartythatrequiresthedisclosureofConfidentialInformation.AnyentityorindividualthatisasubcontractororsuppliertotheDisclosingPartyortheReceivingPartyandhasaccesstoConfidentialInformationasaresultofsuchsubcontractingorsupplying.27.ThirdPartyRightsandObligationsTherightsandobligationsofaThirdPartyunderthisAgreementshallbeasfollows:TherighttoreceiveanduseConfidentialInformationsolelyforthepurposeofperformingtheservicesrequiredunderthisAgreement.TheobligationtomaintaintheconfidentialityoftheConfidentialInformationinaccordancewiththetermsofthisAgreement.28.ThirdPartyIdentificationTheDisclosingPartyshallprovidetheReceivingPartywiththename,address,andcontactinformationofanyThirdPartythatwillbeengagedintheperformanceofthisAgreement.TheReceivingPartyshallhavetherighttorequestadditionalinformationregardingtheThirdParty,includingitsconfidentialityandsecuritypolicies.29.ThirdPartyPerformance30.ThirdPartyDisputeResolutionIntheeventofanydisputebetweenthepartiesregardingtheinvolvementofaThirdParty,thepartiesshallattempttoresolvethedisputethroughnegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothejurisdictionofthecourtsof[Jurisdiction].31.ThirdPartySubstitutionTheDisclosingPartymaysubstituteaThirdPartyforanyexistingThirdPartywithouttheconsentoftheReceivingParty,providedthatthesubstitutedThirdPartyisboundconfidentialityobligationsatleastasstringentasthosecontainedinthisAgreementandisengagedtoperformthesameorsubstantiallysimilarservices.32.ThirdPartyIndemnificationTheDisclosingPartyagreestoindemnifyandholdtheReceivingPartyharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheactsoromissionsofaThirdPartyinconnectionwiththeperformanceofthisAgreement,providedthattheReceivingPartypromptlynotifiestheDisclosingPartyofsuchclaim.33.ThirdPartyTermination34.ThirdPartyDefinitionandScopeForthepurposesofthisAgreement,theterm“ThirdParty”shallinclude,butnotbelimitedto:AnyentityorindividualthathasaccesstoConfidentialInformationinthecourseofprovidingservicestotheDisclosingPartyortheReceivingParty.AnyentityorindividualthatisapartytoanyagreementorarrangementwiththeDisclosingPartyortheReceivingPartythatrequiresthedisclosureofConfidentialInformation.AnyentityorindividualthatisasubcontractororsuppliertotheDisclosingPartyortheReceivingPartyandhasaccesstoConfidentialInformationasaresultofsuchsubcontractingorsupplying.35.ThirdPartyRightsandObligationsTherightsandobligationsofaThirdPartyunderthisAgreementshallbeasfollows:TherighttoreceiveanduseConfidentialInformationsolelyforthepurposeofperformingtheservicesrequiredunderthisAgreement.TheobligationtomaintaintheconfidentialityoftheConfidentialInformationinaccordancewiththetermsofthisAgreement.36.ThirdPartyIdentificationTheDisclosingPartyshallprovidetheReceivingPartywiththename,address,andcontactinformationofanyThirdPartythatwillbeengagedintheperformanceofthisAgreement.TheReceivingPartyshallhavetherighttorequestadditionalinformationregardingtheThirdParty,includingitsconfidentialityandsecuritypolicies.37.ThirdPartyPerformance38.ThirdPartyDisputeResolutionIntheeventofanydisputebetweenthepartiesregardingtheinvolvementofaThirdParty,thepartiesshallattempttoresolvethedisputethroughnegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothejurisdictionofthecourtsof[Jurisdiction].39.ThirdPartySubstitutionTheDisclosingPartymaysubstituteaThirdPartyforanyexistingThirdPartywithouttheconsentoftheReceivingParty,providedthatthesubstitutedThirdPartyisboundconfidentialityobligationsatleastasstringentasthosecontainedinthisAgreementandisengagedtoperformthesameorsubstantiallysimilarservices.40.ThirdPartyIndemnificationTheDisclosingPartyagreestoindemnifyandholdtheReceivingPartyharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheactsoromissionsofaThirdPartyinconnectionwiththeperformanceofthisAgreement,providedthattheReceivingPartypromptlynotifiestheDisclosingPartyofsuchclaim.41.ThirdPartyTermination42.ThirdPartyDefinitionandScopeForthepurposesofthisAgreement,theterm“ThirdParty”shallinclude,butnotbelimitedto:AnyentityorindividualthathasaccesstoConfidentialInformationinthecourseofprovidingservicestotheDisclosingPartyortheReceivingParty.AnyentityorindividualthatisapartytoanyagreementorarrangementwiththeDisclosingPartyortheReceivingPartythatrequiresthedisclosureofConfidentialInformation.AnyentityorindividualthatisasubcontractororsuppliertotheDisclosingPartyortheReceivingPartyandhasaccesstoConfidentialInformationasaresultofsuchsubcontractingorsupplying.43.ThirdPartyRightsandObligationsTherightsandobligationsofaThirdPartyunderthisAgreementshallbeasfollows:TherighttoreceiveanduseConfidentialInformationsolelyforthepurposeofperformingtheservicesrequiredunderthisAgreement.Theobligationtomaintaintheconfidential
