a.TopromoteandmarketthePrincipal'sproductsorservicesintheterritoryspecifiedinthisAgreement.

b.TosolicitandnegotiatecontractsonbehalfofthePrincipalwithcustomersintheterritoryspecifiedinthisAgreement.

c.ToprovidecustomerserviceandsupporttocustomersintheterritoryspecifiedinthisAgreement.

2.ThePrincipalagreesto:

a.ProvidetheAgentwithallnecessarymaterials,information,andsupporttoenabletheAgenttoperformitsobligationsunderthisAgreement.

b.PaytheAgentacommissionorothercompensationasagreeduponinthisAgreement.

c.EnsurethattheproductsorservicesofferedbythePrincipalareofhighqualityandmeetthespecificationsoutlinedinthisAgreement.

TERMANDTERMINATION:

1.ThisAgreementshallbeeffectiveuponthedateofitsexecutionbybothPartiesandshallremainineffectforaperiodof[TermofAgreement]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

b.TosolicitandnegotiatecontractsonbehalfofthePrincipalwithcustomersintheterritoryspecifiedinthisAgreement.

c.ToprovidecustomerserviceandsupporttocustomersintheterritoryspecifiedinthisAgreement.

2.TheThirdPartyagreesto:

a.ProvidetheAgentwithaccesstonecessaryresources,includingpersonnel,facilities,andtechnology,toenabletheAgenttoperformitsobligationsunderthisAgreement.

b.EnsurethattheresourcesprovidedareofhighqualityandmeetthespecificationsoutlinedinthisAgreement.

RIGHTSANDINTERESTSOFTHEPRINCIPAL:
