RECITALS

1.AppointmentandTerm

1.1ThePrincipalherebyappointstheAgentasitsexclusiveagenttopromoteandsellitsproductsorserviceswithintheTerritoryduringthetermofthisAgreement,whichshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

1.2TheAgentagreestouseitsbesteffortstopromoteandsellthePrincipal'sproductsorserviceswithintheTerritoryduringthetermofthisAgreement.

2.RightsandObligations

2.1ThePrincipalshallprovidetheAgentwithallnecessaryinformation,materials,andsupportrequiredfortheAgenttoeffectivelypromoteandsellthePrincipal'sproductsorservices.

2.2TheAgentshall(a)actingoodfaithandwithduediligenceinpromotingandsellingthePrincipal'sproductsorservices;(b)notengageinanyactivitiesthatmayharmthePrincipal'sreputationorinterests;and(c)complywithallapplicablelaws,regulations,andindustrystandards.

3.CompensationandPayment

3.1ThePrincipalshallpaytheAgentacommissionof[CommissionRate]%oneachsaleofthePrincipal'sproductsorservicesmadebytheAgentwithintheTerritory.

3.2TheAgentshallsubmittothePrincipalallinvoicesandreceiptsforsalesmadebytheAgentwithintheTerritory,andthePrincipalshallreviewandapprovesuchinvoicesandreceiptswithin[TimeFrame]aftertheirsubmission.

3.3PaymentofthecommissionshallbemadebythePrincipaltotheAgentwithin[PaymentPeriod]afterthePrincipalhasreceivedandapprovedtheAgent'sinvoicesandreceipts.

4.Confidentiality

4.1ThePrincipalandtheAgentagreetokeepconfidentialallinformationdisclosedtothembytheotherparty,includingbutnotlimitedtotechnical,commercial,financial,andotherproprietaryinformation.

4.2TheconfidentialityobligationsunderthisSection4shallsurvivetheterminationorexpirationofthisAgreement.

5.Termination

5.1ThisAgreementmaybeterminatedbyeitherpartyupon[NoticePeriod]writtennoticetotheotherparty.

5.2IntheeventofterminationorexpirationofthisAgreement,theAgentshallreturntothePrincipalallconfidentialinformationandmaterialsprovidedtotheAgentbythePrincipal.

6.GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
