I.Introduction

PartyAagreestoprovidefundingtoPartyBforaspecificpurpose,andPartyBagreestoacceptthefundinganduseitinaccordancewiththetermsandconditionsofthisAgreement.

II.DescriptionoftheSubjectMatterorService

1.PurposeoftheFunding

ThefundingprovidedbyPartyAshallbeusedfor[specificpurpose,e.g.,researchanddevelopmentofanewproduct,expansionofbusinessoperationsinaparticularregion,etc.].

2.AmountofFunding

III.RightsandObligationsoftheParties

A.RightsofPartyA

1.MonitoringRight

PartyAshallhavetherighttomonitortheuseofthefundingbyPartyB.PartyBshallprovidePartyAwithregularreportsontheprogressoftheprojectoractivityforwhichthefundingisused,includingbutnotlimitedtofinancialstatements,projectstatusreports,andanyotherrelevantinformationrequestedbyPartyA.

2.InspectionRight

PartyAshallhavetherighttoinspectPartyB'sfacilities,records,andotherrelevantmaterialsrelatedtotheuseofthefundingtoensurepliancewiththetermsofthisAgreement.

B.RightsofPartyB

1.UseofFunding

PartyBshallhavetherighttousethefundingsolelyforthepurposespecifiedinthisAgreementandinaccordancewithallapplicablelawsandregulations.

2.IntellectualPropertyRights

AnyintellectualpropertyrightscreatedordevelopedinconnectionwiththeprojectoractivityfundedbyPartyAshallbeownedbyPartyB,subjecttoanyprioragreementsorarrangementsbetweentheparties.

C.ObligationsofPartyA

1.FundingObligation

PartyAshallfulfillitsobligationtoprovidethefundingtoPartyBinaccordancewiththepaymentschedulespecifiedinthisAgreement.

2.ConfidentialityObligation

PartyAshallkeepconfidentialallinformationobtainedfromPartyBinconnectionwiththisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyB,exceptasrequiredbylaw.

D.ObligationsofPartyB

1.UseofFundingObligation

PartyBshallusethefundingsolelyforthepurposespecifiedinthisAgreementandshallnotdivertthefundingtoanyother用途.PartyBshallensurethatthefundingisusedefficientlyandeffectivelyandshalltakeallreasonablemeasurestoachievetheobjectivesoftheprojectoractivity.

2.ComplianceObligation

PartyBshallplywithallapplicablelaws,regulations,andpoliciesinconnectionwiththeuseofthefunding.PartyBshallalsoplywithalltermsandconditionsofthisAgreementandshallindemnifyandholdharmlessPartyAfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreement.

3.ReportingObligation

PartyBshallprovidePartyAwithregularreportsontheprogressoftheprojectoractivityforwhichthefundingisused,includingbutnotlimitedtofinancialstatements,projectstatusreports,andanyotherrelevantinformationrequestedbyPartyA.PartyBshallalsoprovidePartyAwithafinalreportontheuseofthefundingwithin[numberofdays]daysafterthepletionoftheprojectoractivity.

4.IntellectualPropertyObligation

PartyBshallprotectanddefendtheintellectualpropertyrightscreatedordevelopedinconnectionwiththeprojectoractivityfundedbyPartyAandshallnottakeanyactionthatmayinfringeontheintellectualpropertyrightsofPartyAoranythirdparty.

IV.DefaultandRemedies

A.Default

1.DefinitionofDefault

AdefaultunderthisAgreementshalloccurifeitherPartyAorPartyBfailstoperformanyofitsobligationsunderthisAgreement,includingbutnotlimitedtothefailuretomakeapaymentwhendue,thefailuretousethefundingforthespecifiedpurpose,orthebreachofanyothertermorconditionofthisAgreement.

2.NoticeofDefault

Ifadefaultoccurs,thenondefaultingpartyshallgivewrittennoticetothedefaultingpartyspecifyingthenatureandextentofthedefaultandrequiringthedefaultingpartytocurethedefaultwithin[numberofdays]daysafterthereceiptofthenotice.

B.Remedies

1.CureofDefault

Thedefaultingpartyshallhavetheobligationtocurethedefaultwithinthetimeperiodspecifiedinthenoticeofdefault.Ifthedefaultingpartyfailstocurethedefaultwithinthespecifiedtimeperiod,thenondefaultingpartymaytakeanyofthefollowingremedies:

TerminatethisAgreementandrequirethedefaultingpartytoreturnallfundsreceivedunderthisAgreement,togetherwithanyinterestorotheramountsduetothenondefaultingparty;

Suethedefaultingpartyfordamages,includingbutnotlimitedtodirectdamages,indirectdamages,andanyotherlossessufferedbythenondefaultingpartyasaresultofthedefault;

SeekspecificperformanceofthisAgreement,requiringthedefaultingpartytoperformitsobligationsunderthisAgreement.

2.MitigationofDamages

Bothpartiesshalltakeallreasonablemeasurestomitigatethedamagescausedbyadefault.Thenondefaultingpartyshallnotbeentitledtorecoveranydamagesthatcouldhavebeenavoidedbytakingreasonablesteps.

V.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.Arbitration

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[numberofdays]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[arbitrationinstitution].Thearbitrationshallbeconductedin[locationofarbitration]andthelanguageofthearbitrationshallbe[language].

3.Jurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtinthecourtsof[jurisdiction].

VI.Miscellaneous

1.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

3.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

4.Assignment

NeitherpartyshallassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutth
