WHEREAS,theSelleriswillingtosellandtheBuyeriswillingtobuythefollowinggoods,onthetermsandconditionshereinaftersetforth;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.SUBJECTMATTEROFTHECONTRACT

TheSelleragreestosellandtheBuyeragreestobuythefollowinggoods(hereinafterreferredtoas"theGoods")specifiedintheattachedListofGoods(hereinafterreferredtoas"theListofGoods"),subjecttothetermsandconditionsofthisContract.

2.LISTOFGOODS

TheListofGoodsisattachedheretoasExhibitA.

3.PRICEANDPAYMENT

3.1ThepriceoftheGoodsshallbe[PriceinUSDorothercurrency]perunit,asspecifiedintheListofGoods.

3.2TheBuyershallmakethepaymentfortheGoodsinaccordancewiththefollowingschedule:

a.[Percentage]ofthetotalpriceshallbepaiduponsigningthisContract.

b.Theremaining[Percentage]ofthetotalpriceshallbepaidupondeliveryoftheGoods,subjecttotheBuyer'sacceptance.

c.Thepaymentshallbemadeby[PaymentMethod],i.e.,wiretransfer,letterofcredit,oranyotheracceptablemethodagreeduponbybothparties.

4.DELIVERY

4.1TheSellershalldelivertheGoodstotheBuyerat[DeliveryAddress],within[TimePeriod]aftertheBuyer'spaymenthasbeenreceived.

4.2TheSellershallensurethattheGoodsareproperlypacked,marked,andreadyfortransportationupondelivery.

5.INSPECTIONANDACCEPTANCE

5.1TheBuyershallinspecttheGoodsupondeliveryandshallnotifytheSellerofanydefectsordiscrepancieswithin[TimePeriod]afterthedelivery.

5.2TheBuyer'sfailuretoinspectornotifytheSellerofanydefectsordiscrepancieswithinthespecifiedtimeperiodshallbedeemedastheBuyer'sacceptanceoftheGoods.

6.WARRANTIES

6.1TheSellerwarrantsthattheGoodsshallbefreefromanydefectsordeficienciesandshallconformtothespecificationsandqualityassetforthintheListofGoods.

6.2TheSeller'swarrantyshallbevalidforaperiodof[WarrantyPeriod]fromthedateofdelivery.

7.LIABILITYANDLIMITATIONOFLIABILITY

7.1TheSellershallbeliableforanybreachofwarrantyorfailuretodelivertheGoodsinaccordancewiththetermsandconditionsofthisContract.

7.2TheSeller'sliabilityforanybreachofwarrantyorfailuretodelivertheGoodsshallbelimitedtothereplacementorrepairofthedefectiveornon-conformingGoods,ortotherefundofthepurchasepricepaidbytheBuyer.

8.FORCEMAJEURE

8.1NeitherpartyshallbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,governmentactions,oranyotherunforeseeableevents.

9.DISPUTERESOLUTION

9.1AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.

9.2Ifthepartiesfailtoreachanamicableresolutionwithin[TimePeriod],thedisputeshallbesubmittedto[DisputeResolutionMechanism],i.e.,arbitrationorlitigation,attheoptionofeitherparty.

10.ENTIREAGREEMENT

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

7.2TheSellershallnotdiscloseanyconfidentialinformationofthePrincipaltoanythirdpartywithoutthePrincipal'spriorwrittenconsent.

7.3TheSellershallnotbeliableforanylossordamageincurredbythePrincipalduetoanyactoromissionoftheThirdParty.

8.DISPUTERESOLUTION

8.1AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.

8.2Ifthepartiesfailtoreachanamicableresolutionwithin[TimePeriod],thedisputeshallbesubmittedto[DisputeResolutionMechanism],i.e.,arbitrationorlitigation,attheoptionofeitherparty.

6.SELLER'SINTERESTSANDBENEFITS

6.1TheSellershallbenefitfromthePrincipal'smarketreachandcustomerbase,whichmayleadtoincreasedsalesandrevenue.

6.2TheSellershallhavetherighttonegotiatethetermsandconditionsofthetransactionwiththePrincipal.

6.3TheSellershallhavetherighttoterminatetheContractintheeventofabreachbythePrincipal,therebyprotectingitsinterests.

7.PRINCIPAL'SOBLIGATIONSANDLIMITATIONS
