CONTRACTAGREEMENT

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

1.Recitals

WHEREAS,PartyAisengagedin[PartyAbusinessdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessdescription];

WHEREAS,thePartiesdesiretoenterintothisAgreementtodefinetheirrightsandobligationswithrespecttothefollowingsubjectmatter.

2.ScopeofWork

PartyAshall[describePartyA'stasksandresponsibilities].PartyBshall[describePartyB'stasksandresponsibilities].Thescopeofworkshallbecompletedwithin[timeframe].

3.PaymentTerms

PartyBshallpayPartyAthesumof[amount]in[currency]fortheservicesrenderedorgoodsprovidedhereunder.Paymentshallbemadeinthefollowingmanner:[describepaymentschedule,e.g.,50%uponsigningoftheAgreementand50%uponsatisfactorycompletionofthework].

4.IntellectualPropertyRights

AnyintellectualpropertyrightscreatedordevelopedduringtheperformanceofthisAgreementshallbeownedby[specifytheowner,e.g.,PartyAorjointlybybothParties].EachPartyshallindemnifyandholdtheotherPartyharmlessfromanyclaimsrelatedtotheinfringementofintellectualpropertyrights.

5.Confidentiality

EachPartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherParty.ThereceivingPartyshallkeepsuchconfidentialinformationstrictlyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw.

6.RepresentationsandWarranties

EachPartyrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreement,andthattheperformanceofitsobligationshereunderwillnotviolateanylaworanyexistingagreementtowhichitisaparty.

7.TermandTermination

ThisAgreementshallcommenceon[startdate]andshallremaininforceuntil[enddate],unlessterminatedearlierinaccordancewiththeprovisionsherein.EitherPartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherParty.

8.Liability

IntheeventofabreachofthisAgreement,thebreachingPartyshallbeliabletothenon-breachingPartyforalldamagesandlossessufferedbythenon-breachingPartyasaresultofsuchbreach.

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

10.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.
