房地產(chǎn)項(xiàng)目轉(zhuǎn)讓的合作,轉(zhuǎn)讓方及受讓方之間如何根據(jù)我國的合同法及房地產(chǎn)相關(guān)法律簽署正規(guī)的轉(zhuǎn)讓合同呢?以下準(zhǔn)備了一份房地產(chǎn)項(xiàng)目轉(zhuǎn)讓合同范本,可供參考。轉(zhuǎn)讓方(甲方):法定代表人:職務(wù):住所:開戶行:賬號:受讓方(甲方):法定代表人:職務(wù):住所:開戶行:賬號:甲、乙雙方根據(jù)《中華人民共和國合同法》、《中華人民共和國城市房地產(chǎn)管理法》、《城市房地產(chǎn)開發(fā)經(jīng)營管理?xiàng)l例》、《城市房地產(chǎn)轉(zhuǎn)讓管理辦法》等法律、法規(guī)的規(guī)定,按照平等互利原則,經(jīng)過雙方協(xié)商一致,就________房地產(chǎn)項(xiàng)目(簡稱項(xiàng)目)轉(zhuǎn)讓達(dá)成一致意見,特簽定本協(xié)議。第一條房地產(chǎn)項(xiàng)目概況1、項(xiàng)目名稱:,位于,其四至范圍為:東至,西至,南至,北至。(詳見附件一,規(guī)劃拴樁紅線圖),本轉(zhuǎn)讓項(xiàng)目包括在建構(gòu)筑物及其附屬設(shè)施等(詳見附件二)。2、項(xiàng)目使用性質(zhì):(____、____、____)3、項(xiàng)目規(guī)劃條件:(1)占地面積:____平方米;(2)規(guī)劃容積率:____(3)建筑物總高度:____(4)總建筑面積:____平方米;(5)地上面積:____平方米;(6)地下面積:____平方米;4、規(guī)劃指標(biāo):5、項(xiàng)目投資建設(shè)情況:本項(xiàng)目總投資額萬元,現(xiàn)轉(zhuǎn)讓方已累計(jì)投資____萬元,達(dá)總投資額的__%以上。6、其他情況。第二條項(xiàng)目開發(fā)建設(shè)現(xiàn)狀由甲乙方雙方共同確認(rèn)后形成書面文件作為本協(xié)議的附件,作為本協(xié)議的內(nèi)容(詳見附件三)。第三條項(xiàng)目法律手續(xù)1、甲方以____方式取得該項(xiàng)目的國有土地使用權(quán),國有土地使用權(quán)出讓合同編號:________;甲方已按國有土地使用權(quán)出讓合同全部交清土地出讓金,并取得國有土地使用權(quán)證書為________;國有使用權(quán)使用期限從____年_月_日計(jì)算,為_年;2、該項(xiàng)目的拆遷許可證號為:________;3、該項(xiàng)目的建設(shè)用地規(guī)劃許可證號為:________;4、該項(xiàng)目的建設(shè)工程規(guī)劃許可證號為:________;5、該項(xiàng)目的建設(shè)工程開工許可證號為:________;6、該項(xiàng)目的固定資產(chǎn)投資計(jì)劃立項(xiàng)批準(zhǔn)文號為:________;7、該項(xiàng)目的商品房預(yù)售許可證號為:________;8、《項(xiàng)目建議書》:________;9、《項(xiàng)目可行性研究報(bào)告》:________;10、《項(xiàng)目環(huán)境影響研究報(bào)告》:________。第四條法律手續(xù)的轉(zhuǎn)移1、項(xiàng)目轉(zhuǎn)讓時(shí),本協(xié)議第三條甲方已取得的各項(xiàng)法律手續(xù)和許可證件(包括交清土地出讓金的憑證)在本合同生效之日起十五個(gè)工作日內(nèi)交付給乙方。乙方自行向政府有關(guān)主管部門辦理轉(zhuǎn)移手續(xù),甲方應(yīng)積極協(xié)助。乙方未按本協(xié)議第五條的約定及時(shí)向甲方支付有關(guān)費(fèi)用,或未按政府有關(guān)部門的規(guī)定提供轉(zhuǎn)交證件所需要的證明文件而導(dǎo)致不能獲政府有關(guān)部門6、乙方應(yīng)對本協(xié)議任何一方有關(guān)事宜保密,并不得將乙方在與甲方商談項(xiàng)目轉(zhuǎn)讓的過程中及以后在履行本協(xié)議的過程中所獲取甲方任何商業(yè)秘密(資料)泄露(包括故意或過失)給與本協(xié)議無關(guān)的任何其它方或個(gè)人,除非商業(yè)秘密(資料)已正當(dāng)?shù)貫楣娝ぃ?、甲方應(yīng)按本協(xié)議約定履行其他義務(wù)。第十一條違約責(zé)任1、甲方違約責(zé)任(1)甲方若沒有資格轉(zhuǎn)讓項(xiàng)目或項(xiàng)目不符合法定轉(zhuǎn)讓條件,而乙方不知曉或不可能知曉的,致使本協(xié)議無效時(shí),乙方應(yīng)向甲方賠償項(xiàng)目轉(zhuǎn)讓費(fèi)的__%,若乙方實(shí)際損失超過此賠償額時(shí),超過部分甲方應(yīng)據(jù)實(shí)賠償。(2)甲方未按本協(xié)議第四條約定按時(shí)向乙方轉(zhuǎn)交有關(guān)證件的或甲方未按本協(xié)議第九條第1款至第5款的義務(wù)(有一款即可)時(shí),視為甲方根本違約,乙方有權(quán)解除協(xié)議,甲方退還乙方全部已付費(fèi)用,并按項(xiàng)目轉(zhuǎn)讓費(fèi)的__%向乙方支付違約金,若乙方實(shí)際損失超過此違約金時(shí),超過部分甲方應(yīng)據(jù)實(shí)賠償。(3)甲方?jīng)]有第(__)款的根本違約情況下,而未按本協(xié)議第九條第6款至第8款履行其義務(wù)時(shí),甲方應(yīng)向乙方支付違約金元。2、乙方違約責(zé)任(1)乙方若沒有法定資質(zhì)受讓項(xiàng)目而甲方不知曉或不可能知曉,而致使本協(xié)議無效時(shí),乙方應(yīng)向甲方賠償項(xiàng)目轉(zhuǎn)讓費(fèi)的__%,若甲方實(shí)際損失超過此賠償額時(shí),超過部分乙方應(yīng)據(jù)實(shí)賠償;(2)乙方未按本協(xié)議第五條約定按期如數(shù)向甲方支付項(xiàng)目轉(zhuǎn)讓費(fèi),每逾期一日按項(xiàng)目轉(zhuǎn)讓費(fèi)用的萬分之__支付違約金。若逾期超過30日,甲方有權(quán)解除協(xié)議,罰沒定金。同時(shí),乙方再按已付項(xiàng)目轉(zhuǎn)讓費(fèi)的__%向甲方賠償。若甲方實(shí)際損失超過此兩項(xiàng)賠償費(fèi)用時(shí),超過部分乙方仍須據(jù)實(shí)賠償。(3)未履行本協(xié)議約定的其他義務(wù)時(shí),甲方應(yīng)向乙方支付違約金______萬元(小寫:¥______元)。第十二條不可抗力不可抗力指不能預(yù)見,不能避免并不能克服的客觀情況,包括因國家政策的變動、城市規(guī)劃的更改等。由于不可抗力的原因,致使直接影響本協(xié)議的履行或者不能按條件履行時(shí),應(yīng)書面通知對方,并在15日內(nèi)提供事故詳情及協(xié)議不能履行或者部分不能履行,或者需要延遲履行的理由的有效證明文件,此項(xiàng)證明文件應(yīng)由事故發(fā)生地區(qū)的權(quán)力機(jī)關(guān)或公證機(jī)構(gòu)出具。按其對履行需要影響的程度,由雙方協(xié)商解決是否需要或部分免除履行需要的責(zé)任或延期履行的協(xié)議。第十三條法律適用本協(xié)議的訂立、效力、解釋、履行和爭議的解決,適用中華人民共和國的法律。第十四條爭議的解決因執(zhí)行協(xié)議所發(fā)生的或與本協(xié)議有關(guān)的一切爭議,雙方應(yīng)友好協(xié)商解決。如協(xié)商不能解決,雙方同意按以下第方式解決。1、向項(xiàng)目所在地人民法院起訴2、向______仲裁委員會申請仲裁。第十五條協(xié)議文字本協(xié)議文本采用中方。本協(xié)議正本三份,甲乙雙方各持一份,另一份由甲乙雙方共同報(bào)______房地產(chǎn)管理部門備案。第十六條協(xié)議生效及其它本協(xié)議自甲、乙方雙方簽字、蓋章后,經(jīng)政府審批機(jī)關(guān)批準(zhǔn)后生效。本協(xié)議未盡事宜,甲、乙雙方另行簽訂補(bǔ)充協(xié)議。補(bǔ)充協(xié)議具有本協(xié)議同等法律效力。第十七條協(xié)議附件附件包括與本協(xié)議相關(guān)的協(xié)議,附圖、附表、交接手續(xù)等,是本協(xié)議不可分割的組成部分。附件一:規(guī)劃拴樁紅線圖附件二:在建構(gòu)筑物及其附屬設(shè)施等附件三:項(xiàng)目開發(fā)建設(shè)現(xiàn)狀附件四:項(xiàng)目轉(zhuǎn)讓后需由乙方繼續(xù)履行的協(xié)議細(xì)目甲方:__________________住所:__________________法定代表人:__________________委托代理人:__________________電話:__________________傳真:__________________開戶行:__________________賬號:_______________________年_月_日乙方:__________________住所:__________________法定代表人:__________________委托代理人:__________________電話:__________________傳真:__________________開戶行:__________________賬號:_______________________年_月_日Transferofrealestateprojectcooperation,betweentheassignorandtheassigneeaccordingtocontractlawofourcountryandthetransferofrealestaterelatedlegalsignformalcontract?Thefollowingpreparedatransferofrealestateprojectcontracts,forreference.Theassignor(partya):Legalrepresentative:position:Accommodation:Bank:accountnumber:Assignee(partya):Legalrepresentative:position:Accommodation:Bank:accountnumber:BothpartiesaccordingtothelawofthePeople'sRepublicofChinacontractlaw,thelawofthePeople'sRepublicofChinaonurbanrealestateadministrationlaw,theregulationsontheadministrationofurbanrealestatedevelopmentmanagement,themeasuresfortheadministrationofurbanrealestatetransferandotherlawsandregulati etopartyatransferfeepaymentproject,eachdayofoverduepayliquidateddamagesper__ofthepurchasepriceoftheprojectassignment.Ifoverdueformorethan30days,partyashallhavetherighttoterminatetheagreement,theconfiscationofthedeposit.Meanwhile,partybtopay__%ofprojecttransferfeepaidtopartyaforcompensation.Ifpartya'sactuallossmorethanthistwodamages,partybshalltruthfullythecompensationstillpartlymorethan.(3)failstoperformotherobligationsoftheagreement,partyashallpayliquidateddamagestopartyb...tenthousandyuan(lowercase:RMB...).Article12theforcemajeureForcemajeuremeanscan'tforesee,unavoidableandinsurmountableobjectiveconditions,includingchangesinnationalpolicy,thechangeofurbanplanning,etc.Becauseofforcemajeure,whichdirectlyaffectstheperformanceofthisagreementornotaccordingtotheconditionofperform,shouldbewrittennoticetotheotherparty,andprovideaccidentdetailswithin15daysandisunabletoperformorpartcannotperformagreement,orthereasonforthedelayperformanceoftheeffectivedocuments,thedocumentsshouldberegionbyaccidentreportissuedbyauthoritiesornotarypublic.Accordingtoitsimpactontheperformanceoftheneedtotheextentofbybothsidestalksthingsoversolvewhetherneedorpartiallyexempttoperformordelaytoperformtheresponsibilityoftheagreement.Article13theapplicablelawTheformation,validity,interpretation,performanceofthisagreementandthesettlementofdisputesthelawofthePeople'sRepublicofChinashallapply.Article14disputesresoluti
