The L/C must specify that transhipment and partial shipments are allowed.(10)單據(jù)：賣方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國商品檢驗(yàn)局或工廠出具的品質(zhì)證明、中國商品檢驗(yàn)局出具的數(shù)/重量鑒定書。如果本合同按CIF條件，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。Documents:The sellers shall present to the negations bank,clean on board bill of lading,invoice,quality cerfication issued by the China Commodity Inspection Bureau or the manufactures,survey report on quantity/Weight issued by the China Commodity Inspection Bureau,and transferable insurance policy or insurance certificate when this contract is made on CIF basis.(11) 裝運(yùn)條件:裝載船只由賣方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船。賣方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)通知賣方。Terms of Shipment：The carrying vessel shall be provided by the sellers.Partial shipments and transshipment are allowed.After loading is completed,the sellers shall notify the buyers cables by cable of the contract number,name of commodity,quantity,name of the carrying vessel and date of shipment.（12）品質(zhì)與數(shù)量、重量的異義與索賠：貨到目的口岸后，賣方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證書向賣方提出異議。品質(zhì)異議須于貨到目的口岸之日起三十天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起十五天內(nèi)提出。賣方應(yīng)于收到異議后三十天內(nèi)答復(fù)買方。Quality/Quantity Discrepancy and Claim:In case the quanlity and/or quanlity/weight are found by the buyers to be not in conformity with the contract after arrival of the goods at the port destination,the buyers may lodge claim with sellers supported by survey report issued by an inspection organization agreed upon by both parties,with the exceptiong,however of those claim with the insurance company and/or the shipping company are to be held responsible, claim for quality discrepancy should be filed by the buyers within 30 days after arrival of the goods at the port of the destination,while for quantity/weight discrepancy claim should be filed by the Buyers within 15 days after arrival of the goods at the port of the destination.The sellers shall,within 30 days after receipt of the notification of the claim,send reply to the Buyers.(13) 人力不可抗拒因素：由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。 Force Majeure：Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.(14)仲裁：在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。ArbitrationAll disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rul
