18、hall have the right to cancel this contract.9.檢驗(yàn)和索賠：發(fā)貨前，賣(mài)方應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量、重量做精密全面的檢驗(yàn)，出具檢驗(yàn)證書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨物到達(dá)中國(guó) 港后，買(mǎi)方向中國(guó)出入境檢驗(yàn)檢疫部門(mén)申請(qǐng)貨物檢驗(yàn)，如與約定的商品質(zhì)量和數(shù)量/重量不符，買(mǎi)方可憑中國(guó)出入境檢驗(yàn)檢疫部門(mén)出具的證明文件向賣(mài)方退貨或索賠。在保質(zhì)期限內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞，和品質(zhì)、性能與合同規(guī)定不符實(shí)，買(mǎi)方委托中國(guó)出入境檢驗(yàn)檢疫部門(mén)進(jìn)行檢驗(yàn)、并憑其檢驗(yàn)證明書(shū)向賣(mài)方提出索賠（包括換貨），由此產(chǎn)生的全部費(fèi)用由賣(mài)方承擔(dān)。若賣(mài)方收到上述全部書(shū)面索賠文

21、pancies are found by the bureau regarding the specification or the quantity or both, The buyer launch claim against the seller on the strength of the inspection certificate issued by the bureau.3.In case of damages of the goods incurred due to the design or manufacture defects and/or the quality and

22、 performance are not in conformity with the contract, the buyer shall, during the guarantee period, request CCIB to make a survey and shall make a claim against the sellers (including replacement of the goods) and all the expenses incurred, therefore shall be borne by the seller. 23、d above shall be regarded as being accepted if the seller fail to reply within 30 days after the seller receive the buyers claim.10.仲裁：雙方因本合同或執(zhí)行合同而引發(fā)的爭(zhēng)議，應(yīng)友好協(xié)商解決。如解決不成，則將爭(zhēng)議提交至中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)按該會(huì)規(guī)則進(jìn)行仲裁；仲裁地點(diǎn)在深圳、仲裁語(yǔ)言為中文、仲裁費(fèi)應(yīng)由敗訴方承擔(dān)，仲裁裁決是終局裁決，對(duì)雙方均有約束力、在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)當(dāng)繼續(xù)履行；本合同受中華人民共和國(guó)法律管轄。Arbitration：An
