4、No.)其他(名稱、編號(hào)：)Others(No.)三、質(zhì)量保證 Quality Guarantee1、乙方有義務(wù)按國(guó)家標(biāo)準(zhǔn)IS09000-2008的要求建立一個(gè)質(zhì)量管理體系，確保未經(jīng)檢驗(yàn)合格 的產(chǎn)品不得交付給甲方。PartyB is amenable to establish quality management system according to national standers IS09000-2008 to ensure the rejected product shall not be delivered to the party A.2、甲方并不一定要求乙方一定要通過第三方審核

5、，但鼓勵(lì)乙方申請(qǐng)認(rèn)證審核。Party A does not n ecessarily require but en courage the party B to apply and pass a third party audit ing.3、乙方允許甲方通過審核手段，來檢驗(yàn)其質(zhì)量管理是否達(dá)到甲方要求。審核可以是對(duì)一個(gè)體 系、或一個(gè)過程、或一個(gè)產(chǎn)品進(jìn)行。Party B allowed Party A use the audit means to inspect whether the quality management meets the requireme nts of Party A.

6、The audit can proceedi ng on a system, a process ing or a product.4、甲方有權(quán)隨時(shí)對(duì)乙方進(jìn)行不通知的審核，乙方不得拒絕。Party A has authority to audit Party B without notification at any time. Part B cannot deny.四、質(zhì)量問題的介定及產(chǎn)品質(zhì)量標(biāo)準(zhǔn)Definition of Quality Issues and Quality Standards of Product1、乙方須保證所提供的產(chǎn)品滿足經(jīng)雙方確認(rèn)的圖紙及技術(shù)要求。Party B s

7、hould guara ntee the product delivered meet the draw ings and tech ni cal requireme nts which is sig ned and approved by both parties.2、有關(guān)訂貨產(chǎn)品的質(zhì)量標(biāo)準(zhǔn)、技術(shù)要求等，雙方在乙方制造訂貨產(chǎn)品前或交貨前，須對(duì)以下 圖紙、規(guī)格書等進(jìn)行確認(rèn)。當(dāng)技術(shù)、質(zhì)量要求等有新變更時(shí)，由雙方協(xié)商后進(jìn)行確認(rèn)。For quality sta ndards and tech ni cal requireme nts of orderi ng product, both two pa

9、等。Samples provided by Party B, draw in gs, specificatio ns and samples provided by Party A.3、 乙方有責(zé)任對(duì)交付產(chǎn)品進(jìn)行適當(dāng)包裝，包裝應(yīng)能保證產(chǎn)品在運(yùn)輸過程中以及甲方在合理的 周轉(zhuǎn)過程中不易損壞，否則甲方有權(quán)判定為不合格并按規(guī)定向乙方索賠。Party B is resp on sible for properly package of deliveri ng product; the package shall guara ntee the product un damaged duri ng tran

Or Party A has authority to determine the product the rejected product and claim from Party B according to the releva nt provisi ons.4、驗(yàn)收規(guī)則 Regulation of Inspection4.1交收檢驗(yàn)由甲方根據(jù)經(jīng)確認(rèn)的質(zhì)量標(biāo)準(zhǔn)在甲方廠區(qū)進(jìn)行，但甲方認(rèn)為有必要時(shí)可以安排 在乙方進(jìn)行，此時(shí)，乙方提供必要的配合。Delivery and accept

12、n specti on process accord ing to spot-check pla n, in specti on level is based on in specti on sta ndard.五、質(zhì)量問題的處理Quality Problems Handling1. 乙方接到甲方通報(bào)供貨品質(zhì)異常報(bào)告時(shí)，應(yīng)能迅速應(yīng)對(duì)，并滿足甲方的篩選、更換等要求。Party B can response quickly once received quality abnormality from Party A, and meets the requireme nts of scree nin

13、g and replaci ng from Party A.2. 甲方對(duì)乙方的供貨驗(yàn)收不合格時(shí)，應(yīng)及時(shí)通知乙方，乙方應(yīng)在接到通知后兩個(gè)工作日內(nèi)對(duì) 品質(zhì)異常進(jìn)行調(diào)查、分析、處理，以書面的形式通知甲方。Party A should inform Party B timely once Party A deny the delivery acceptanee of Part B, and Party B should inspect, analyze and process the quality abnormality within two workdays and inform the Part

14、y A literally.3. 對(duì)于在甲方驗(yàn)收檢查及后續(xù)生產(chǎn)直至最終用戶處發(fā)現(xiàn)的不合格品，甲方有權(quán)從應(yīng)付給乙方 的貨款中扣除不合格品造成的損失，如果是預(yù)付款，甲方有權(quán)要求還款。For the rejected products that occurred in the delivery accepta nee and delivered to customer, Party A has authority to mi nus the cost of rejected products from the payme nt to Party B. 15、nt, Party A has authority to require repayme nt.4. 甲方保管不合格品期間，由于可歸責(zé)于乙方的事由導(dǎo)致不合格品的全部或部分損失、損壞 或變質(zhì)時(shí)，該損失由乙方承擔(dān)。During the period of Party A keeping rejected products, the total or partial loss, damage and deteriorati on of rejected products that can be attributed to the party B cause, the Party B should b

16、ear the loss.5. 乙方應(yīng)確保所供物品不會(huì)因其不良給甲方的生產(chǎn)活動(dòng)造成困擾，由于乙方的原因造成的甲 方生產(chǎn)的產(chǎn)品或相關(guān)的設(shè)備發(fā)生不良或損壞以及停產(chǎn)造成甲方不能及時(shí)完成客戶訂單時(shí)，乙 方應(yīng)賠償所產(chǎn)生的全部實(shí)際損失。Party B should en sure the delivery product wontcause any trouble to the manu facturi ng activity to Party A because of quality abno rmality. The abno rmality or damage of the products man

17、u factured by Party A or releva nt equipme nt and that make Party A cannot complete customesorders caused by Party B is supposed to be compe nsated by Party B.6. 乙方原材料入廠時(shí)發(fā)生品質(zhì)異常，因甲方生產(chǎn)急用而被讓步接收或全檢，所產(chǎn)生的額外工時(shí)費(fèi)用由乙方承擔(dān)，且篩選的不合格品全部退回乙方處理，工時(shí)計(jì)費(fèi)標(biāo)準(zhǔn)為30元/人小時(shí)。讓步接收和特采的索賠要求。If raw material occurred quality abno rmality

18、 and was con ducted with con cessi on or full in specti on because of the emerge use for manu facturi ng, the cost of extra work hour should beard by Party B, and all rejected products return to Party B for processing. The standers of work hour is 30RMB/person hour. Requirement of claims of concessi

19、on and special purchase.7. 乙方不得故意將不合格物品混入交驗(yàn)批中提交給甲方。如有此行為發(fā)生，發(fā)現(xiàn)一次甲方將 至少處以罰款1000元。Party B cannot mix the rejected products into the in spect ion batch to Party A on purpose. Once it happe ned, Party A have authority to fine Party B at least 1000 RMB for one time.8. 由于乙方提供的物品不合格，甲方要求退貨時(shí)，所產(chǎn)生的物流管理費(fèi)用應(yīng)由乙方承擔(dān)

20、。If the product provided by Party B is not disqualification and Party A need to return, all logistics man ageme nt cost should be un dertake by Party B.9如因乙方提供的物品不合格造成甲方或第三方的產(chǎn)品發(fā)生質(zhì)量問題，從而被第三方索賠時(shí)，經(jīng)甲乙雙方協(xié)商或技術(shù)監(jiān)督部門或其他權(quán)威機(jī)構(gòu)簽定是乙方的責(zé)任時(shí)，乙方應(yīng)承擔(dān)甲方乃至 第三方相應(yīng)的經(jīng)濟(jì)損失。If the disqualificati on of Party B cause the quality a

21、bno rmality of Party A or the third Party, and is claimed for compe nsati on by the third party, after con sultati on by both parties or authe nticate by tech ni cal supervisi on departme nt or other authorities that it is the resp on sibility of Party B, Party B should bear the corresp onding econo

22、 mic losses of Party A and the third party.六、交期保證Delivery Guarantee1、乙方在收到訂單后需對(duì)甲方的采購(gòu)訂單內(nèi)容進(jìn)行核對(duì)，內(nèi)容包括物料名稱、規(guī)格、數(shù)量、 交期。且需在24小時(shí)內(nèi)回傳。如若未回傳，視為默認(rèn)訂單內(nèi)容及交期。Party B should check the purchas ing order of Party A once received the order, the in formati on of check in clude the n ame of material, specificatio n, qua n

23、tity and delivery time. The check sheet of order should return to Party A within 24 hours. No returns represe nt Party B already confirm the order and delivery date.2、 訂單回簽后，乙方需嚴(yán)守交貨日期，如交貨期延誤，每天以合同總金額的0.5%起進(jìn)行罰 款。特殊情況需提前7天書面通知甲方，并經(jīng)過甲方的同意后延遲交貨期，且每月協(xié)商延遲交貨筆數(shù)不得超過本月總訂單筆數(shù)的5%,否則將采取同第2點(diǎn)相同的處罰方式。After the retur

24、n of order, Party B should comply the delivery date strictly. If the delivery date is delayed, Party B should bear a fine of 0.5% of the total amount of the con tract each day. If there is special situati on, Party B should inform Party A for 7 days in adva nee literally, the n the delivery time can

The nu mber of delayed orders per mon th cannot exceed 5% of the total orders of this mon th, or the fine of items No.2 will be executed.3、若因乙方原因，到交貨期還無法交貨，且未提前溝通協(xié)商的，造成甲方生產(chǎn)停線，將處以 1000元每次的處罰，且所有停線的損失工時(shí)由乙方承擔(dān)。If for Party Bs cause, the product cant be delivered

26、 on time without any com muni cati on and n egotiati on before, leadi ng to the manu facture line stopped; un der this situati on Party B should bear a fine of 1000RMB per times and all the work hour losses caused by stop line.4、 乙方交貨后經(jīng)甲方檢驗(yàn)不合格，乙方必須在24小時(shí)內(nèi)至交貨地址全檢處理或者全部退貨。 如果退貨則要求乙方在2天內(nèi)補(bǔ)齊貨物發(fā)至甲方工廠，若未按此要

27、求執(zhí)行，同樣視為延遲交 貨。將按照上述第3點(diǎn)執(zhí)行。If the products provided by Party B are disqualificati on. Party B should be in the delivery in spect ion place or return the goods within 24 hours. If the product is supposed to return. Party B should suppleme nt the products and send it to the factory of Party A withi n tw

If this requireme nt is not executed, it also deemed to be delayed delivery, and should be executed based on items No.3.5、甲方根據(jù)質(zhì)量協(xié)議上的檢驗(yàn)標(biāo)準(zhǔn)進(jìn)行驗(yàn)收，如乙方評(píng)估預(yù)知無法達(dá)到品質(zhì)保證程度，應(yīng)事 先增加產(chǎn)量并全檢良品后再出貨.Party A ought to accept the products accord ing to the in spect ion sta nders on quality agreeme nt. If Party B has

29、 estimated the products cannot meet the rank of quality guarantee, Party B should in crease the output and clear the goods after complete in spect ion.6、乙方所有材料或工藝等變化都必須立即通知甲方，并經(jīng)甲方同意后方能投入使用，未經(jīng)確 認(rèn)的變更所引起的一切責(zé)任由乙方承擔(dān)！Any changes of material or craft should inform Party A, and can be applied after Party As

All con seque nee that cause of uncon firmed cha nges should un dertake by Party B!7、 所有來料需有送貨單，并在外箱和最小包裝上貼有物料標(biāo)識(shí)卡.送貨單和標(biāo)識(shí)卡上須清晰注 明供貨廠商、與甲方訂單相符的產(chǎn)品編號(hào)、產(chǎn)品名稱、數(shù)量、生產(chǎn)日期等 ，否則甲方有權(quán)拒 收，由此引發(fā)的交期延誤等損失由乙方全額賠付.All incoming materials should have delivery no te. Or Party A has authority to deny the products. The delivery and losses caused by this si

32、tuati on should all un dertake by Party B.七、變更，異常時(shí)的聯(lián)絡(luò)Contact of Change and Abnormity1、乙方作出下列變更時(shí)應(yīng)征得甲方的認(rèn)可和同意，并保證所作出的變更不會(huì)影響所供物品的質(zhì)量技術(shù)指標(biāo)。Party B should get permission of Party A when following changes are made, and to ensure the cha nge wont in flue nee the quality tech ni cal sta nders of product:1)給甲方交

33、貨開始后，訂貨物品的設(shè)計(jì)變更；Change of desig n of product once the delivery bega n;2）制造訂貨物品新造模具時(shí)，或使用中改造、修理模具時(shí)；During the process ing of manu facturi ng the new mould of product, or duri ng the using of cha nging and fixing the mould;3）訂貨物品的制造方法、工藝過程發(fā)生變更時(shí)；When the manu facturi ng method and craft process has cha n

34、ged;4）材料的制造商和供應(yīng)商有變更時(shí)。Whe n the manu facturer and supplier of material have cha nged.2、甲方由于自身理由要求變更時(shí)，應(yīng)立即以書面形式通知乙方，甲乙雙方在協(xié)商的基礎(chǔ)上 實(shí)施變更。變更物料需提供要求的檢測(cè)報(bào)告，第一次變更物料來料時(shí)需有易于識(shí)別的標(biāo)識(shí)。If Party A need to change the specification for own reason. Party A is supposed to inform Party B immediately and literally. The change

The cha nging material should have corresp onding in specti on report, and the first cha nging of incoming materials should have obvious mark to inden tify.3、訂貨物品由于已定的協(xié)議例如質(zhì)量特性、期限、發(fā)貨數(shù)量等明顯地不可能做到，設(shè)計(jì)或 制造工程不合格，預(yù)想或已發(fā)生了與質(zhì)量要求不符或其他質(zhì)量異常時(shí)，乙方應(yīng)立即與甲方 書面聯(lián)絡(luò)，且由乙

36、方立即調(diào)查產(chǎn)生的原因，及預(yù)防糾正措施對(duì)策，報(bào)甲方認(rèn)可后實(shí)施。If the ordered products cantmeet the items in agreement such as quality, delivery timequantity, or the design and manufacture is disqualification, and the quality abnormality has been predicted or occurred, Patty B should con tact Party A immediately and literally, Part

37、y B is resp on sible for survey of reas on and corrective preve ntive measureseport to Party A after the approval of Party A.4、 未經(jīng)確認(rèn)的變更所引起的一切責(zé)任由乙方承擔(dān)！Any uncon firmed cha nged that cause losses should be un dertake by Party B!八、一般事宜 General Matters1有效期限Expiry本協(xié)議一經(jīng)雙方簽字蓋章后即生效，則此前雙方所簽的所有此類協(xié)議作廢。This Agre

38、eme nt shall become effective upon the sig nature and seal of both parties, the n all such agreeme nts sig ned by both parties are void.本協(xié)議在雙方購(gòu)銷關(guān)系存續(xù)期內(nèi)有效，直至更新版本的質(zhì)量協(xié)議書生效時(shí)止。This agreeme nt is valid for the durati on of the relati on ship betwee n the two parties un til new versi on of quality agreeme nt come into effect.2、協(xié)商解決 Negotiation對(duì)本協(xié)議未作規(guī)定的事項(xiàng)及相關(guān)內(nèi)容產(chǎn)生疑義或異議時(shí)，甲乙雙方竭誠(chéng)協(xié)商解決。協(xié)商不成，可提交第三方仲裁機(jī)構(gòu)仲裁或遵循司法途徑解決。For any doubt or agreement related to unspecified issues in agreement, both parties should settle them by negotiation.
