8、he premises and take actions against party bs breach.五、 保證金 deposit 為確保房屋及其附屬設(shè)施之安全與完好,及租賃期內(nèi)相關(guān)費(fèi)用之如期結(jié)算,乙方同意于_年_月_日前支付給甲方保證金人民幣 _元整,甲方在收到保證金后予以書面簽收。guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease te

11、age or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.六、 甲方義務(wù) obligations of party a 甲方須按時(shí)將房屋及附屬設(shè)施(詳見附件)交付乙方使用。party a will provide the pr
12、emises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using. 房屋設(shè)施如因質(zhì)量原因、自然損耗或?yàn)?zāi)害而受到損壞,甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair an
13、d pay the relevant expenses. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負(fù)賠償責(zé)任。party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party bs losses.七、 乙方義務(wù) obligations of party b 乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。party b will pay the rental, the deposit and other
14、expenses on time. 乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。party b may decorate the premises and add new facilities with party as approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for n
15、ormal use. 未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。party b will not transfer the lease of the premises or sublet it without party as approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached f
16、acilities caused by its fault and negligence. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be respons
17、ible for the damages caused by it 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電訊、收視費(fèi)、等一切因?qū)嶋H使用而產(chǎn)生的費(fèi)用,并按單如期繳納。party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.八、 合同終止及解除的規(guī)定 termination and dissolution of the contract 乙方在租賃期滿后如需退租或續(xù)租,應(yīng)提前兩個(gè)月
18、通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension. 租賃期滿后,乙方應(yīng)在當(dāng)天將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。when the lease term exp
19、ires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party as previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection. 本合同一經(jīng)雙方簽字
20、后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another partys agreement. anything not covered in this contract will be discussed separately by both parties九、 違約及處理 breach of the contr
21、act 甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣_元整,若違約金不足彌補(bǔ)無過錯(cuò)方之損失,則違約方還需就不足部分支付賠償金。during the lease term, any party who fails to fulfill any article of this contract without the other partys understanding will be deemed to breach the contract. both parties agree that the default

29、租,應(yīng)在本合同期限屆滿前兩個(gè)月提出書面申請,取得甲方同意后,甲、乙雙方須另行簽署租賃協(xié)議。if party b wishes to renew the lease, party b shall submit a written application to party a two months prior to the expiry of this lease, and a lease agreement shall be concluded between the parties separately subject to party as consent.五、 免租期(含裝修期)grace

33、all charge actually incurred each month.3其它費(fèi)用other charges在租賃期內(nèi),乙方承租單元所用的電由大廈的物業(yè)管理機(jī)構(gòu)每月按實(shí)際耗用量結(jié)算,乙方按單繳付。免租期內(nèi)承租單元所用的電費(fèi)由乙方支付。during the lease term, the electricity consumed in the premises shall be paid by party b to the management department in accordance with the actual consumption appeared on the bil
34、l of the management department. party b shall pay for the electricity consumed in the premises during the grace period七、支付方式payment1 租金應(yīng)按 預(yù)付,免租期屆滿后,乙方于應(yīng)付款月的第【 】號前向甲方支付下期租金。the rent shall be paid on basis. after expiration of the grace period, party b shall pay for the rent before the【 】 day of the c

36、幣支付。party b shall pay the rent and all other amounts due and payable in rmb to the account designated by party a.九、保證金deposit1 自本合同簽訂之日起 日內(nèi),乙方應(yīng)向甲方繳付相當(dāng)于【 】個(gè)月的租金計(jì)人民幣【 】元作為保證金及首期租金人民幣【 】元,共計(jì)人民幣【 】元。within【 】days after the execution of this lease agreement, party b shall pay to party a a deposit in the

38、interest to party b within thirty (30) days after the expiration of this lease agreement. if there is any default penalty or compensation or expenses incurred due to the breach of party b and/or any due amount that party b fails to pay, party a may deduct such default penalty or compensation or expe
39、nses or due amount from the deposit.3在本合同期限內(nèi),如有任何應(yīng)由乙方支付的違約金、賠償金、費(fèi)用和/或其他應(yīng)付款項(xiàng),甲方可直接從保證金中予以扣除,乙方應(yīng)在接到甲方書面通知后五(5)天內(nèi)補(bǔ)足該部分保證金。during the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by party b, party a may deduct such amount from the de
40、posit and party b shall, within five (5) days after party a so notifies.十、大廈及承租區(qū)域的交付狀態(tài)the state of the premises when delivery甲方按現(xiàn)狀交樓,具備辦公條件。party a will deliver the premises at as-it-is basis, which satisfies the conditions as office.十一、甲方的權(quán)利義務(wù)party as rights and responsibilites11甲方在本租賃合同規(guī)定的期限內(nèi)將房屋交付
41、乙方。party a shall deliver the premises to party b within the term specified herein.12甲方保證是房屋的合法權(quán)利人,有充分的權(quán)利出租房屋。party a shall ensure that it is legal owner of the premises and have full right to lease the premises.13甲方的權(quán)利保留party a may reserve the following rights.11 使用公共設(shè)施;to use the public facilities;
42、12 進(jìn)入房屋內(nèi)對公共設(shè)施進(jìn)行檢查和維修。甲方行使該項(xiàng)權(quán)利時(shí),應(yīng)提前通知乙方,緊急情況除外。to enter into the premises for check and maintenance provided that party a shall inform party b in advance except under emergency.13 在發(fā)出通知后(緊急情況除外),有權(quán)暫停大廈設(shè)施進(jìn)行維修和維護(hù),可能導(dǎo)致水電的中斷。甲方無需為此承擔(dān)責(zé)任。to repair and maintain the facilities of the building which may resul
43、t in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.14 甲方應(yīng)協(xié)助提供乙方提供辦理工商營業(yè)執(zhí)照所需相關(guān)證明文件。party a shall assist party b in registering with industrial and commercial administration by provide necessary documents.15甲方在承租期內(nèi)促使物業(yè)管理機(jī)構(gòu)提供水、電、空調(diào)、供暖及日常房屋
44、維修。party a shall procure the management department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.16 如在租賃期屆滿前兩個(gè)月,乙方未提出續(xù)租請求,或者雖然提出續(xù)租請求,但雙方在三十天內(nèi)未就續(xù)租合同條款達(dá)成一致,甲方有權(quán)在工作時(shí)間帶領(lǐng)其他租戶進(jìn)入房屋查看。if party b does not submit an application for renewal two months pr
45、ior to the expiration of this lease agreement, or if party b submits such application but the parties fail to reach agreement on the renewal, party a shall have the right to enter the premises with other tenant at work hours to review.十二、乙方的權(quán)利和義務(wù)party bs rights and responsibilites11 自行負(fù)責(zé)房屋的裝修和設(shè)施。par
46、ty b shall be responsible for the decoration and facilities of the premises.除非經(jīng)消防局及甲方同意,乙方不得對房屋的主要結(jié)構(gòu)及裝置(包括煙感器及噴淋頭)作任何變動、拆除或調(diào)整。如乙方擅自做任何變動,應(yīng)負(fù)責(zé)將其恢復(fù)原狀并承擔(dān)一切費(fèi)用和相關(guān)責(zé)任。party b shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consen
47、ts of party a and fire control authority. if party b makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.12乙方應(yīng)根據(jù)本合同第六、七、八條的規(guī)定按時(shí)繳納租金及各項(xiàng)相關(guān)費(fèi)用。party b shall pay the rent and other fees pursuant to clauses 6, 7,
48、 and 8 on time.13乙方應(yīng)按本合同的規(guī)定合理使用房屋,并保持房屋的清潔。party b shall reasonably use the premises as provided hereunder and keep it clean.14未得到甲方及大廈管理機(jī)構(gòu)的事先同意,乙方不得在窗外、外墻、公共走廊墻面、電梯間及其它共用區(qū)域懸掛、張貼、附置或以其它方式放置任何廣告、標(biāo)識、招貼或其它資料。party b shall not hang, affix, or display any advertisement, signboard, poster or any other mat
49、erials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of party a and management department.15 乙方在承租期內(nèi)不得將全部或部分房屋轉(zhuǎn)租、分租或借予第三方。during the lease term , party b shall not sub-let or assign the lease to any third party.16 乙方在其經(jīng)營活動中,不得宣稱或令顧客誤認(rèn)為其與
50、甲方關(guān)系屬合作、合營、合伙、聯(lián)營或關(guān)聯(lián)企業(yè)關(guān)系。party b shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with party a during its operation.17乙方應(yīng)自行獲取依據(jù)法律法規(guī)和政府有關(guān)部門規(guī)定應(yīng)具備的所有許可、批準(zhǔn)和證照,保證其營業(yè)活動的合法性。party b shall be responsible for obtaining all
51、 approvals, consents and licenses required by laws to ensure that its operation is legal.18乙方應(yīng)自行承擔(dān)由于乙方工商注冊、稅務(wù)登記、遷址等行為所產(chǎn)生的稅、費(fèi)。party b shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the premises.19對于第三方因乙方對其造成或在房屋內(nèi)發(fā)生
52、的人身傷害或經(jīng)濟(jì)損失而提出的索賠,乙方應(yīng)自行負(fù)責(zé)并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失,乙方保證進(jìn)行賠償。party b shall be responsible for and hold party a harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by party b or caused in the premises. party b hereby warranties that it
53、 shall indemnity party a for any losses caused to party a by such claims.110乙方不得在房屋內(nèi)放置易燃、易爆的物品其他危險(xiǎn)物品。party b shall not keep or store in the premises any flammable or explosive substances or other dangerous substances.111乙方應(yīng)嚴(yán)格遵守甲方和/或大廈物業(yè)管理機(jī)構(gòu)制定并不時(shí)修改的大廈所有管理規(guī)定。party b shall strictly comply with all rule
54、s made and amended from time to time by party and/or the management department.112 乙方不得在房屋內(nèi)從事任何違法活動。party b shall not carry out any illegal activity in the premises.113乙方不得將房屋用于除辦公以外的用途。party b shall not use the premises for any purpose other than as office.114若乙方以租賃房屋作為其公司注冊地址時(shí),乙方應(yīng)在租賃合同終止后15日內(nèi)辦理地址注銷登記手續(xù),乙方逾期辦理的,應(yīng)每日按月租金千分之三的標(biāo)準(zhǔn)向甲方支付滯納金,造成甲方損失的,應(yīng)予以賠償。if the premises is used as companys registered address of party b, party b shall complete the procedur
