3、 new r & d and new plant construction of network cabling systems;b. data center, mainly includes: data center decoration and electrical systems, air-conditioning systems, cctv systems, access control systems, firefighting system reform, server rack systems.1.4開工條件：合同生效后，甲方預(yù)付款到位和現(xiàn)場具備開工條件。start condit

4、ions: after the commencement of the contract, party a has started advance and on-site conditions in place.1.5工程造價(jià)：合同工程總造價(jià)為￥元（cny），人民幣大寫project cost：total project cost is yuan ( cny ).詳細(xì)合同價(jià)格表見附件報(bào)價(jià)清單。detailed contract price list see attached quotation list.在詳細(xì)設(shè)計(jì)和施工過程中，若工程量發(fā)生變化，按合同單價(jià)相應(yīng)調(diào)整工程造價(jià)；若材質(zhì)發(fā)生 變化，按

8、 3 個(gè)月內(nèi)，甲方支付給乙方剩余的合同款，即￥ 元；after the completion of the project within 3 months, party a shall pay to party b the remaining contract price.3.雙方職責(zé)responsibilities of the parties3.1 甲方職責(zé)：responsibilities of party a:a. 及時(shí)以書面形式通知乙方本工程具備開工條件的時(shí)間;timely written notice to party b the conditions of this projec

9、t have the time to start;b. 協(xié)助乙方辦理進(jìn)駐施工現(xiàn)場所需人員證件、批件等有關(guān)手續(xù)；to assist party b to enter the construction site personnel required documents, approval documents and other relevant procedures;c. 為乙方提供現(xiàn)場工程辦公室和足夠的現(xiàn)場倉庫；to provide on-site engineering office and sufficient field warehouse;d. 積極協(xié)助乙方施工，協(xié)調(diào)施工時(shí)與各部門的配合

11、roject funds. 3.2 乙方職責(zé)：responsibilities of party b:a. 乙方在工程開始前應(yīng)組織有關(guān)人員研究和熟悉圖紙，參與設(shè)計(jì)交底，安排施工總進(jìn)度計(jì) 劃并提交給甲方；party b before the project begins shall organize relevant personnel to study and be familiar with drawings, involved in the design work, arrangement of construction general schedule plan and submit t

12、o party a;b. 向甲方或項(xiàng)目監(jiān)理提供所購各種產(chǎn)品、設(shè)備的技術(shù)資料，接受進(jìn)場檢驗(yàn)；to the party a or project supervision to provide the purchase a variety of products, equipment, technical information, accept entry inspection;c. 遵守甲方或監(jiān)理方對(duì)施工現(xiàn)場的有關(guān)規(guī)定；abide by the party or the supervision on construction site of the relevant provisions;d. 按

13、時(shí)完成乙方所承擔(dān)的施工任務(wù)，保證工程施工質(zhì)量。timely completion of construction tasks undertaken by party b, to ensure construction quality.4.施工與工程設(shè)計(jì)變更c(diǎn)onstruction and engineering design change4.1 乙方在施工中要根據(jù)國家頒發(fā)的施工驗(yàn)收規(guī)范和質(zhì)量檢驗(yàn)標(biāo)準(zhǔn)，以及設(shè)計(jì)要求進(jìn)行， 要求全部工程達(dá)到合格標(biāo)準(zhǔn)。on the construction of party b according to the country issued construction

14、 acceptance norms and quality inspection standards, as well as the design requirements, all project achieve the qualified standard.4.2 在施工中，要堅(jiān)持按照設(shè)計(jì)文件和施工圖紙施工，任何一方不得隨意變更設(shè)計(jì)，如出 現(xiàn)窩工、返工和材料損失，以及增加勞動(dòng)力成本等，由于甲方的原因造成的，損失由甲方承 擔(dān)，由于乙方的原因造成的，損失由乙方承擔(dān)。during construction, to adhere to the design documents and constr

16、工中，若甲方 a 有變更設(shè)計(jì)文件的要求，應(yīng)書面通知乙方；若乙方發(fā)現(xiàn)設(shè)計(jì)文件 有錯(cuò)誤或嚴(yán)重不合理的地方，也應(yīng)書面通知甲方，雙方商定并修改設(shè)計(jì)文件和圖紙后方可繼 續(xù)施工。during the construction, if the party a to change the design document, shall give a written notice to party b; if party b is found the design documents are wrong or serious unreasonable place, should also be written n

19、tinue construction;c. 乙方不能按期供設(shè)備或所供材料或者設(shè)備不合規(guī)格要求，被迫停工或不能順利施工的； party b fails to supply equipment or for the materials or equipment of different specifications, was forced to shut down or not smooth construction;5.竣工驗(yàn)收與售后服務(wù)final acceptance and after-sales service5.1 乙方必須嚴(yán)格執(zhí)行隱蔽工程驗(yàn)收制度，凡隱蔽工程完成后，必須經(jīng)過驗(yàn)收并作好記

20、錄(隱 蔽工程指墻內(nèi)、吊頂內(nèi)的管線施工等）。party b must strictly enforce the hidden work system, where the hidden work has been completed, must pass inspection and make records (hidden works refers to the wall, the ceiling inside the pipeline construction, etc.).5.2 整體工程竣工后，乙方向甲方提交竣工文檔并提交書面驗(yàn)收申請(qǐng)。甲方接到申請(qǐng)后 7日內(nèi)組織有關(guān)人員按照合同內(nèi)容和事

21、先約定的驗(yàn)收條款進(jìn)行項(xiàng)目驗(yàn)收，并出具雙方簽字的驗(yàn) 收?qǐng)?bào)告。如甲方不能按期組織驗(yàn)收，須提前通知乙方，并與乙方另行商定驗(yàn)收日期，但甲方 必須承認(rèn)乙方的竣工時(shí)間。甲方推遲驗(yàn)收，其間所發(fā)生的管理費(fèi)和各項(xiàng)損失均由甲方負(fù)擔(dān)。 如果提交驗(yàn)收申請(qǐng)后一個(gè)月仍未能完成驗(yàn)收，則以竣工之日作為系統(tǒng)的保修開始日期。 when the whole project is completed, party b shall submit to party a complete documentation and submit a written acceptance application. party a shall wit

24、completion date as the system warranty start date.5.3 工程驗(yàn)收合格后進(jìn)入質(zhì)保期。質(zhì)保期為驗(yàn)收合格之日起 12 個(gè)月。在質(zhì)保期內(nèi)，乙方應(yīng) 對(duì)系統(tǒng)除人為因素外的所有故障負(fù)責(zé)免費(fèi)維修或更換。project after acceptance into the warranty period. warranty period from the date of acceptance of 12 months. during the warranty period, party b shall system in addition to human fa

25、ctors all fault is responsible for free repair or replacement.5.4 在質(zhì)保期內(nèi)，乙方做到對(duì)甲方求援電話 2 小時(shí)內(nèi)響應(yīng)，8 小時(shí)內(nèi)抵達(dá)現(xiàn)場并著手解決問 題。質(zhì)保期結(jié)束后，乙方對(duì)系統(tǒng)進(jìn)行有償維護(hù)。有償維護(hù)的費(fèi)用由雙方協(xié)商。during the warranty period, party b shall do to help telephone response within 2 hours, 8 hours to arrive at the scene and set about solving the problem. afte

26、r the end of the warranty period, party b on the system paid maintenance. paid maintenance costs through consultation by the two parties.6.技術(shù)服務(wù)和培訓(xùn)technical service and training6.1 由乙方按技術(shù)培訓(xùn)大綱負(fù)責(zé)對(duì)甲方的有關(guān)操作人員和維修人員進(jìn)行使用級(jí)培訓(xùn)。通過 培訓(xùn)，使甲方的受訓(xùn)人員能掌握系統(tǒng)設(shè)備的配置，能進(jìn)行正確操作和日常維護(hù)及一般常見故 障排查。接受培訓(xùn)的人員由甲方確定，日期由甲乙雙方共同商定。party b acco

28、y the party a, the date mutually agreed by both parties.6.2 在保修期內(nèi)，乙方提供兩次上門巡檢服務(wù)，包括各系統(tǒng)運(yùn)行狀況的查看、記錄，以及 必要的設(shè)備維護(hù)。during the warranty period, party b shall provide two on-site inspection services, including the status of system view, recording, and the necessary equipment maintenance.6.3 乙方為甲方免費(fèi)提供網(wǎng)絡(luò)綜合布線系統(tǒng)和數(shù)

29、據(jù)中心的技術(shù)咨詢服務(wù)。party b shall provide free network cabling system and data center technical advisory services.7.違約責(zé)任the liability for breach of contract7.1 乙方提供貨物的質(zhì)量或規(guī)格不符合合同約定，行業(yè)規(guī)格或政府的法令法規(guī)的要求的， 甲方可以根據(jù)貨物的性質(zhì)以及損失大小，要求乙方承擔(dān)修理，更換，退貨，減少價(jià)款等責(zé)任。 party b shall provide the quality or specifications of the goods does

30、 not conform to the contract specifications, industry or government regulatory requirements, party a may according to the nature of the goods and the loss of size, b should bear the repair, replacement, return, reduce cost.7.2 乙方除因受中華人民共和國合同法規(guī)定的不可抗力因素影響外，如果未能按計(jì)劃 施工，則乙方在竣工之日前，每日應(yīng)按甲方所支付合同款的 1（大寫：千分之一）

32、及時(shí)以 書面形式將不能按時(shí)交貨的理由、預(yù)期延誤時(shí)間通知甲方。甲方收到乙方通知后，認(rèn)為其理 由正當(dāng)?shù)?，可酌情延長交貨時(shí)間。during performance of the contract, if party b know ahead of time has not delivered on time or to provide service, should be promptly in writing of the reasons for not delivered on time, anticipated delay time notify party. party a received

33、 notification, think its reason, could be appropriate to extend the time of delivery.7.4 若由于甲方更改設(shè)計(jì)需求、未確認(rèn)材料或設(shè)備型號(hào)、未確認(rèn)施工方案而導(dǎo)致設(shè)備訂貨 周期推遲，因此導(dǎo)致的延遲交貨，乙方不負(fù)擔(dān)任何責(zé)任。if due to party a to change the design demand, did not confirm material or equipment models, unrecognised construction scheme caused by equipment or

34、der cycle time delay, thus causing the delay of delivery, party b does not bear any responsibility.7.5 甲方在合同規(guī)定的付款期限內(nèi)未能及時(shí)付款，視為甲方違約。甲方每日按合同款項(xiàng)的 千分之一賠償乙方損失。party a in the contract payment period failed to timely payment, regarded as a breach of contract. party a according to the contract sum 1/1000 dail

35、y compensation for any loss of party b.7.6 甲乙任意方因第三者的原因造成違約的，應(yīng)向?qū)Ψ匠袚?dān)違約責(zé)任。any party for the third party reasons for default, shall be liable to the other party for breach.8.合同的變更the modification of contract合同需在甲乙雙方公平協(xié)商，達(dá)成一致的條件下進(jìn)行變更，變更的內(nèi)容需以文字正本形式經(jīng) 雙方授權(quán)人簽字并蓋章后生效。一切變更內(nèi)容作為附件存在與合同正本具有相同的法律效力。 any modification must on the basis of fair negotiation and be accepted by both sides. the formal file of modified contract should be validating after signed and stamped by authorized person of both sides. all change to the content as an attachment with the original cont
