2、on tract ing parties fails to fulfil the obligati ons prescribed by thec on tract and articles of association,or seriously violates the provisionsofthecon tract and articles of associati on, that party shall be deemed tohave un laterallyterm in atedthe con tract. The other partyshall have theright t

3、o term in ate the con tract in accorda nee with the provisi ons of thec on tract after approval by the origi nalexam in atio nand approvalauthority, and to claimdamages. In case Party A and Party B of thecooperative ven ture compa ny agree to con ti nue the operati on, the party whofails to fulfil i

4、ts obligatio ns shall be liable for the econo mic lossescaused thereby to the joint ven ture compa ny.iArticle 43 Should either Party A or Party B fail to provide on schedulethee on tributi onsin accorda nee with theprovisi ons defi ned in Chapter 5 ofthis con tract, the party in breach shall pay to

Both parties shall, through con sultati ons, decidewhether to termi nate the con tract or to exempt part of the obligati ons forimpleme ntatio n of the con tract or whether to delay the executi on of thec on tract accord ing to the effects of the eve

11、 nts on the performa nee of thec on tract.Chapter 19 Applicable LawArticle 47 The formatio n, validity, in terpretati on, executi on and settleme nt ofdisputes in respect of, this con tract shall be governed by the relevantlaws of the People’’s Republic of China.Chapter 20 Settleme nt of

12、 DisputesArticle 48 Any disputes aris ing from the executi on of, or inconn ecti on with, thee on tract shall be settled through frien dly con sultatio ns betwee n bothparties. In case no settleme nt can be reached throughcon sultatio ns,thedisputes shall besubmitted to theForeig nEcono micand Trade

13、Arbitratio nCommissio n of the China Coun cil for the Promoti on of InternationalTradefor arbitration in accordanee with itsrules of procedure. The arbitralaward is final and binding upon both parties.Article 49 Dur ing the arbitratio n, the con tractshall beobserved and en forced byboth parties exc
