6、口 /設(shè)備立即予以斷開處理。客戶須按正常收費(fèi) 標(biāo)準(zhǔn)承擔(dān)安裝費(fèi)用。(D) Termination NotificationThe duration of this agreement as it stated in (A), early termination is not allowed inthis contract.This agreement will be exteautomatically for successive period equal to the current term. All period should be run to the last day of the m
7、onth in which they would otherwise expire .Client can terminate this agreement a end date stated in it by giving at least two months written notice However, if this agreement is for two months or shorter, the client inform OFI one week before the end date stated in this agreement.(D)終止協(xié)議通知此合同到期時間如(A

Client must not sublet or part with possession of the Premi
12、ses to any third party.租金RENT每月租金須以現(xiàn)金、支票及/或銀行轉(zhuǎn)賬形式,于前一個月25日前繳至(B)節(jié)中澳菲指定銀行賬戶;每月服務(wù)費(fèi)須以現(xiàn)金、支票及/或銀行轉(zhuǎn)賬形式,于下月 25日前繳至(B)節(jié)中澳菲指定銀行賬戶The monthly rental and service fee shall be payable monthly by means of cash, cheque and/or bank transfer respectively on the 25 th day of previous month and 25 th day of next mont

Special arran geme nt for use of such services outside n ormalbus in ess hours is availableupon request subject to additi onal RMB 150per hour.使用及使用限制USE AND LIMITATIONS ON USE客戶除自身擁有的筆記本電腦或個人電腦、傳真機(jī)及桌面打印設(shè)備之外,不得再安裝或變更任何電線、電纜、導(dǎo)線或 其他電氣及通訊線路。Clie nt shall not in stall or alter any wir ing,
16、 cabli ng, con duit or other electrical or telecommu ni cati on lin es, other tha n Clie nt-ow ned laptop or pers onal computers, fax mach ine and desktop pri nters.客戶如需在本機(jī)構(gòu)內(nèi)設(shè)置無線通訊連接裝置,則須征得澳菲同意。Client is required to obtainpermissionfrom OFI for establishing wireless connectivity settings in theFacil
17、ity.客戶僅限于將該房屋作為辦公用途,并且不得使用或允許他人使用該房屋,以達(dá)到下列任何目的、或采用下列任何方式:(a)該目的或方式為非法的;(b )該目的或方式對業(yè)主或其他租賃單位造成騷擾的;(c)該目的或方式可能對物業(yè)構(gòu)成危險、或造成本機(jī)構(gòu)保險費(fèi)用上升的;(d )損害本機(jī)構(gòu)作為一流商務(wù)中心的性質(zhì)的;(e)其“零售”經(jīng)營性質(zhì)造成無關(guān)人士進(jìn)入該處所的。Clie nt will use the Premises for office purpose only and will not use or permit the use of the Premises forany purpose or
18、in any manner that is (a)illegal, (b) creates an un reas on able annoyance to own ers orother tenan ts, (c) which may be dan gerous to the property and in crease the in sura nce premium of theFacility, (d) impair the character of the Facility as a first classbus in esscen ter,(e)“ retail n aturein v
19、olv ing visits by members of the public.嚴(yán)禁在墻上釘釘子。若客戶需在墻上陳列圖表或圖紙等,請確保墻紙或油漆免受污漬損害。根據(jù)租用房間大小和狀況, 客戶可能須繳納人民幣25004000 元的翻新費(fèi)。公共區(qū)域的家具、固定附著物或裝飾品等,客戶概不得隨意移動。除澳菲向客戶提供之設(shè)施外,客戶不得在本機(jī)構(gòu)處所添加任何鎖具或報警裝置,也不得復(fù)制任何鑰匙及/或門卡。若鑰匙/門卡丟失,須立即向澳菲報告。同時,客戶須承擔(dān)鑰匙/門卡更換費(fèi),如有必要,還須承擔(dān)鎖具換裝費(fèi)。就第(F)節(jié)中所約定之客戶要求更換、或另行增配的鑰匙,客戶須按標(biāo)準(zhǔn)價格向澳菲進(jìn)行償付。未經(jīng)澳菲許可,客戶不
20、得將本 協(xié)議或任何服務(wù)收益權(quán)轉(zhuǎn)讓給任何第三方。If Client needs to display charts or drawing on the wall, make A reno vation cost of RMB2500 Clientsha llnot add anyNailing on the wall is strictly prohibited.not remove fur niture, locks or alarms to theAny loss keys an d/or cost and changing ofsure you leave no stain marks o

Client shallFacility or duplicate any keys an d/or cards in additi on to those fur ni shed by OFI.cards must be reported to OFI immediately and Client
22、shall pay for replacement lock if required. Clie nt will pay OFI sta ndard charges for any additi onal or replaceme nt keys required by Client as stated in section (F). Client cannot transfer the agreement or any services benefiting to any third party without OFI consen sus.房屋的使用及維護(hù)USE AND CARE OF T
23、HE PREMISE客戶務(wù)必細(xì)心愛護(hù)其商務(wù)中心,各辦公用房及其中的設(shè)備、配置及家具。若因客戶一方的業(yè)務(wù)代表人員、雇員及/或訪客所造成的任何財產(chǎn)損失,概由客戶承擔(dān)。凡從客戶所租房屋之外能夠看見之處,客戶概不得將其公司名稱、圖片或 任何其他裝飾附著于門或其他任何地方。Clie nt must take good care of the bus in ess cen ter, the office suites, its equipme nts, fitt ing and fur niturethat you use. Client is liable for any damage causedby
24、 your representatives,employees, and/orvisitors.Clie nt shall not affix sig ns, pictures or other decorati ons on the door or any where else that isvisible from outside your occupied suite(s).不可抗力:有關(guān)責(zé)任的限制FORCE MAJEURE: LIMITATIONS ON LIABILITY澳菲概不保證其所提供之各項服務(wù)不會岀現(xiàn)因與客戶使用的服務(wù)項目相關(guān)的機(jī)械故障而導(dǎo)致的中斷或差錯。對于因非 澳菲所能夠
25、合理控制的原因而造成的任何妨礙、延誤或停頓,澳菲概不承擔(dān)任何責(zé)任。若發(fā)生該等情形,則只要此類 情形繼續(xù)存在,則澳菲將免于繼續(xù)承擔(dān)提供受影響之服務(wù)項目的責(zé)任。客戶須允許澳菲有合理的時間恢復(fù)提供該等服 務(wù)。在任何情形下,對于經(jīng)營業(yè)務(wù)及 /或利潤損失、數(shù)據(jù)破壞、第三方索賠或任何繼發(fā)性損失等,澳菲不承擔(dān)任何責(zé)任。OFI cannotguaranteeits service beinginterruptedand/or error free as a result of mechanicalbreakdown in connectionwithClientsuse of the services. OF
26、I shall have no liability for anypreve nti ons, delay or stoppage of services due to causes bey ond OFI seas on ablecon trol. In sucheve nt, OFI shall be excused from provid ing the affected service for so long as such preve nti on, delay orstoppage contin ues.Clie nt will allow OFI reas on able tim
27、e to resume such services. Un der nocircumsta nce,OFI will be liable for any liability for loss of bus in ess, profit, damaged data, third partyclaim or any con seque ntial loss.違約及提前終止協(xié)議DEFAULT AND EARLY TERMINATION OF AGREEMENT若發(fā)生以下任何情形之一,澳菲可立即終止本協(xié)議:OFI may termi nate the agreeme nt immediately fo
28、r occurre nce of any of the followi ng:(a) 客戶未能償付任何到期應(yīng)付款項、或履行本協(xié)議項下任何其他付款義務(wù)的。Customer fails to pay any sum due and payable, or to perform un der this Agreeme nt any other payme nt obligati ons.(b)客戶未能履行本協(xié)議項下任何其他條款約定,并且在向客戶發(fā)岀有關(guān)該等未能履行義務(wù)事實的通知之后,于十(10 )日內(nèi)仍未得到糾正的。Failure to perform any other provision of
29、this Agreement if not cured within ten (10) days after notice of such failure has bee n give n to clie nt.(c) 客戶及其員工或業(yè)務(wù)代理人員的行為不符合正常辦公室使用規(guī)定的。Clie nt , its employee or age nt s con duct is in compatible with ord inary office use.在該等情形下,客戶必須:Un der such circumsta nces, Clie nt must:(d) 對于因協(xié)議終止而造成的任何損失進(jìn)
30、行賠償,免除澳菲的任何責(zé)任。Indemnify OFI aga inst any losses in curred as a result of the term in ati on(e) 足額清償協(xié)議剩余期間(若其尚未被澳菲所終結(jié))的所有月度服務(wù)費(fèi)(包括租賃費(fèi))Pay in full all monthlyservice fee (includedrentalfee) for the remaining period of the agreementshould OFI not en ded it.(f) 足額清償所有尚未支付的服務(wù)費(fèi)。Pay in full all outsta nding
31、 services fee.延遲付款 LATE PAYMENT截止到每月二十五日(付款截止日)尚未繳納的到期應(yīng)付款項,須按以下利率承擔(dān)滯納金:Fee not paid on the 25thday (the “ due date ” ) of each month when due will bear late payment charge atthe following rate:滯納金:每日收取該到期賬單金額的千分之五作為滯納金。Late Payme nt fee: OFI will charge clie nt 5%o of outsta nding in voice daily.在足額
32、繳清應(yīng)付款項前,本公司保留暫停提供服務(wù)(包括拒絕進(jìn)入房屋權(quán))。We reserve the right to withhold services(includesdenying access to the premise) untiloutstandingpayme nt is received in full.保證金 SECURITY DEPOSIT待辦公室的服務(wù)租賃合同期滿后,澳菲將保證金予以返還。在最后一個開票周期結(jié)束時,保證金將在扣除所有到期應(yīng) 付款之后予以返還。保證金余額將存入客戶在中國境內(nèi)指定的銀行賬戶內(nèi)。保證金不得用于抵沖客戶最后一個月的租 金及/或服務(wù)費(fèi)。The securit

34、et Client s last months rental and/or service fees.在本合同解除或正常終止之后,客戶必須做到以下兩點(diǎn):其一客戶應(yīng)負(fù)責(zé)向上海市長寧區(qū)房地產(chǎn)交易中心辦理本合同的注銷租賃備案登記手續(xù),并承擔(dān)相應(yīng)費(fèi)用;或客戶可委托澳菲負(fù)責(zé)辦理前述注銷租賃備案登記手續(xù),但應(yīng)承擔(dān)澳菲為完成該等注銷租賃備案登記手續(xù)所發(fā)生的所有合理費(fèi)用。其二,客戶將在其搬離本合同項下的房屋之前變更其上海代表處(或公司)的注冊地址,并將反映客戶上海代表處(或公司)注冊地址變更的證明文件之復(fù)印件提供給澳菲。如果客戶未能在規(guī)定期限(自客戶書面通知我司解除本合同之日至客戶實際搬離本合同項下的房屋之日
35、的前一天為止的 期限)內(nèi)做到上述兩點(diǎn),則我司將有權(quán)沒收客戶的已經(jīng)實際繳納的保證金。Clie nt either uni laterally term in ates this Con tract before expirati on of this Con tract or whe n the con tract expires, Clie nt is still liable for the followi ng two obligati ons after term in ati on of this Con tract:Firstly, Clie nt is resp on sible
36、for deali ng with the deregistrati on formalities of this Lease Con tract with theCHING NING real estate mun icipality on its own costs; as an alter native, Clie nt may en trust OFI to go through all suchderegistrati onprocedures and compe nsate OFI of any reason able costs alreadyassumed by OFI in
37、conn ecti on with such deregistrati on.Secon dly, Clie nt shall cha nge the registered address of its Shan ghai Represe ntative Office before movi ngout of the Premisehereunder,and provide OFI with a copy of the evidenee of such changeof theregistered address of the Clie ntsSha nghai Represe ntative
38、.If Client fails to perform the above two responsibilitieswithin the stipulated period (the periodcomme ncing from the issua nee date of the writte n term in ati onno tice by the Clie nt and ending on theday before the date when Client actually moves out of the Premise hereunder), OFI will be entitl
39、ed to withhold and keep the security deposit Clie nt already paid.賠償 INDEMNITY客戶同意,對于客戶或任何其他人因任何原因在房屋或本機(jī)構(gòu)之內(nèi)、之中或其周圍所遭受的任何損失、責(zé)任、人身傷 亡或財產(chǎn)損失等,澳菲或其業(yè)務(wù)代理人員概不承擔(dān)任何責(zé)任。對于因在房屋或本機(jī)構(gòu)之內(nèi)、之中或其周圍發(fā)生任何人 身或財產(chǎn)損失而提出的任何索賠,而致使澳菲遭受的一切損失、損害、賠償、債務(wù)、費(fèi)用開支及律師費(fèi)用等,客戶均 將給予賠償并保護(hù)澳菲免遭任何該等損失或損害情形之侵害。Clie nt agrees that n either OFI nor it
40、s age nts shall be liable for any loss, liability, in jury, death or damage to pers ons or property which is suffered or susta ined by Clie nt or any other pers on in, on or about the Premises or Facility from any cause. Client will indemnify and hold OFI harmless from all costs, damages, claims, li
41、abilities, expenses and attorneys fees arisingout of any claim of damage to anyperson or property occurring in, on or about the Premises or the Facility.進(jìn)入房屋之權(quán)利ENTRY ON PREMISES我司有權(quán)在事先口頭或書面通知客戶的情況下,于正常工作時間內(nèi)進(jìn)入房屋進(jìn)行認(rèn)為有利于房屋的維護(hù)、安全或改善 任何修理、更換或清掃作業(yè)。任何情況下,該等進(jìn)入不得被視為或當(dāng)作針對客戶的收回或非法侵入其租賃屋舍之行為。OFI have the right
42、to enter the Premises during office hours with prior verbal and/or written notice toClient for the purpose of making any repairs, alterations or cleaning which it shall deem necessary for the preservati on, safety or improveme nts of the Premises.Such acti ons are without in any way beingdeemed or h
43、eld to have committed an evicti on of or trespass aga inst Clie nt.客戶租賃期滿前六十(60 )日,經(jīng)客戶確認(rèn)將終止租賃關(guān)系的,客戶應(yīng)允許我司向任何有意租用的第三方展示該房間。Sixty (60) days prior to the expiration date of the Client s lease, Client shaOFaltoshow the suiteto any 3rd parties who intend to occupy the suite after Client confirm to termina
44、te its lease.房屋之退還 SURRENDER OF PREMISES租賃期滿或終止后,客戶須將房屋以干凈、整潔、無需修理的狀況退還給澳菲,并將其中 客戶的所有個人財產(chǎn)及雜物等清運(yùn)岀場。對于租賃期滿仍被棄置的任何個人財產(chǎn),澳菲有權(quán)對之進(jìn)行轉(zhuǎn)售處理,而無 須承擔(dān)任何經(jīng)濟(jì)責(zé)任。On expirati on or term in ati on of the Term, Clie nt will surre nder to OFI the Premises in good and san itarycondition free of repair, and with all of Clien
45、ts personal property and debris removed.OFI has therights to re-sell or dispose any personal property after lease has expired without any financial liability.終止租賃時,為恢復(fù)房屋之正常使用功能,澳菲指定承包商或指定個人可能會向客戶收取一筆費(fèi)用。為恢復(fù)房屋正常 使用功能而續(xù)租期間的租金,將按足額收取。Upon termination, a fee may be charged to carry out restoration and ma
46、ke good of the premises by OFIappo in tedcon tractorsand pers onn el.Ren tal for the days required to restore the premises will becharged at full rate.若本協(xié)議期滿時,客戶不在租賃處所,則因客戶未能按時撤岀而造成的任何損失、索賠或責(zé)任等,概由客戶承擔(dān)。If Client is not on-site upon expiration of the agreement, Client shall be responsible for any loss
47、, claim orliability incurred as a result of Client s failure to vacate on time.若條件允許,并按標(biāo)準(zhǔn)收費(fèi)補(bǔ)足繳費(fèi)后,澳菲可允許客戶享有一段寬限期。OFI may permit Client an extension subject to availability and surcharge on the standard rate.無病毒感染的個人計算機(jī)VIRUS FREE PERSONAL COMPUTER對于帶入辦公室內(nèi)使用的所有個人計算機(jī),客戶務(wù)必安裝最新版本的殺毒軟件并須保證軟件始終有效。澳菲已示警告 而因客
48、戶不愿意配合而導(dǎo)致的網(wǎng)絡(luò)/互聯(lián)網(wǎng)連接中斷等故障,客戶須承擔(dān)經(jīng)濟(jì)責(zé)任。Clie nt must in stall the latest an ti-virussoftware in all pers onal computers broughtin to use and toensure the effectiveness of the software at all times. Client will be financially liable for network/internetdisc onn ecti on if such failure is caused by Clie nts
49、un willi ngn ess to cooperate after war ning by OFI.休息室及公用區(qū)域 COFFEE LOUNGE AND COMMON AREAS除會議室外,客戶不得將咖啡休息區(qū)及其他公用區(qū)域用于從事任何形式的業(yè)務(wù)活動。必須將噪音減至最低限度,以免 對其他客戶或租戶造成任何侵?jǐn)_。Clie nt should not use the coffee lou nge and com mon areas (other tha n the conference rooms) to con duct any type of bus in ess.The no ise l
