5、not to install wireless network or anytechnology/equipment that affects OFIs operations. Should Client deploy his/her network without authorization from OFI, the connection/equipment will be deactivated immediately without notice. Client shall be charged for installation at the regular rate.客戶承諾不安裝任
6、何可能影響澳菲正常運作的無線網(wǎng)絡(luò)系統(tǒng)或其他技術(shù)設(shè)備。若客戶非經(jīng)澳菲授權(quán)許可,而對其網(wǎng)絡(luò)系統(tǒng)擅自進行配置,則無須告知即可對其連接端口/設(shè)備立即予以斷開處理??蛻繇毎凑J召M標(biāo)準(zhǔn)承擔(dān)安裝費用。(D) Termination NotificationThe duration of this agreement as it stated in (A), early termination is not allowed in this contract. This agreement will be extended automatically for successive period equal t
7、o the current term. All period should be run to the last day of the month in which they would otherwise expire .Client can terminate this agreement at the end date stated in it by giving at least two months written notice to OFI. However, if this agreement is for two months or shorter, the client sh
8、ould inform OFI one week before the end date stated in this agreement. (D)終止協(xié)議通知此合同到期時間如(A)節(jié)中所約定,不可提前解約。若到期客戶未終止本合同,則合同可自動延長與現(xiàn)簽訂的合同期限相同長的時間。所有期限都于到期月份的最后一日到期。合同終止的條件是,客人必須在兩個月前以書面形式通知澳菲,若合同租期少于兩個月,則客人必須在一個星期前通知澳菲。(E) Services included in the monthly rental: Office furniture (each workstation include

11、0Pedestal key: RMB 50Cabinet key: RMB 50Phone handset: RMB3000(F)設(shè)施更換費(數(shù)量以一為單位)門卡: 人民幣100元移動推柜鑰匙: 人民幣50元柜門鑰匙: 人民幣50元 機: 人民幣3000元房屋PREMISE客戶取得房屋,表明其已接受該房間達到“符合”項下條件,并適于其擬定用途??蛻舨坏脤⒃摲课菖c任何第三方分租或合用。By taking possession of the premise, Client has accepted the suite(s) is under AS IS condition and suitable
12、 for Clients intended use. Client must not sublet or part with possession of the Premises to any third party.租金RENT每月租金須以現(xiàn)金、支票及/或銀行轉(zhuǎn)賬形式,于前一個月25日前繳至(B)節(jié)中澳菲指定銀行賬戶;每月服務(wù)費須以現(xiàn)金、支票及/或銀行轉(zhuǎn)賬形式,于下月25日前繳至(B)節(jié)中澳菲指定銀行賬戶The monthly rental and service fee shall be payable monthly by means of cash, cheque and/or ban
13、k transfer respectively on the 25th day of previous month and 25th day of next month to OFI designated bank account as stated in section (B). 匯率 Exchange Rate客戶可以選擇支付美元,歐元以及日元到澳菲指定的賬戶(詳情請見上頁).因此客戶必須確保所收到的金額在兌換成人民幣后與賬單中的金額相符.澳菲將收取根據(jù)匯率的轉(zhuǎn)換所產(chǎn)生差額.Client may option to wire payment in US$, Euro$, Japanese
14、Yen to the specific bank account as stated in section B. Client must ensure payment collected by OFI after converting into RMB will not be less than the invoice amount.OFI will recover any loss of revenue due to exchange rate conversion.服務(wù)SERVICES每周一至周五,上午9時至下午6時,澳菲將提供各項服務(wù)。如需在正常工作時間以外的其他時間特別安排提供此類服務(wù)
15、,將另加付人民幣150/小時。OFI will provide services from 9:00 am 6:00 pm Monday to Friday. Special arrangement for use of such services outside normal business hours is available upon request subject to additional RMB 150 per hour.使用及使用限制USE AND LIMITATIONS ON USE客戶除自身擁有的筆記本電腦或個人電腦、 機及桌面打印設(shè)備之外,不得再安裝或變更任何電線、電纜、
16、導(dǎo)線或其他電氣及通訊線路。Client shall not install or alter any wiring, cabling, conduit or other electrical or telecommunication lines, other than Client-owned laptop or personal computers, fax machine and desktop printers. 客戶如需在本機構(gòu)內(nèi)設(shè)置無線通訊連接裝置,則須征得澳菲同意。Client is required to obtain permission from OFI for establ
17、ishing wireless connectivity settings in the Facility. 客戶僅限于將該房屋作為辦公用途,并且不得使用或允許他人使用該房屋,以達到下列任何目的、或采用下列任何方式:(a)該目的或方式為非法的;(b)該目的或方式對業(yè)主或其他租賃單位造成騷擾的;(c)該目的或方式可能對物業(yè)構(gòu)成危險、或造成本機構(gòu)保險費用上升的;(d)損害本機構(gòu)作為一流商務(wù)中心的性質(zhì)的;(e)其“零售”經(jīng)營性質(zhì)造成無關(guān)人士進入該處所的。Client will use the Premises for office purpose only and will not use or p
18、ermit the use of the Premises for any purpose or in any manner that is (a) illegal, (b) creates an unreasonable annoyance to owners or other tenants, (c) which may be dangerous to the property and increase the insurance premium of the Facility, (d) impair the character of the Facility as a first cla
19、ss business center, (e) “retail” nature involving visits by members of the public. 嚴(yán)禁在墻上釘釘子。若客戶需在墻上陳列圖表或圖紙等,請確保墻紙或油漆免受污漬損害。根據(jù)租用房間大小和狀況,客戶可能須繳納人民幣25004000元的翻新費。公共區(qū)域的家具、固定附著物或裝飾品等,客戶概不得隨意移動。除澳菲向客戶提供之設(shè)施外,客戶不得在本機構(gòu)處所添加任何鎖具或報警裝置,也不得復(fù)制任何鑰匙及/或門卡。若鑰匙/門卡丟失,須立即向澳菲報告。同時,客戶須承擔(dān)鑰匙/門卡更換費,如有必要,還須承擔(dān)鎖具換裝費。就第(F)節(jié)中所約定之客
20、戶要求更換、或另行增配的鑰匙,客戶須按標(biāo)準(zhǔn)價格向澳菲進行償付。未經(jīng)澳菲許可,客戶不得將本協(xié)議或任何服務(wù)收益權(quán)轉(zhuǎn)讓給任何第三方。Nailing on the wall is strictly prohibited. If Client needs to display charts or drawing on the wall, make sure you leave no stain marks or damage to the wallpaper and paint. A renovation cost of RMB2500 RMB4000 will apply depending on t
21、he suites size and condition. Client shall not remove furniture, fixtures or decorative materials from the public areas. Client shall not add any locks or alarms to the Facility or duplicate any keys and/or cards in addition to those furnished by OFI. Any loss keys and/or cards must be reported to O
22、FI immediately and Client shall pay for replacement cost and changing of lock if required. Client will pay OFI standard charges for any additional or replacement keys required by Client as stated in section (F). Client cannot transfer the agreement or any services benefiting to any third party witho
23、ut OFI consensus.房屋的使用及維護 USE AND CARE OF THE PREMISE客戶務(wù)必細(xì)心愛護其商務(wù)中心,各辦公用房及其中的設(shè)備、配置及家具。若因客戶一方的業(yè)務(wù)代表人員、雇員及/或訪客所造成的任何財產(chǎn)損失,概由客戶承擔(dān)。凡從客戶所租房屋之外能夠看見之處,客戶概不得將其公司名稱、圖片或任何其他裝飾附著于門或其他任何地方。Client must take good care of the business center, the office suites, its equipments, fitting and furniture that you use. Clie
24、nt is liable for any damage caused by your representatives, employees, and/or visitors. Client shall not affix signs, pictures or other decorations on the door or anywhere else that is visible from outside your occupied suite(s).不可抗力:有關(guān)責(zé)任的限制 FORCE MAJEURE: LIMITATIONS ON LIABILITY澳菲概不保證其所提供之各項服務(wù)不會出現(xiàn)
25、因與客戶使用的服務(wù)項目相關(guān)的機械故障而導(dǎo)致的中斷或差錯。對于因非澳菲所能夠合理控制的原因而造成的任何妨礙、延誤或停頓,澳菲概不承擔(dān)任何責(zé)任。若發(fā)生該等情形,則只要此類情形繼續(xù)存在,則澳菲將免于繼續(xù)承擔(dān)提供受影響之服務(wù)項目的責(zé)任??蛻繇氃试S澳菲有合理的時間恢復(fù)提供該等服務(wù)。在任何情形下,對于經(jīng)營業(yè)務(wù)及/或利潤損失、數(shù)據(jù)破壞、第三方索賠或任何繼發(fā)性損失等,澳菲不承擔(dān)任何責(zé)任。OFI cannot guarantee its service being interrupted and/or error free as a result of mechanical breakdown in conne
26、ction with Clients use of the services. OFI shall have no liability for any preventions, delay or stoppage of services due to causes beyond OFI s reasonable control. In such event, OFI shall be excused from providing the affected service for so long as such prevention, delay or stoppage continues. C
27、lient will allow OFI reasonable time to resume such services. Under no circumstance, OFI will be liable for any liability for loss of business, profit, damaged data, third party claim or any consequential loss.違約及提前終止協(xié)議 DEFAULT AND EARLY TERMINATION OF AGREEMENT若發(fā)生以下任何情形之一,澳菲可立即終止本協(xié)議:OFI may termina
28、te the agreement immediately for occurrence of any of the following:(a) 客戶未能償付任何到期應(yīng)付款項、或履行本協(xié)議項下任何其他付款義務(wù)的。Customer fails to pay any sum due and payable, or to perform under this Agreement any other payment obligations.(b) 客戶未能履行本協(xié)議項下任何其他條款約定,并且在向客戶發(fā)出有關(guān)該等未能履行義務(wù)事實的通知之后,于十(10)日內(nèi)仍未得到糾正的。Failure to perfor
29、m any other provision of this Agreement if not cured within ten (10) days after notice of such failure has been given to client.(c) 客戶及其員工或業(yè)務(wù)代理人員的行為不符合正常辦公室使用規(guī)定的。Client, its employee or agents conduct is incompatible with ordinary office use. 在該等情形下,客戶必須:Under such circumstances, Client must:(d) 對于因
30、協(xié)議終止而造成的任何損失進行賠償,免除澳菲的任何責(zé)任。Indemnify OFI against any losses incurred as a result of the termination(e) 足額清償協(xié)議剩余期間(若其尚未被澳菲所終結(jié))的所有月度服務(wù)費(包括租賃費)Pay in full all monthly service fee (included rental fee) for the remaining period of the agreement should OFI not ended it.(f) 足額清償所有尚未支付的服務(wù)費。Pay in full all o
31、utstanding services fee. 延遲付款 LATE PAYMENT截止到每月二十五日(付款截止日)尚未繳納的到期應(yīng)付款項,須按以下利率承擔(dān)滯納金:Fee not paid on the 25th day (the “due date”) of each month when due will bear late payment charge at the following rate:滯納金: 每日收取該到期賬單金額的千分之五作為滯納金。Late Payment fee: OFI will charge client 5 of outstanding invoice dail
32、y.在足額繳清應(yīng)付款項前,本公司保留暫停提供服務(wù)(包括拒絕進入房屋權(quán))。We reserve the right to withhold services (includes denying access to the premise) until outstanding payment is received in full. 保證金 SECURITY DEPOSIT待辦公室的服務(wù)租賃合同期滿后,澳菲將保證金予以返還。在最后一個開票周期結(jié)束時,保證金將在扣除所有到期應(yīng)付款之后予以返還。保證金余額將存入客戶在中國境內(nèi)指定的銀行賬戶內(nèi)。保證金不得用于抵沖客戶最后一個月的租金及/或服務(wù)費。OFI
33、will refund the security deposit after office contract has expired. The security deposit refund less any outstanding dues shall be processed upon completing the final billing cycle. The remaining balance will be deposited into Clients designated bank account in China. The Security Deposit cannot be
34、used to offset Clients last months rental and/or service fees. 在本合同解除或正常終止之后,客戶必須做到以下兩點:其一客戶應(yīng)負(fù)責(zé)向上海市長寧區(qū)房地產(chǎn)交易中心辦理本合同的注銷租賃備案登記手續(xù), 并承擔(dān)相應(yīng)費用;或客戶可委托澳菲負(fù)責(zé)辦理前述注銷租賃備案登記手續(xù),但應(yīng)承擔(dān)澳菲為完成該等注銷租賃備案登記手續(xù)所發(fā)生的所有合理費用。其二, 客戶將在其搬離本合同項下的房屋之前變更其上海代表處(或公司)的注冊地址, 并將反映客戶上海代表處(或公司)注冊地址變更的證明文件之復(fù)印件提供給澳菲。如果客戶未能在規(guī)定期限(自客戶書面通知我司解除本合同之日至客
35、戶實際搬離本合同項下的房屋之日的前一天為止的期限)內(nèi)做到上述兩點,則我司將有權(quán)沒收客戶的已經(jīng)實際繳納的保證金。Client either unilaterally terminates this Contract before expiration of this Contract or when the contract expires, Client is still liable for the following two obligations after termination of this Contract:Firstly, Client is responsible for d
36、ealing with the deregistration formalities of this Lease Contract with the CHING NING real estate municipality on its own costs; as an alternative, Client may entrust OFI to go through all such deregistration procedures and compensate OFI of any reasonable costs already assumed by OFI in connection
37、with such deregistration. Secondly, Client shall change the registered address of its Shanghai Representative Office before moving out of the Premise hereunder, and provide OFI with a copy of the evidence of such change of the registered address of the Clients Shanghai Representative. If Client fail
38、s to perform the above two responsibilities within the stipulated period (the period commencing from the issuance date of the written termination notice by the Client and ending on the day before the date when Client actually moves out of the Premise hereunder), OFI will be entitled to withhold and
39、keep the security deposit Client already paid.賠償 INDEMNITY客戶同意,對于客戶或任何其他人因任何原因在房屋或本機構(gòu)之內(nèi)、之中或其周圍所遭受的任何損失、責(zé)任、人身傷亡或財產(chǎn)損失等,澳菲或其業(yè)務(wù)代理人員概不承擔(dān)任何責(zé)任。對于因在房屋或本機構(gòu)之內(nèi)、之中或其周圍發(fā)生任何人身或財產(chǎn)損失而提出的任何索賠,而致使澳菲遭受的一切損失、損害、賠償、債務(wù)、費用開支及律師費用等,客戶均將給予賠償并保護澳菲免遭任何該等損失或損害情形之侵害。Client agrees that neither OFI nor its agents shall be liable
40、for any loss, liability, injury, death or damage to persons or property which is suffered or sustained by Client or any other person in, on or about the Premises or Facility from any cause. Client will indemnify and hold OFI harmless from all costs, damages, claims, liabilities, expenses and attorne
41、ys fees arising out of any claim of damage to any person or property occurring in, on or about the Premises or the Facility. 進入房屋之權(quán)利 ENTRY ON PREMISES我司有權(quán)在事先口頭或書面通知客戶的情況下,于正常工作時間內(nèi)進入房屋進行認(rèn)為有利于房屋的維護、安全或改善任何修理、更換或清掃作業(yè)。任何情況下,該等進入不得被視為或當(dāng)作針對客戶的收回或非法侵入其租賃屋舍之行為。OFI have the right to enter the Premises during
42、 office hours with prior verbal and/or written notice to Client for the purpose of making any repairs, alterations or cleaning which it shall deem necessary for the preservation, safety or improvements of the Premises. Such actions are without in any way being deemed or held to have committed an evi
43、ction of or trespass against Client.客戶租賃期滿前六十(60)日,經(jīng)客戶確認(rèn)將終止租賃關(guān)系的,客戶應(yīng)允許我司向任何有意租用的第三方展示該房間。Sixty (60) days prior to the expiration date of the Clients lease, Client shall allow OFI to show the suite to any 3rd parties who intend to occupy the suite after Client confirm to terminate its lease.房屋之退還 SUR
44、RENDER OF PREMISES 租賃期滿或終止后,客戶須將房屋以干凈、整潔、無需修理的狀況退還給澳菲,并將其中 客戶的所有個人財產(chǎn)及雜物等清運出場。對于租賃期滿仍被棄置的任何個人財產(chǎn),澳菲有權(quán)對之進行轉(zhuǎn)售處理,而無須承擔(dān)任何經(jīng)濟責(zé)任。On expiration or termination of the Term, Client will surrender to OFI the Premises in good and sanitary condition free of repair, and with all of Clients personal property and deb
45、ris removed. OFI has the rights to re-sell or dispose any personal property after lease has expired without any financial liability. 終止租賃時,為恢復(fù)房屋之正常使用功能,澳菲指定承包商或指定個人可能會向客戶收取一筆費用。為恢復(fù)房屋正常使用功能而續(xù)租期間的租金,將按足額收取。 Upon termination, a fee may be charged to carry out restoration and make good of the premises b
46、y OFI appointed contractors and personnel. Rental for the days required to restore the premises will be charged at full rate.若本協(xié)議期滿時,客戶不在租賃處所,則因客戶未能按時撤出而造成的任何損失、索賠或責(zé)任等,概由客戶承擔(dān)。If Client is not on-site upon expiration of the agreement, Client shall be responsible for any loss, claim or liability incur
47、red as a result of Clients failure to vacate on time. 若條件允許,并按標(biāo)準(zhǔn)收費補足繳費后,澳菲可允許客戶享有一段寬限期。OFI may permit Client an extension subject to availability and surcharge on the standard rate.無病毒感染的個人計算機 VIRUS FREE PERSONAL COMPUTER 對于帶入辦公室內(nèi)使用的所有個人計算機,客戶務(wù)必安裝最新版本的殺毒軟件并須保證軟件始終有效。澳菲已示警告而因客戶不愿意配合而導(dǎo)致的網(wǎng)絡(luò)/互聯(lián)網(wǎng)連接中斷等故障,
48、客戶須承擔(dān)經(jīng)濟責(zé)任。Client must install the latest anti-virus software in all personal computers brought in to use and to ensure the effectiveness of the software at all times. Client will be financially liable for network/internet disconnection if such failure is caused by Clients unwillingness to cooperate
49、after warning by OFI.休息室及公用區(qū)域 COFFEE LOUNGE AND COMMON AREAS除會議室外,客戶不得將咖啡休息區(qū)及其他公用區(qū)域用于從事任何形式的業(yè)務(wù)活動。必須將噪音減至最低限度,以免對其他客戶或租戶造成任何侵?jǐn)_。Client should not use the coffee lounge and common areas (other than the conference rooms) to conduct any type of business. The noise level must be kept to a minimum so as no
50、t to interfere with or annoy other clients or occupants. 聘用澳菲工作人員 EMPLOYING OFI STAFF本協(xié)議有效期間或期滿后六(6)個月內(nèi),客戶可聘用任何澳菲員工,不論其屬于部分時段工作制、臨時性還是永久性,并且不論其作為雇員還是作為獨立咨詢師,均屬于澳菲向客戶提供的額外服務(wù)。客戶同意向澳菲支付按該員工當(dāng)前工資水平計相當(dāng)于六個月的金額,以作為補償。During your agreement is in force and/or after it has expired for a period of six months, i
51、n the event, Client hires any OFIs employees either part-time, temporary or permanent basis and either as an employee of or independent consulting to Client, shall constitute an additional service provided to Client by OFI. Client agrees to pay OFI six months of his/her current salary as compensatio
52、n. 以上內(nèi)容同時適用3個月內(nèi)辭職的澳菲商務(wù)中心員工。The above obligation also applies to any employee employed at the Centre up to that employees termination of employment, and for three months thereafter.罰金 FINE辦公室、洗手間、電梯間及公用區(qū)域內(nèi)嚴(yán)禁吸煙。違者將被處以人民幣1000元罰款。本規(guī)定對客戶所屬員工及其訪客同等適用。Smoking is strictly prohibited in the suite, toilet, li
53、ft lobby or common areas. Offenders will be fined MB1000 per incident. This rule applies to Clients staff and guests alike.在正常工作時間或下班后,客戶不得打開任何走廊門、出口處門,或走廊間的連接門。違者將被處以人民幣1000元的罰款。Client must not prop open any corridor doors, exit door or door connecting corridors during or after business hours. Fine of RMB1000 per incident
