2、。b.賣方對運貨船抵達后由于未能按期將貨物運交裝運港口而造成的誤船或滯留裝運應(yīng)承擔責任。c.在貨物裝運之前，賣方應(yīng)承擔貨物的全部費用與風險，而在貨物裝運之后，貨物的全部費用則由買方承擔。(2)到岸價條款(不包括保險)：a.賣方在裝運時間內(nèi)應(yīng)將貨物從裝運港運至目的港，不得轉(zhuǎn)運。合同貨物不得交由懸掛買方不能接受的國旗之船舶運輸。b.若貨物系由郵寄或空運，賣方應(yīng)在發(fā)運前30天，按照第8條規(guī)定，用電報/或信件通知買方大約的發(fā)貨期，合同號碼、貨物名稱、價格等。賣方在發(fā)貨后應(yīng)立即用函電將合同號碼、貨物名稱、價格及發(fā)貨日期通知買方，以便于買方及時購買保險。8.裝運口岸：_裝運通知：賣方在裝貨結(jié)束后應(yīng)立即用函

3、電將合同號碼、貨物名稱、數(shù)量、發(fā)票價格、毛重、船名和船期通知買方。由于賣方未能及時通知造成買方不能及時買保險，則一切損失均由賣方負責。9.裝運文件：(1)海運：全套潔凈已裝船提單，作成空白抬頭，由發(fā)貨人空白背書注明“運費到付”/“運費付訖”并通知目的港的_公司?？者\：提供一份空運單，注明“運費到付”/“運費已付”，交付買方。航空郵包：寄一份航空郵包收據(jù)給買方。(2)發(fā)票五份，注明合同號碼和裝運嘜頭(若超過一個裝運嘜頭，發(fā)票應(yīng)分開，細節(jié)應(yīng)根據(jù)合同辦理)。(3)由制造廠開出一式兩份的裝箱單。(4)由制造廠開出的數(shù)量和質(zhì)量證書一份。(5)在裝運之后，立即通過電報/或信件將有關(guān)裝運之細節(jié)通知買方。此外

4、，賣方在裝船后的10天內(nèi)，要用空郵另寄兩份所有上述文件，一份直接寄給收貨人，另一份直接寄給目的口岸_公司。10.目的港及收貨人：_11.裝運期限：收到不可撤銷信用證_天。12.裝運嘜頭：賣方應(yīng)在每個箱上清楚地刷上箱號、毛重、凈重、體積及“防潮”“小心搬動”、“此邊朝上”及裝運嘜頭等字樣。13.保險：裝運后由買方自理由賣方投保14.交貨條件：_15.索賠：在貨物到目的口岸之后的90天內(nèi)，若發(fā)現(xiàn)商品的質(zhì)量、規(guī)格或數(shù)量不符合合同之規(guī)定，則買方憑_檢驗局頒發(fā)的檢驗證書有權(quán)提出更換質(zhì)量合格的新商品或要求賠償，且所有的費用(如檢驗費、保險費、及裝卸貨費等)均由賣方負擔，但所提的索賠屬于保驗公司或承運方的責

5、任，則賣方不負任何責任。關(guān)于質(zhì)量，賣方保證貨到目的口岸之后的12個月內(nèi)，在使用過程中若由于質(zhì)劣而出現(xiàn)損壞，則買方應(yīng)通過書面立即通知賣方并憑_檢驗局所頒發(fā)之檢驗證書為依據(jù)，提出索償要求。根據(jù)買方的要求，賣方應(yīng)負責立即排除缺陷，必要時，買方可自行排除缺陷，費用由賣方負責。若賣方收到上述要求之后1個月內(nèi)未能答復買方，則便視為賣方已接受要求。16.不可抗力：本合同內(nèi)所述的全部商品，在制造和裝運過程中，如因人力不可抗拒的原因，拖延裝運或無法交貨，則賣方概不負責。賣方應(yīng)將上述的事故立刻通知買方，且在其后的14天內(nèi)賣方應(yīng)用航空郵寄一份由政府頒發(fā)的事故證書給買方，說明出事地點，作為證據(jù)。然而，賣方仍應(yīng)負責采取

6、必要的措施加速交貨。若事故持續(xù)超過10個星期，則買主有權(quán)取消合同。17.延遲交貨和罰款：本合同內(nèi)所述的全部或部分商品，若賣方不能按時交貨或延遲交貨，且賣方同意罰款，則買方應(yīng)同意其延遲交貨，但本合同第16條規(guī)定的由于人力不可抗拒的原因而造成延遲交貨則不罰款。所罰的款項經(jīng)協(xié)商可由付款銀行從付款中扣除。然而，罰款不應(yīng)超過延遲交貨的貨物總值之5%。罰款率每7天為0.5%，不足7天的天數(shù)應(yīng)按7天算。若賣方在本合同規(guī)定的裝運時間內(nèi)遲10個星期仍然不能交貨，則買方有權(quán)取消本合同，盡管合同已取消，賣方仍然應(yīng)毫不延遲地支付上述罰款給買方。18.仲裁：凡因執(zhí)行本協(xié)議或有關(guān)本協(xié)議所發(fā)生的一切爭執(zhí)，雙方應(yīng)以友好協(xié)商解

9、/或船公司的責任外，乙方可以憑雙方同意的檢驗機構(gòu)出具的檢驗證明向甲方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。甲方應(yīng)于收到異議后30天內(nèi)答復乙方。第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負責任。但甲方必須立即以電報通知乙方。如乙方提出要求，甲方應(yīng)以掛號函向乙方提供由中國國際貿(mào)易委員會或有關(guān)機構(gòu)出具的事故證明文件。第十四條仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項所發(fā)生的一切爭執(zhí)，應(yīng)由雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時，則在被告國家根據(jù)被告國家仲裁機構(gòu)的仲裁程序規(guī)則進
