4、裝運(yùn)期限：于 2017.12.31 之前 Shipment date: NOT LATER THAN Dec. 31, 2017 4. 裝運(yùn)口岸：德國(guó)漢堡 Port of loading: Hamburger Germany 5. 到貨口岸：中國(guó)大連 Port of destination: DALIAN, CHINA 6. 付款條件： 100% 不可撤銷九十天遠(yuǎn)期信用證。 Terms of payment: 100% of the total value will be paid by L/C at 90 days sight. 7. 包裝：需用適合長(zhǎng)途海運(yùn)的包裝，由包裝不良所發(fā)生的損失，由

5、于采用不充分或不妥善 的防護(hù)措施而造成的任何損失，賣方應(yīng)負(fù)擔(dān)由此產(chǎn)生的一切費(fèi)用和/或損失。 Packing: The packages should be suitable for long distance freight transportation. Transshipment is not allowed without the buyer 9. 裝運(yùn)通知：貨物全部裝船后，賣方將于10個(gè)工作日內(nèi)將合同編號(hào)、商品名稱、數(shù)量、 毛重、發(fā)票金額、船名和開船日

8、 sura nee shall be covered by the seller for 110% of the in voice value aga inst Additional Risks and Strike Risks 11. 檢驗(yàn)：賣方須在裝運(yùn)前15日委托德國(guó)進(jìn)出口檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行檢驗(yàn)并出具檢 驗(yàn)證書，貨到目的港后，由買方委托中國(guó)進(jìn)出口檢驗(yàn)檢疫局進(jìn)行檢驗(yàn)。 Inspection : The Seller shall have the goods inspected by 15 days before the shipment and have the In spect i

9、on Certificate issued by Germa n In spect ion Bureau. The Buyer may have the goods rein spected by CCIQ after the goods arrived at the desti nati on. 12. 索賠：貨物到達(dá)買方后，買方應(yīng)向中國(guó)進(jìn)出口商品檢驗(yàn)檢疫局申請(qǐng)對(duì)質(zhì)量、規(guī)格、數(shù)量 進(jìn)行初步檢驗(yàn)，并出具檢驗(yàn)證明書，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險(xiǎn) 公司或船運(yùn)公司應(yīng)負(fù)責(zé)的以外，買方在貨到90天內(nèi)有權(quán)換貨或索賠，一切費(fèi)用(如商 檢費(fèi)、相關(guān)的運(yùn)費(fèi)、保險(xiǎn)費(fèi)etc)由賣方承擔(dān)。 Claims

11、trength of the inspection certificate issued by CCIQ have the right to claim for replacement with new goods or for compensation and all the expenses (such as in spect ion charges, freight for retur ning the goods and for sending the replaceme nt in sura nee premium) shall be borne by the sellers. 13

12、. 仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決。如不能解 決，則應(yīng)申請(qǐng)進(jìn)行仲裁。仲裁將在中國(guó)貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)進(jìn)行。其做出的裁決 是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其他機(jī)關(guān)申請(qǐng)變更。仲裁費(fèi) 用由敗訴方負(fù)擔(dān)。 Arbitrati on: All disputes in conn ecti on with this con tract or the executi on thereof shall be settled through frien dly n egotiati on, in case no settleme nt can be rea

13、ched through n egotiati ons, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitrati on Commissi on Beiji ng in accorda nee with the provisi onal rules of procedures promulgated by the said arbitrati on commissi on. The award of the arbitrati on shall be f

14、inal and binding upon both parties for revis ing the decisi on. The arbitrati on fee shall be borne by the los ing part. 14. 不可抗力：由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時(shí)，責(zé)任不在賣方，但 賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出具 的事故證明用空郵寄交賣方為證。 Force Majeure: The seller shall not be held responsible for any delay in delivery

15、 or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. However, the seller shall advise the buyer immediately of such occurrenee and within 14 days thereafter, the seller shall send by airmail to the buyers for their accepta nee a certificate of the accide nt issued by the compete nt gover nment authorities of the place where the accide nt occurs as evide nee thereof. 15附加條款：本合同一式二份買賣雙方各執(zhí)一份。 Suppleme nts and other terms: This con tract is made in two origi nals, one origi nal to
