16、系、合資關(guān)系或雙方之間的代理協(xié)議。分包商將有權(quán)與其他客戶簽署協(xié)議，但此 類協(xié)議不得對分包商根據(jù)本協(xié)議的履約產(chǎn)生不利影響。因此，分包商應負責支付由于分包商根據(jù)本合同采取的行動而產(chǎn)生的所有稅金，包 括聯(lián)邦、州及地方稅金，具體包括但不限于聯(lián)邦和州的所得稅、社會安全稅、失業(yè) 保險稅、及任何其他稅金或要求的營業(yè)執(zhí)照費。此外,因為您對于而言是獨立承包商，且雙方確信他們之間建立了獨立承包商關(guān)系，如果此后，irs、edd或任何其 他稅務機關(guān)確定將您歸類為獨立承包商是不正確的，您同意向申請人姓名以及申請人子公司名稱賠償中國駐美國的子公司由于重新歸類您的雇傭身份而支付的所有稅金、罰息、及罰金。分包商接受的但可工作

17、不得被分包給其他個人或分包給海外的個人或海外機構(gòu)。9. confide ntial inf ormation: the subc on tractor agrees that any informati onreceived during any furtheranee of the subcontractor*s obligations in accordanee with this contract, which concerns the personal, financial or other affairs of the company will be treated by the s

18、ubcontractor in full confidence and will not be revealed to any other persons, firms or orga nizati ons.the subcontractor will use best efforts and reasonable diligence to:(a) use such con fide ntial in formati on only for in ter nal business purposes;(b) protect supplied confidential information in

19、 the same manner as the subc on tractor protects its own con fide ntial informati on;(c) not make copies of any such confidential information or any part thereof without the written consent permission of the company;(d) not disclose to others any such con fide ntial inf ormati on or any part thereof

22、 hereby grant to xx inc.all rights, titles and interest in the works conceived or first produced by xx inc. or its dients and any material produced by you or your employees under this agreement, and you agree that such materials are "works made for hire" exclusively for xx inc. or its clie

23、nts under the copyright laws of the united states.in the eve nt that any such work shall not be a work made for hire un der said copyright laws, you hereby assign to xx inc. or its dients all rights, titles, and interest in such work and to execute whatever assignment of copyright or other documents

29、期間及其后一(1)年，未經(jīng)中國駐美國的子公 司的事先書面同意，將不會直接或間接雇傭或招募中國駐美國的子公司的任何雇員 或分包人員。若未經(jīng)事先書面同意,在指定期限內(nèi)雇傭了某位雇員或分包人員,則 分包商將向中國駐美國的子公司支付一筆金額,其等于該雇員或分包人員年薪總額 的40% ,以作為違約賠償金，而非罰金。分包商同意，在本協(xié)議期間及其后一 (1)年期間，分包商不會為了建立但可業(yè)務 關(guān)系提供本協(xié)議指走的服務，而直接或間接招攬但可當前或潛在的客戶。此外，在 本協(xié)議期間及其后一(1)年期間,分包商不會在中國駐美國的子公司服務的區(qū)域 內(nèi)建立與中國駐美國的子公司直接競爭的企業(yè)，其包括轉(zhuǎn)錄領(lǐng)域內(nèi)的企業(yè)。12

32、對方發(fā)出提前三十(30 )天的書面通知終止本協(xié)議。任意一方可以通過提前三(3 ) 天向?qū)Ψ桨l(fā)出書面通知因正當理由終止本協(xié)議。終止的正當理由包括但不限于違反 不競爭承諾、違反保密條款、對本協(xié)議的任何其他重大違反,或工作成果低于xx inc.履行工作的正常質(zhì)量標準。13. assignment and subcontracting: subcontractor shall not assign any right or interest under this agreement or delegate or subcontract any work or other obligation to b
