2、tribution of the Contract Products in OEM processing for Licensor and its assigned parties; Both parties authorized representatives, through friendly negotiation, agree to enter into this Contract under the terms as stipulated below.鑒于許可方擁有一定價值并經(jīng)注冊的商標，且被許可方需要在為許可方及許可方授權方進行OEM 貼牌代工和向許可方及許可方授權方出口OEM 產(chǎn)

3、品時使用該商標，雙方授權代表經(jīng)友好協(xié)商，達成如下協(xié)議:1. License Grant 使用許可1.1 The Licensee agree to obtain from Licensor, and Licensor agree to grant Licensee the right to utilizethe Registered Trademark in Appendix 1 solely and only upon and in connection with the manufacture, sale and distribution of the Contract Products

4、in OEM processing for Licensor and its assigned parties.被許可方同意從許可方取得，許可方同意向被許可方授予單獨使用附件1 所指的注冊商標的權利，且只在為許可方進行OEM 貼牌代工和向許可方及許可方授權主體出口OEM 產(chǎn)品時使用。1.2The name, model, specification and technical notices of the Contract OEM Products are detailed inAppendix 2.協(xié)議 OEM 產(chǎn)品的名稱、型號、規(guī)格和技術參數(shù)詳見本協(xié)議附件2。1.3 The license

5、 and right are non-exclusive and untransferable.此許可是非獨占性的、不可轉讓的。1.4 Notwithstanding the aforesaid, the purchase of components from vendor or subcontractor by Licensee for the Contract Products shall not be considered violation of this Agreement.盡管本協(xié)議前述規(guī)定如此，被授權方向其供應商或分包商購買產(chǎn)品零部件的行為不應被視為違約行為。2. License

6、 Term 許可期限2.1 The termofthelicense herebygrantedshall be effectiveonand shall continueuntil.許可使用的期限自起至止。2.2 This License shall be automatically renewed for a one year term unless either party hereto shall be given written notice to the contrary at least thirty (30) days prior to the expiration date.

7、本許可協(xié)議在每一個有效期末自動續(xù)展一年，除非一方在協(xié)議到期前30 天書面通知另一方終止協(xié)議的執(zhí)行。3. Registration Information 注冊證書和信息The registration certificate, including the name, content and related situation which Licensor applied forthe registration from(Competent Trademark Authority, Country) shall be provided by Licensor toLicensee before

8、signing this Agreement.許可方應在協(xié)議簽訂前，向被許可方提供注冊證書，包括但不限于注冊商標的名稱、內(nèi)容以及許可方向(商標注冊有權管理機關，國家)申請注冊的有關情況。1 / 4頁眉4. License Fee 許可費用In this contract, the Licensee use the Registered Trademark for free.在本協(xié)議中被許可方使用該注冊商標，無需支付對價。5. Guarantee 保證5.1 Licensor guarantees that Licensor is the legitimate owner of the Regi

9、stered Trademark herein and that Licensor is lawful in a position to authorize Licensee to utilize the Registered Trademark upon or inconnection with manufacture, sale and distribution of the Contract Products in OEM processing for Licensor and its assigned parties.許可方保證是本協(xié)議中注冊商標的合法持有者，并且有權授予被許可方使用。

10、5.2 In the course of implementation of the Agreement, if any third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise.如果在協(xié)議執(zhí)行過程中一旦發(fā)生第三方指控侵權時，則由許可方負責與第三方交涉，并承擔由

11、此引起的一切法律和經(jīng)濟上的責任。6. Settlement of Disputes 爭議解決6.1 All disputes in connection with or in the execution of the Agreement shall be settled through friendlyconsultation by both parties.因執(zhí)行本協(xié)議所發(fā)生的或與本協(xié)議有關的一切爭議，雙方應通過友好協(xié)商解決。6.2 In case no settlement to disputes can be reached through friendly consultation b

12、y both parties, the disputes shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral awa

13、rd is final and binding upon both parties. The arbitration fee shall be borne by the losing party.如雙方通過協(xié)商不能達成協(xié)議時，則應提交中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。仲裁費由敗訴方負擔。6.3This Agreement shall begoverned by the Laws of PeopleRepublics of China, without regard to itsconflict-of-law p

14、rinciples.爭議的解決適用中華人民共和國法律, 且排除沖突法則的適用。6.4In the course of settling disputes, the Agreement shall be continuouslyexecuted by both partiesexcept for the part which is under arbitration.在爭議的處理過程中，除正在進行仲裁的部分外，協(xié)議的其他部分將繼續(xù)執(zhí)行。7. Communication 通訊Within the validity period of the Agreement, the formal notice

MISCELLANGEOUS其他8.1 The termination of this Agreement shall not affect in any way the outstanding claims and the liabilities existing betw
