1、外貿(mào)傭金合同范例外 貿(mào) 傭 金 合 同甲方:（生產(chǎn)廠家)乙方：（中 間 人）根據(jù)中華人民共和國(guó)合同法和有關(guān)法律法規(guī)的規(guī)定,乙方接受甲方的委托,為甲方產(chǎn)品尋找海外客商，雙方經(jīng)協(xié)商一致,簽訂本合同。第一條：委托事項(xiàng)： 甲方委托乙方尋找海外客商。第二條：委托事項(xiàng)的具體要求：（1） 甲方應(yīng)保證所生產(chǎn)產(chǎn)品的合法性及保證產(chǎn)品質(zhì)量,若出現(xiàn)產(chǎn)品質(zhì)量問題和其他不合法問題，后果均由甲方承擔(dān)。（2) 海外客商交易的具體價(jià)格、交貨方式、支付方式等由乙方與海外客商雙方協(xié)商約定,但乙方需要和甲方溝通并爭(zhēng)得其同意。(3) 乙方不對(duì)甲方與海外客商的交易提供任何信用擔(dān)保，甲方應(yīng)嚴(yán)格按國(guó)家和國(guó)際的”FOB CF或 CIF條款”執(zhí)

2、行與海外客商所簽定的合同.(4）為方便乙方聯(lián)系業(yè)務(wù),甲方需要及時(shí)提供除乙方本職以外的所有便利，貨款達(dá)到甲方帳戶后，甲方應(yīng)及時(shí)通知乙方，以便乙方開展下一步工作.      （5）在整個(gè)過程中，乙方只承擔(dān)自己聯(lián)系客戶的電話費(fèi)，上網(wǎng)費(fèi),路費(fèi),自己的飯費(fèi),招待費(fèi)，其他一切費(fèi)用都由甲方承擔(dān)。（6)乙方只負(fù)責(zé)聯(lián)系客戶,簽定合同,其他所有工作都由甲方完成.（7）在傭金合同期滿之前，凡是乙方為甲方聯(lián)系的客戶，甲方不能不通過乙方而直接和乙方聯(lián)系的客戶簽定合同，一旦乙方發(fā)現(xiàn)，甲方除了支付該合同相應(yīng)的傭金給乙方外,甲方還需要支付銷售額的5%作為罰金支付給乙方。（8）

3、若銷售合同在傭金合同結(jié)束之前簽定并收到客戶定金，而生產(chǎn)或此銷售合同的終止在傭金合同期滿之后執(zhí)行，則甲方需要繼續(xù)按照傭金合同所規(guī)定的傭金率支付此銷售合同中相應(yīng)的傭金給乙方.（9）在傭金合同期滿之前，乙方在甲方履行該合同的情況下，不得隨便將訂單轉(zhuǎn)移到別的工廠；在傭金合同期滿之后，甲方如果想跟乙方所聯(lián)系的客戶直接聯(lián)系業(yè)務(wù)，需征得乙方的同意,協(xié)商方可。否則甲方需要繼續(xù)按照傭金合同所規(guī)定的傭金率支付所發(fā)生業(yè)務(wù)金額相應(yīng)的傭金給乙方。第三條：傭金的計(jì)算、給付方式、給付時(shí)間:(1） 甲方同意按每筆合同成交總額的3%支付傭金給乙方.（2） 給付方式及時(shí)間：在甲方與乙方所介紹的海外客商簽定合同并收到定金后，甲方應(yīng)

4、支付總傭金的30給乙方，該供應(yīng)合同在收到客戶的大部分余款后的5天之內(nèi)支付余下的傭金給乙方。（若在收回余款時(shí)，由于銀行費(fèi)用或其他的一切原因而造成與實(shí)際應(yīng)收貨款相差,范圍在300美金或300美金之內(nèi),甲方不得因這個(gè)問題而拒絕支付或拖延支付乙方傭金）。若為全額信用證,則在甲方收到貨款后,5天內(nèi)支付總傭金給乙方,其他同上!第四條：違約責(zé)任：（1) 甲方若不按本合同第三條的(2)執(zhí)行，逾期一天應(yīng)支付乙方滯納金，滯納金系數(shù)為：總傭金的5/天.（2) 甲方同意凡乙方所介紹的海外客商，其將來與甲方發(fā)生的每筆業(yè)務(wù)，甲方都將按本合同的第三條支付傭金給乙方，否則，甲方愿接受合同成交額的30%罰款支付給乙方。第五條：

5、關(guān)于銷售合同中止問題在乙方聯(lián)系好業(yè)務(wù)并開始生產(chǎn)和采購(gòu)后，若是由于甲方的原因中止了乙方與外國(guó)客戶的銷售合同，則甲方要承擔(dān)國(guó)外客戶的損失，并還要繼續(xù)支付乙方該筆銷售合同應(yīng)得的傭金.若是由于國(guó)外客戶的原因造成合同的中止，則甲方不支付乙方的傭金！乙方不承擔(dān)任何損失和后果！第六條：爭(zhēng)議解決方式對(duì)違約行為若雙方協(xié)商不成,可憑此合同向人民法院提出訴訟。第七條:本合同未盡事宜雙方協(xié)商解決.本合同一式貳份雙方各執(zhí)壹份具有同等法律效用。本合同雙方簽字蓋章（或按手印)即為有效。 mbJAW 5本合同有效期限從_年_月_日 到 _年_月_日有效,有效期_年。甲方:乙方：日期:銷售代理協(xié)議英文合同范本/外貿(mào)經(jīng)紀(jì)人傭金合

10、o open a confirmed, irrevocable L/C available by draft at sight in favour of Party A within the time stipulated in the relevant S/C。 Party B shall also notify Party A immediately after L/C is opened so that Party A can get prepared for delivery。6。 傭金Commission在本協(xié)議期滿時(shí)，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運(yùn)貨物所收到的發(fā)票累計(jì)

12、次有關(guān)當(dāng)時(shí)市場(chǎng)情況和用戶意見的詳細(xì)報(bào)告.同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其他供應(yīng)商的類似商品樣品及其價(jià)格、銷售情況和廣告資料。Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers comments。 Meanwhile， Party B shall,from time to time, send to party A samples of similar commodities offered by other su

13、ppliers， together with their prices, sales information and advertising materials.8. 宣傳廣告費(fèi)用Advertising & Publicity Expenses在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用,由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the du

14、ration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval。9。 協(xié)議有效期Validity of Agreement本協(xié)議經(jīng)雙方簽字后生效，有效期為*天,自*至*.若一方希望延長(zhǎng)本協(xié)議,則須在本協(xié)議期滿前1個(gè)月書面通知另一方，經(jīng)雙方協(xié)商決定。若協(xié)議一方未履行協(xié)議條款,另一方有權(quán)終止協(xié)議。This Agreement， after its being signed by the parties concerned， shall rem

16、conditions herein， the other party is entitled to terminate this Agreement.10。 仲裁Arbitration在履行協(xié)議過程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商達(dá)不成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)的決定是終局的，對(duì)雙方均具有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。All disputes arising from the execution of this Agreement shall be settled through frie

17、ndly consultations。 In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by

18、this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ，unless otherwise awarded。11. 其他條款Other Terms Conditions（1） 甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品.如有詢價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買主希望從甲方直接訂購(gòu)，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方*的傭金。Party A shall

19、not supply the contracted commodity to any other buyer（s) in the above mentioned territory. Direct enquiries， if any， will be referred to Party B. However， should any other buyers wish to deal with Party A directly, Party A may do so。 But party A shall send to Party B a copy of Sales Confirmation an

21、其政府的授權(quán)進(jìn)行有關(guān)的直接貿(mào)易，而不受本協(xié)議約束。乙方不得干涉此種直接貿(mào)易,也無權(quán)向甲方提出任何補(bǔ)償或傭金要求。For any business transacted between governments of both Parties， Party A may handle such direct dealings as authorized by Party As government without binding himself to this Agreement.
