13、任何意外事故和情況，阻止、妨礙或干擾了本合同的履 行時(shí)，本合同規(guī)定的賣方履約時(shí)間應(yīng)自動(dòng)延長(zhǎng)。其延長(zhǎng)的時(shí)間應(yīng)當(dāng)相當(dāng)于因人力不可抗 拒事件直接或間接地使賣方不能履行本合同的時(shí)間。 受不可抗力事件影響的賣方應(yīng)在合 理的時(shí)間內(nèi)，將不可抗力事件的發(fā)生通知買方，并于一個(gè)月內(nèi)將有關(guān)當(dāng)局出具的有關(guān)不 可抗力事件的證明航寄買方。 如果不履約的情況延續(xù)六十天以上，雙方應(yīng)立即協(xié)商修改合同。若從不可抗力事件發(fā)生 之日起一百二十天內(nèi)雙方當(dāng)事人未能取得雙方滿意的解決辦法時(shí)， 任何一方都可以終止 履行本合同的未執(zhí)行部分。The time for the performance of the Seller' s ob

15、ircumstances whatsoever beyond the Seller ' s reasonable control preventing, hindering or interfering with the performance thereof. The Seller so prevented by Force Majeure shall in reasonable time inform the Buyer of the occurrence of Force Majeure and with in one month by air mail a relevant c

16、ertificate issued by competent authorities as evidence thereof. If the non-performance lasts for more than sixty (60) days, the parties shall immediately consult together in an effort to agree upon a revised contract basis. If the parties are unable to arrive at a mutually satisfactory solutionwithi

17、n one hundred and twenty (120) days from the beginning of such Force Majeure, then either of the parties may terminate the Contract in respect of the unexecuted portion of the Contract.15、索賠： CLAIMS： 如果發(fā)現(xiàn)貨物在質(zhì)量、數(shù)量或規(guī)格方面與本合同第一條規(guī)定不符，賣方同意審核任何因 此而提出的索賠。該索賠要求應(yīng)經(jīng)賣方認(rèn)可的有信譽(yù)的檢驗(yàn)機(jī)構(gòu)出具的報(bào)告證實(shí)。質(zhì)量 方面的索賠要求應(yīng)于貨物到達(dá)目的港后三個(gè)月內(nèi)以

18、書面形式提出， 數(shù)量或規(guī)格方面的索 賠要求，應(yīng)于貨物到達(dá)目的港后十五天內(nèi)以書面的形式提出。在任何情況下，賣方對(duì)利潤(rùn)損失，時(shí)間延誤、商譽(yù)損害或其它由此而引起的任何特殊或 間接損失概不負(fù)責(zé)。對(duì)于任何原因造成的任何性質(zhì)的一切滅失或損害，賣方的賠償責(zé)任，在任何情況下不得 超過(guò)索賠部分貨物的合同價(jià)款，或者根據(jù)賣方的選擇，對(duì)此貨物進(jìn)行修復(fù)或更換。Should the quality, quantity and / or specification of the commodity be found in conformity with the description set out in Clause o

In no event shall the Seller be liable for lost profits, delay, injury to goodwill or any special or consequential damages howsoever any of the same are caused.The Seller ' s l

21、iability for any and all losses or damages of whatsoever nature resulting form any cause whatsoever shall in no event exceed the portion of the Total Contract Price attributable to commodity in respect of which the claim is made, or at the election of the Seller, the repair or replacement of such co

22、mmodity.16、仲裁： ARBITRATION： 本合同受中華人民共和國(guó)法律管轄，并按其進(jìn)行解釋。一切因合同引起的或與合同有關(guān) 的爭(zhēng)議如果可能應(yīng)通過(guò)友好協(xié)商解決。如果協(xié)商不能解決，任何一方都可以提出仲裁。 仲裁地點(diǎn)為中華人民共和國(guó)北京。仲裁在中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行，并適用其 仲裁規(guī)則。仲裁裁決是終局的，對(duì)雙方均有約束力。除仲裁另有裁定外，仲裁費(fèi)用由敗 訴方負(fù)擔(dān)。This Contract shall be governed by and construed in accordance with the law of the People ' s Republic of C
