RECITALS鑒于甲方愿意錄用乙方,乙方愿意到甲方工作,按照中華人民共和國勞動法、中華人民共 和國勞動合同法和上海市勞動和同條例等我國國家和地方政府的有關法律法規(guī)和行政規(guī)章, 以及甲方制定的各項規(guī)章制度,本著平等、自愿的原則,經甲、乙雙方協(xié)商一致,特簽訂本勞動 合同(以下簡稱“本合同”)。WHEREAS, Party A intends to employ Party B and Party B intends to work for Party A,In accordanee with Labour Law of the Pe

3、ople ' s Republic of China, Law of the People ' sRepublic of China on Employme nt Con tracts, Shan ghai Regulati ons on Employme ntCon tracts and China ' s n ati onal and local laws, regulati ons and adm ini strative rules andParty A ' s regulations and rules, and through negotiation

4、 based on equality and free will,the two parties agree to con elude this Employme nt Agreeme nt (here in after referred toas this Agreement) under the following terms and conditions:三、合同條款 3. Terms and Con diti ons第一條(合同類型與期限)Article 1 Type and Validity Term of Agreeme nt(一) 本合同為有 無固定期限的勞動合同,合同期從年 月

6、后,在年 月日前到崗位工作。1.2 Party B shall, after execution of this Agreement, work at the designated position onor before the date of ().第二條(工作內容和工作地點)Article 2 Description of Work and Work Site(一) 根據甲方需要,乙方在部門從事崗位工作,乙方到崗后應服從所屬部門或上級主管的工作安排。2.1 On the basis of Party A ' s requirements. Party B is to work a

7、t the position of () inthe divisio n of (); Party B shall be subject to the work arran geme nt made by thedivisi on he or she works in or the director at higher level.(二)乙方應履行甲方制定的崗位職責,按時、按質、按量完成其本職工作。22 Party B shall perform his or her work duties provided by Party A, and shall complete his or her

8、work task in accordanee with the provisions in terms of time limit, quality and workload.(三)乙方承諾,愿服從甲方根據工作需要、乙方工作能力及其表現(xiàn)而安排或調動的工作崗位。 并同意在下列情況下本合同不作變更處理。2.3 Party un dertakes to accept the arran geme nt or cha nge of work made by Party A inlight of Party A ' s work requirements and Party B ' s

9、 working ability and performanee;Party B agrees that this Agreement may not be altered under any of the following circumsta nces:1、乙方的工作地點由所在部門安排。今后因工作需要乙方在甲方所在本市的全部經營辦公場所 及附屬場所(包括公司自有產權的物業(yè)或租賃的物業(yè),)之間調整時。1. Party B ' s working site is to be arranged by the division he or she works in; Party A is

10、to cha nge Party B ' s worki ng site within all its bus in ess offices and attached sites in the city where Party A is domiciled (including Party A ' s own property or other premises leased by Party A), on the basis of Party A ' s working requirement;2、甲方因工作需要,臨時指派乙方到境內外短期出差地點工作的。2. Part

11、y A assig ns Party B to work at home or abroad on bus in ess travel for a short term on the basis of Party A ' s working requirement.3、甲方因工作需要,安排乙方臨時外借到其它部門或其它他單位工作的。3. In response to working requirement, Party A temporarily assigns Party B to work atother divisions of Party A or other entities.

12、(四)因工作需要,乙方被指派到外省市或境外企業(yè)或機構長期工作的,協(xié)商一致后,本合同作 變更處理。2.4 Where, in response to working requirement, Party A assigns Party B to work inen terprises or orga ni zati ons located in other provin ces or muni cipalities or abroad forlong period, this Agreeme nt may be altered on the basis of mutual consent thr

13、oughn egotiati on.第三條(工作時間和休息休假)Article 3 Worki ng Hours and Holiday(一)乙方的崗位實行全日制標準工時工作制度,甲方安排乙方每日工作時間不超過8小時,每周工作五天。3.1 Party B is to work under the full-time standard working time system: Party A may require Party B to work for no more than 8 hours every day and for five days every week.(二)甲方由于工作需要

14、,經與乙方協(xié)商后可以延長工作時間,一般每日不超過 1小時,因特殊 原因需要延長工作時間的,在保障乙方身體健康的前提下工作時間不得超過 3小時,每月不得超 過36小時。3.2 If necessary for work, Party A may, on the basis of negotiation with Party B, extendParty B ' s worki ng hours for no more tha n one hour every day gen erally; where it is n ecessary to exte nd work ing hours

15、un der special circumsta nces, such exte nsion ofwork ing hours may not exceed three hours every day on the premise of being no harmful to Party B ' s health, and no more tha n a total of 36 hours every mon th.(三)乙方有享受國家規(guī)定的各類休息休假的權利,具體按甲方的職工工作時間及休息休假管 理辦法執(zhí)行。3.3 Party B is en titled to all the ho

16、lidays and leaves provided by the State, to which the Impleme ntati on Rules for Employees Worki ng Hours and Holidays formulated by Party A shall apply.(四)如遇國家或本市政府有關部門調整工作時間和休息、休假時間,或甲方在特殊季節(jié)臨時調 整休息、休假時間的,不作本合同變更處理。3.4 Where the State or the releva nt authorities of this local mun icipality readjus

17、ts the provisi ons on work ing hours, holidays or leaves, or Party A readjusts the provisi ons on holidays or leaves, this Agreeme nt may not be deemed as being altered.第四條(勞動報酬)Article 4 Rem un eratio n(一)乙方的勞動報酬包括每月發(fā)放的固定工資和以及相關的津貼補貼、每季度考核發(fā)放的績效 工資等部分組成,按照甲方薪酬管理規(guī)定執(zhí)行。合同簽訂后甲方發(fā)給職工薪酬告知書,具體 明確薪酬類別和標準。職工薪

18、酬告知書作為本合同的附件,與本合同具有同等法律效力。4.1 The remuneration for Party B includes fixed monthly salary, allowanee, quarterly performa nce-based wage and the like, and the rem un erati on is to be paid in accorda nee with Party A ' s regulations on remuneration. After execution hereof, Party A is to sendParty

19、B a Notification of Employee' s Remuneration, which specifies the type andsta ndard of the rem un erati on; such Notificati on con stitutes an annex to this Agreeme nt and have the same legal binging force as this Agreeme nt.(二)在履行本合同期間的日常操作中,甲方依照職工薪酬告知書中約定的薪酬標準作以下 扣除處理的,本合同不作變更處理。4.2 If, in the

20、 course of the performance of this Agreement, Party A deducts any paymentof the remuneration in accordance with the Notification of Employee' s Remuneration,this Agreeme nt may not be deemed as being altered.1、由公司代扣代繳的個人所得稅。2、由職工個人承擔的社會保險費、住房公積金、企業(yè)年金的扣款。3、因職工違反公司規(guī)章制度所發(fā)生違約金、賠償?shù)瓤劭睢?、因職工發(fā)生事假等非帶薪假期所

21、作的扣款。5、因法院對職工涉案判決所指定公司執(zhí)行的扣款。6、其它符合法律及公司制度而發(fā)生的扣款。1. In dividual in come taxes withheld and paid by Party A on behalf;2. The part of social in sura nce premium, hous ing accumulati on fun ds, en terprise ann uityto be borne by Party B;s breach of Party A ' s3. Penalty, compensation and the like ar

22、ising from Party Bregulatio ns or rules;4. Deducti on of remun eratio n made by Party A owi ng to private affair leave and leaves take n by Party B other tha n leaves with payme nt;5. Deducti on of rem un erati on made by Party A un der the order of court on the basis ofthe judgeme nt of case concer

23、ning Party B;6. Deduction of remuneration in complianee with laws or Party A' s regulation system.(三)在本合同期間,甲方因調增職工薪酬標準的,本合同不作變更處理。4.3 If, duri ng the validity term of this Agreeme nt, Party A in creases the rem un erati on for employees, this Agreeme nt may not be deemed as being altered.(四)甲方每

24、月5日以貨幣形式通過銀行轉賬到乙方個人帳戶的辦法支付乙方工資,包括崗位工 資、工齡工資及按月發(fā)放的相關補貼。乙方同意屬于乙方可得的績效工資、補貼津貼等按甲方薪 酬管理規(guī)定的日期和形式發(fā)放,屆時甲方以電子郵件等形式通知乙方。4.4 Party A shall, on the fifth day of each and every mon th, pay Party B rem un erati on bytransferring the currency to Party B ' s account through bank, including post-based wage, wor

25、ki ng age-based wage and releva nt allowa nee to be paid on a mon thly basis. Party B agrees that all the performa nce-based wage, allowa nee and the like may be paid on the date and by the means provided by Party A with respect to remuneration, and Party A is to no tify Party B by mea ns of email o

26、f the payme nt thereafter.(五)若乙方提供了正常勞動,甲方支付給乙方的工資報酬不得低于本市政府規(guī)定的最低工資標 準。4.5 The remuneration paid by Party A to Party B may not be less than the minimum level provided by the local municipal government, provided that Party B provides normal work for Party A.(六)甲方每月向乙方發(fā)放上月工資清單。該清單屬于保密范圍,應妥善保管,不得泄露給本人

27、家庭成員以外的任何第三人、員工之間不得相互打探,如有疑義可以向甲方人力資源部咨詢。4.6 Party A shall, on a mon thly basis, send Party B rem un erati on list for the last mon th;such remun erati on list must be treated as con fide ntial in formatio n and kept properly, and such list may not be disclosed to any third parties other than the fa

28、mily members of Party B; employees may not enq uire of one ano ther about the rem un erati on; in the eve nt of any objecti on. Party B may con sult Party A' s huma n resource departme nt.第五條(社會保險及其它)Article 5 Social In sura nee and Other Matters(一)甲方按照國家和上海市的有關規(guī)定,為乙方交納社會保險和住房公積金。5.1 Party A sha

29、ll pay social in sura nee premium and hous ing accumulati on funds for Party B in accorda nce with the releva nt regulati ons of the State and Shan ghai mun icipality.(二)乙方原意按照國家和上海市的有關規(guī)定,由個人承擔的社會保險、住房公積金部分由甲方 在工資中代扣代繳。5.2 Party B agrees that Party A may, from the rem un erati on payable to Party B,

30、 withholdthe part of social in sura nee premium and public remun eratio n fund to be borne by PartyB and Party A may pay such withheld part on behalf, in aeeorda nee with the releva nt regulatio ns of the State and Shan ghai muni cipality.(三)乙方因病或非因工負傷期間,享有上海市規(guī)定的醫(yī)療期和疾病休假待遇。5.3 If Party B suffers sic

31、kness or non-work-related injury, Party B is entitled to medical treatme nt period and sick leave treatme nt provided by Shan ghai mun icipality.(四)符合計劃生育政策的乙方(女職工)享有本市規(guī)定的產假和其它特殊待遇,事前乙方須提 出申請,經甲方(但不限于甲方,如果需要政府有關機構審核批準的)核準后執(zhí)行。5.4 Party B (if Party B is a female employee) is entitled to maternity leav

32、e and other special treatment provided by this local municipality, provided that she must be in complianee with the State ' s family planning policy and Party B shall submit an applicati on to Party A (if the approval of the gover nment is n ecessary, Party B shall submit such applicati on to co

33、mpete nt authorities) for approval in adva nee.(五)乙方享有甲方按國家或本市政府及甲方的規(guī)定設定的福利待遇,具體按甲方的有關辦法執(zhí) 行。5.5 Party B is en titled to the welfare provided by Party A in aeeorda nee with the releva ntprovisions made by the State, the local municipal government or Party A; Party A' sreleva nt impleme ntati on r

34、ules shall apply to the welfare.(六)如遇國家或本市政府調整社會保險、住房公積金的政策,甲方相應調整乙方的社會保險、 住房公積金的,本合同不作變更處理。5.6 If, in the eve nt of the readjustme nt made by the State or local mun icipal gover nment of the policy on social in sura nee or hous ing accumulati on fund. Party A readjusts the social in sura nee and ho

35、us ing accumulati on fund for Party B accordi ngly, this Agreeme nt may not be deemed as being altered.第六條(勞動保護、勞動條件和職業(yè)危害防護)Article 6 Labor Protectio n, Worki ngCon diti on and Preve ntio n aga inst Occupati onal Hazard(一)乙方享有甲方提供的相應的勞動保護和勞動條件。(二)乙方享有甲方執(zhí)行的國家勞動標準提供的職業(yè)危害防護條件。6.1 Party B is en titled t

36、o the corresp onding labor protecti on and work ing con diti on by provided by Party A.6.2 Party A shall provide Party B with preventing conditions against occupational hazardin accordanee with the State' s labor standard.第七條 (勞動紀律和規(guī)章制度)Article 7 Labor Discipli ne and Regulatio ns and Rules(一)甲方

37、應根據國家有關法律、法規(guī),依法制定各項規(guī)章制度。(二)乙方應誠實守信,自覺遵守國家的法律、法規(guī)和社會公德、職業(yè)道德,自覺維護甲方的聲譽和利益,保守甲方秘密。(三)甲方有權根據乙方的表現(xiàn)或行為,依據國家的法律、法規(guī)、行政規(guī)章和甲方的規(guī)章制度,給予乙方相應的獎勵或處理。其中:1、乙方如發(fā)生符合甲方職工獎勵辦法規(guī)定的積極行為的,甲方可以按照職工獎勵辦法給與乙方獎勵;2、乙方如發(fā)生違反甲方規(guī)章制度的消極行為的,甲方有權按職工違規(guī)處理辦法給與處理。7.1 Party A shall formulate various regulations and rules in accordanee with th

38、e State' slaws and regulatio ns.7.2 Party B shall deport himself with sincerity and good faith, abide by the State' s lawsand regulations and social ethics and professional ethics, maintain Party A' s reputationand in terests in itiatively and keep secret Party A' s con fide ntial in

39、 formati on.7.3 Party A may award or treat Party B as follows in the light of Party B' s performaneeand acts and in accordanee with the State ' s laws, regulations and administrative rules and Party A ' s regulations and rules.1) If Party B has any positive actions deserving award as pro

40、vided in Party A' s Rules ofAwardi ng Employees, Party A may award Party B in accorda nee with the Rules ofAwardi ng Employees.2) If Party B has committed any actions in breach of Party A' s regulations or rules, PartyA may treat him or her in accordance with the Rules for Treatment of Emplo

41、yees inBreach of Regulatio ns.第八條(教育與培訓) Article 8 Education and Trai ning(一)甲方可以根據工作需要不定期地對乙方進行所必須的教育與培訓。(二)乙方應參加甲方的各項教育與培訓安排。(三)凡由甲方出資培訓乙方,雙方另行簽訂培訓/教育協(xié)議,因乙方原因而提前解除勞動合同,乙方應賠償甲方的培訓等費用,具體賠償標準執(zhí)行培訓/教育協(xié)議的約定。8.1 Party A may educate or train Party B irregularly whe n n ecessary in the light of thework ing

42、 requireme nts.8.2 Party B shall participate in all the educatio n and training courses arran ged by Party A.8.3 Where Party A inv ests in trai ning of Party B, the two parties shall con clude agreeme ntfor educati on/training separately; if this Employme nt Agreeme nt is termi nated earliertha n or

43、igi nally stipulated for reas ons attributable to Party B, Party B shall compe nsateParty A the training fee in accordance with the stipulations in such agreement for educatio n/training.第九條(保密約定)Article 9 Con fide ntiality(一)雙方簽訂本合同后,乙方應遵守甲方保密條例,不得泄露甲方秘密,不得在合同期內 再受聘其他任何單位從事與甲方相同或類似或有競爭沖突的業(yè)務。不得引誘甲方的

44、其他在職職工 離職。9.1 Party B shall, after sig ning of this Agreeme nt, observe Party A' s Con fide ntiality Rules,and may not disclose any of Party A ' s con fide ntial in formati on; duri ng the validity term hereof, Party B may not en gage in any bus in ess similar with or in competiti on with PartyA' s bus in ess for any other employer, a
