The liabilities of each party to the joint venturecom

7、pany just limits to its contributed capital, which stipulated in the Articles of Association or in the revised afterwards. Theprofits, risks and losses of the joint venture company shall be shared by the parties in proportion to their contributions of theregistered capital.第五條 合營公司為中國法人,受中國法律管轄和保護(hù),其

8、一切活動必遵守中國的法律、法 令和有關(guān)條例規(guī)定。Article 5The joint venture company has the status of a legal person and is subject to the jurisdiction and protection of Chinese lawsconcerned. All activities of the joint venture company shall be governed by the laws, decrees and pertinent rules andregulations of the People

9、Rsepublic of China.第二章 宗旨、經(jīng)營范圍Chapter 2 Purpose, Scope and Scale of the Business第六條 甲、乙方合資經(jīng)營的目的是：本著加強(qiáng)經(jīng)濟(jì)合作和技術(shù)交流的愿望,采用先進(jìn)而適 用的技術(shù)和科學(xué)的經(jīng)營管理方法,提高產(chǎn)品質(zhì)量, 發(fā)民新產(chǎn)品,并在質(zhì)量、 價(jià)格等方面具有 國際市場上的競爭能力,提高經(jīng)濟(jì)效益,使投資各方獲得滿意的經(jīng)濟(jì)利益。（注：在章程中要根據(jù)具體情況寫明。 ）Article 6The purpose of the parties to the joint venture is in conformity with the w

12、cts of the joint venture company will be sold on Chinese market and overseas market and after-sale services willbe provided by themselves. In order to pursuing the success and development of the joint venture company, the joint venturecompany shall give the top priority on export of the products and

15、, accou nts for %Includes:第十二條 甲、乙方應(yīng)按合同規(guī)定的期限繳清各自的出資額。Article 12The amount of the investment in Article 10 shall be paid by Party A and Party B according to the time limit stipulated in thecontract.第十三條 甲、乙方繳付出資額后，經(jīng)合營公司聘請?jiān)谥袊缘臅?jì)師驗(yàn)資，出具驗(yàn)資報(bào) 告后，由合營公司據(jù)此發(fā)給甲、乙各方出資證明書，確認(rèn)種自的出資日期及金額。Article 13After the paymen

16、t of investment by the parties to the joint venture, a Chinese registered accountant invited by the jointventure company shall verify it and provide a certificate for contributed investment. Thereafter the joint venture companyshall issue an investment certificate to confirm the date and amount of t

17、he contribution.第十四條 合營期內(nèi)，合營公司不得減少注冊資本數(shù)額。任何一方都不得將其在合營公司中 認(rèn)繳出資的任何部份抵押給任何第三方。ArticIe14Within the term of the joint venture, the joint venture company shall not reduce its registered capital. Neither party shall beallowed to mortgage any part of the investment to the third party.第十五條 合營公司注冊資本的增加、 轉(zhuǎn)讓，應(yīng)由

18、董事會一致通過后， 并報(bào)原審批機(jī)權(quán)批準(zhǔn)， 向原登記機(jī)構(gòu)辦理變更登記手續(xù)。Article 15Any increase, assignment of the registered capital of the joint venture company shall be approved by the board of directorsunanimously and submitted to the original examining and approving authority for approval. The registration procedures forchanges sh

19、all be dealt with at the original registration and administration office.第四章 董事會Chapter 4 Board of Directors第十六條 合營公司設(shè)董事會。董事會是合營公司的最高權(quán)力機(jī)構(gòu)。Article 16The joint venture company shall establish the board of directors which is the highest authority of the joint venture company.第十七條 董事會決定合營公司的一切重大事宜，下列事宜，

20、董事會應(yīng)一致通過方可做出決 定：1.合營公司章程和修改；2.合營公司的中止與解散；3. 合營公司與另一經(jīng)濟(jì)組織的合并、兼并與聯(lián)合；4.合營公司注冊資本的增加與轉(zhuǎn)讓；5.設(shè)立合營公司的分支機(jī)構(gòu)；6.批準(zhǔn)合營公司的中長期發(fā)展規(guī)劃；7.決定合營年度經(jīng)營方針和計(jì)劃；8.批準(zhǔn)年度財(cái)務(wù)預(yù)算，財(cái)務(wù)報(bào)告和會計(jì)報(bào)表；9.決定合營公司年度利潤分配方案；10.總經(jīng)理、副總經(jīng)理的任免；11.涉及任何一方各合營公司利潤沖突的事項(xiàng)。對以下事項(xiàng)，須出席董事會至少x名董事通過：1 合營公司年度流動資金貸款的最高額及有關(guān)合營公司資產(chǎn)的購置、租賃、出賣或抵押 等事宜；2.合營公司的勞動合同和重要的規(guī)章制度；3. 審查并批準(zhǔn)總經(jīng)理

21、提出的年度經(jīng)營報(bào)告；4. 任免由總經(jīng)理提名報(bào)董事會聘任的高級管理人員、決定上述人員的工資和生活福利待遇；5. 按照中國政府的有關(guān)規(guī)定，制定合營公司職工的福利和工資制度；6.確定調(diào)整合營公司的組織機(jī)構(gòu)；7.決定合營公司從稅后利潤中提取儲備基金、企業(yè)發(fā)展基金和職工獎(jiǎng)勵(lì)及福利基金的比例；8.決定合營公司的保險(xiǎn)種類和投保范圍；9. 關(guān)于董事會對總經(jīng)理經(jīng)營權(quán)限的授予；10. 決定合營公司職工的住房及各項(xiàng)福利事宜；11. 其它應(yīng)由董事會決定的事宜。Article 17The board of directors shall decide all major issues concerning the jo

22、int venture company. As forthe following issues, unanimous approval shall be required:l) Amending the Articles of Association of the joint venture company;2) Discussing and deciding the termination and dissolution of the joint venture company;3) Deciding the merger, affiliation and consolidation of

23、the joint venture company with other economic organization;4) Deciding the increase and assignment of the registered capital;5) Deciding to set up branches;6) Ratifying the project of development on medium term and long term;7) Deciding an annual management strategy and plan;8) Ratifying fiscal budg

24、et, fiscal report and accounting statement;9) Deciding the plan on annual profits sharing;l0) Inviting and dismissing the general manager and the deputy general managers;11) Settling the disputes between each party to the joint venture and Joint Venture Company.As for other matters, approval by more

25、 than_ directors shall be required. Such as;1) Deciding the top line of annual circulating capital and issues on purchasing, leasing and mortgage of assets in the jointventure company;2) Approving the labor contracts and other important regulations of the joint venture company;3) Examining and appro

26、ving the annual business report submitted by the general manager;4) Inviting and dismissing the senior administrative personnel who shall be recommended by general manager, anddeciding their salary and welfare;5) Deciding the system of salary and welfare for staff and workers in joint venture Compan

27、y in accordance with the relevantregulations of China;6) Defining and adjusting the structure of the joint venture company7) Deciding the proportion of allocation for reserve funds ，expansion funds and bonuses from the taxed profits of jointventure company;8) Deciding the types and scope of insuranc

28、es for Joint Venture Company9) Deciding the scope of authorized power for the general manager;10) Deciding the plan on living houses and other welfare for staff and workers of joint venture Company;11) Deciding other matters which shall made decision by the board of directors.第十八條 董事會由X名董事組成，其中甲方委派X

The notice shal

32、lcover the agenda, time and place of the meeting. Should the directors be unable to attend the board meeting, he may presentproxy in written form to the board. In case the director neither attends nor entrusts others to attend the meeting, he will beregarded as abstention.第二十一條 出席董事會會議的法定人數(shù)為全體董事的四分之

33、三。不夠四分之三人數(shù)時(shí)，其 通過的決議無效。會議決錄應(yīng)歸檔保存， 會議記錄用中、 英文文字書寫，并且每個(gè)出席會議 的董事均應(yīng)在會議記錄上簽字。Article 21The board meeting requires a quorum of over three quarter of the total number of directors. When the quorum is less thanthree quarter, the decisions adopted by the board meeting are invalid. Detailed written records sha

34、ll be made for each boardmeeting and signed by all the attended directors or by the attended proxy. The record shall be made in Chinese and inEnglish,and shall be filed with the company.第五章 經(jīng)營管理機(jī)構(gòu)Chapter 5 Business Management Office第二十二條 合營公司設(shè)經(jīng)營管理機(jī)構(gòu)，負(fù)責(zé)合營公司的日常管理工作。合營公司設(shè)總經(jīng)理 一名，副總經(jīng)理 名?？偨?jīng)理、副總理由董事任命，任期年，

35、經(jīng)董事會決定可以連任。Article 22The joint venture company shall establish a management office which shall be responsible for its daily management. Themanagement office shall have one general manager, _ deputy general managers. They shall be invited by the board ofdirectors, whose term of office is _ years and

36、may be renewed by the board of directors.第二十三條 合營公司實(shí)行董事會領(lǐng)導(dǎo)下的總經(jīng)理負(fù)責(zé)制。總經(jīng)理直接對董事會，執(zhí)行董事 會會議的各項(xiàng)決定。組織領(lǐng)導(dǎo)合營公司的日常生產(chǎn)、技術(shù)和經(jīng)營管理工作。Article 23The system of job responsibility of the general manager under the board of directors is adopted by the joint venture company.The general manager shall be responsible to the bo

37、ard of directors directly, carry out the decisions of the board of directorsand organize the daily works on production ， technology and management of joint venture company.第二十四條 副董事長、董事經(jīng)董事會委派可兼任總經(jīng)理、副總經(jīng)理或經(jīng)理助理。Article 24At the invitation of the board of directors, the chairman, vice chairman of direct

38、ors of the board may concurrently be thegeneral manager, deputy general manager and general manager assistant of the joint venture company.第二十五條 總經(jīng)理、副總經(jīng)理除非得到董事會的批準(zhǔn)不得參與和本合營公司有商業(yè)竟?fàn)幍?其他經(jīng)濟(jì)組織。Article 25The general manager or deputy general managers shall not hold positions concurrently as general manager

39、 or deputygeneral manager of other economic organizations on commercial competition with their own joint venture company withoutthe approval of the board of directors.第二十六條 總經(jīng)理、副總經(jīng)理及其他商級管理人員請求辭職時(shí)，應(yīng)提前向董事會提出書面 報(bào)告。 以上人員如有營私舞弊或嚴(yán)重失職行為的， 不能勝任工作的， 經(jīng)董事會決定可隨時(shí)撤 換。Article 26The general manager, deputy general

40、managers and other senior administrative personnel who ask for resignation, shallsubmit their written reports to the board of directors in advance. In case any one of the above-mentioned persons conductsgraft or serious dereliction of duty, they may be dismissed at any time upon the decision of the

41、board.第六章 財(cái)務(wù)會計(jì)Chapter 6 Finance and Accounting第二十七條 合營公司的財(cái)務(wù)會計(jì)按照中華人民共和國財(cái)政部制定的中華人民共和國外商 投資企業(yè)會計(jì)制度規(guī)定辦理。Article 27The finance and accounting of the joint venture company shall be handled in accordance with the“ Stipulationsof the Finance and Accounting System of the Joint Venture Using Chinese and Foreig

42、nInvestment ” ,formulated by the Ministry of Finance of the People第二十八條 合營公司會計(jì)年度采用日歷年制，從每年一月一日起至十二月三十一日止為一 個(gè)會計(jì)年度。一切記賬憑證、單據(jù)、報(bào)表、帳薄，用中英文書寫。Article 28The fiscal year of the joint venture company shall be calendar year from January 1 to December31. All vouchers, receipts, accounting statements and report

43、s, accounting books shall be written in both Chinese andEnglish.第二十九條 合營公司應(yīng)采用人民幣為記賬的本位貨幣。人民同其它貨幣折算，按實(shí)際發(fā)生 之日中華人民共和國外匯管理局公布的匯價(jià)計(jì)算。Article 29The joint venture company shall adopt Renminbi (RMB) as its accounts keeping unit. The conversion of RMB into othercurrency shall be in accordance with the exchang

44、e rate of the converting day published by the State Administration ofForeign Exchange Control of the People Republic of China.第三十條 合營公司在中國銀行或中國銀行同意的其它銀行開立人民幣及外幣賬戶 .Article 30The joint venture company shall open accounts in RMB and foreign currency with the Band ofChina or other banks which agreed by

45、 the Bank of China.第三十一條 合營公司采用國際通用的權(quán)責(zé)發(fā)生制和借貸記賬法記賬。Article 3lThe accounting of the joint venture company shall adopt the internationally used accrual basis and debit and creditaccounting system in their work.第三十二條 合營公司的財(cái)務(wù)會計(jì)賬冊應(yīng)記載如下內(nèi)容：1.合營公司所有和現(xiàn)金收入、支出數(shù)量；2.合營公司所有的物資出售及購入情況；3. 合營公司注冊資本及負(fù)債情況；4.合營公司注冊資本的繳納

46、時(shí)間、增加及轉(zhuǎn)讓情況。Article 32The accounting books of the joint venture company shall include the following contents:(1) All amount of income and payment and payment in cash of the joint venture company;(2) Situations concerning sale and purchasing the materials of the joint venture company;(3) Situations co

47、ncerning registered capital and debt of the joint venture company;(4) Situations concerning and assignment of the registered capital.s Republic of China第三十三條 合營公司財(cái)務(wù)部門應(yīng)在每一個(gè)會計(jì)年度頭三個(gè)月編制上一個(gè)會計(jì)年度的資產(chǎn)負(fù) 債表和損益計(jì)算書，經(jīng)審計(jì)師審核簽字后，提交董事會會議通過。Article 33In the first three months of each fiscal year, the manager shall pre

48、pare the profits year sheet, profit and loss statement andproposal regarding the disposal of profits which should be examined and signed by the auditor, then submitted to the boardof directors.第三十四條 合營各方有權(quán)自費(fèi)聘請審計(jì)師查閱合營公司賬簿。查閱時(shí)，合營公司應(yīng)提供方 便。Article 34Parties of the joint venture company have the right to

49、 invite an auditor to undertake annual financial check and examination athis own expense. The joint venture company shall provide convenience for the checking and examination.第三十五條 合營公司按照中華人民共和國外商投資企業(yè)和外國企業(yè)所得稅法施行細(xì)則 的規(guī)定，由董事會決定合營公司固定資產(chǎn)的折舊年限。Article 35The depreciation period for the fixed assets of the

50、joint venture company shall be decided by the board of directors inaccordance with the“The Income Tax Law of -tphuebPliecoopfleChina s Rfor Foreign Investment Enterprises and Foreign Enterprises”第三十六條 合營公司的一切外匯事宜，按照中華人民共和國外匯管理暫行條例和有關(guān) 規(guī)定辦理。Article 36All matters concerning foreign exchange shall be ha

51、ndled in accordance with the “ provisional Regulations for ExchangeControl of the People Rsepublic of China ”and other pertaining regulations.第七章利潤分配Chapter 7 Profit Sharing第三十七條 合營公司從繳納所得稅后的利潤中提取儲備基金、企業(yè)發(fā)展基金和職工獎(jiǎng)勵(lì)及 福利基金。每年提取的比例，由事會根據(jù)合營公司經(jīng)營情況討論確定。Article 37The joint venture company shall allocate rese

52、rve funds, expansion funds and bonuses welfare funds for staff and workersafter payment of taxes. The proportion of allocation shall be decided by the board of directors.第三十八條 合營公司依法納稅和提取三項(xiàng)基金后的利潤，按照甲、乙方在注冊資本中的出 資比例進(jìn)行分配。Article 38After paying the taxes in accordance with law and drawing the various f

53、unds, the profits in net will be distributed according tothe proportion of each party insvestment in the registered capital.第三十九條 合營公司每年分配利潤一次，每個(gè)會計(jì)年度后三個(gè)月內(nèi)公布前一年利潤分配方 案及各方應(yīng)分的利潤額。Article 39The joint venture company shall distribute its profits once a year. The profit distribution plan and amount of pro

54、fit distributedto each party shall be published within the first three months following each fiscal year.第四十條 合營公司上一個(gè)會計(jì)年度虧損未彌補(bǔ)前不得分配利潤。上一個(gè)會計(jì)年度未分配的 利潤，可并入本會計(jì)年度利潤分配。The profit distribution shall not be allowed before the loss of last fiscal year the joint venture company being made up. Thenon-distribut

55、ed profit of the last facial year may be incorporated into the profit distribution of this facial year.第八章 職工Chapter 8 Staff and Workers第四十一條 合營公司員工的招收、招聘、辭退、工資、生活福利、獎(jiǎng)懲、勞動保險(xiǎn)、勞動 保護(hù)， 勞動紀(jì)律等事宜， 按照中華人民共和國外合資經(jīng)營企業(yè)勞動管理規(guī)定及其實(shí)施辦 法和X省(市)的有關(guān)規(guī)定辦理。Article 41The employment, recruitment, dismissal and resignation of

56、 the staff and workers of the joint venture company and theirsalary, welfare, labor insurance, labor protection, labor discipline and other matters shall be handled according to the“ Regulations of the People-public osf RCehinaon Labor Management in Chinese and Foreign Joint Ventures ” and its imple

57、mentation rules and releva nt regulatio nsissued byXXprovi nee (City).第四十二條 合營公司有權(quán)對違犯合營公司的規(guī)章制度和勞動紀(jì)律的員工， 給予警告、記過、 降薪的處分，情節(jié)嚴(yán)重，可予以開除。開除職工須報(bào)當(dāng)?shù)貏趧硬块T備案。Artiele 42The joint venture eompany has the right to take diseiplinary aetions, sueh as warning, demerit reeording and salary redueingagainst those staff a

58、nd workers who violate the rules and regulations of the joint venture eompany and labor diseiplines.Those with serious eases may be dismissed. Diseharging of workers shall be filed with the loeal labor and personneldepartment.第四十三條 中方職工的工資待遇，按照北京市勞動局的規(guī)定，根據(jù)合營公司具體情況，由 董事會確定， 并在勞動合同中具體規(guī)定。 合營公司隨著生產(chǎn)的發(fā)展，

59、職工業(yè)務(wù)能力和技術(shù)水 平的提高，相應(yīng)提高職工的工資。 合營公司中方退休人員的工資按北京市勞動局的規(guī)定辦理。Artiele 43The salary treatment of the staff and workers shall be set by the board of direetors ae-eording tothe specific situation of _, and the joint venture company ， with reference to theregulations issued by the Bureau of Labor of _ , and shal
