中英文銷售合同

1、no： 日期：date： 為在平等互利的基礎上發(fā)展貿(mào)易，有關方按下列條件簽訂本協(xié)議：this agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop bussiness on terms and conditions mutually agreed upon as follows:1 .訂約人contracting parties供貨人（以下稱甲方）：supplier （hereinafter calledJ pa y a ”銷售

2、代理人（以下稱乙方）：agent （hereinafter calledj pa y b”甲方委托乙方為銷售代理人，推銷下列商品。party a hereby appoint party b to act as his selling agent to sell the commodity mentioned below.2 .商品名稱及數(shù)量或金額commodity and quantity or amount雙方約定，乙方在協(xié)議有效期內(nèi)，銷售不少于的商品。it is mutually agreed that party b shall undertake to sell not less t

3、han of theaforesaid commodity in the duration of this agreement 。3 .經(jīng)銷地區(qū)territory只限在in only.4 .訂單的確認confirmation of orders本協(xié)議所規(guī)定商品的數(shù)量、價格及裝運條件等，應在每筆交易中確認，其細目應在雙方簽 訂的銷售協(xié)議書中作出規(guī)定。the quantities , prices and shipments of the commodities stated in this agreement shall be confirmed in each transaction , th

4、e particulars of which are to be specified in the sales confirmation signed by the two parties hereto.5 .付款payment訂單確認之后，乙方須按照有關確認書所規(guī)定的時間開立以甲方為受益人的保兌的、不可 撤銷的即期信用證。乙方開出信用證后，應立即通知甲方，以便甲方準備交貨。after confirmation of the order , party b shall arrange to open a confirmed , irrevocable l/c available by draf

5、t at sight in favour of party a within the time stipulated in the relevant s/c. party b shall also notify party a immediately after l/c is opened so that party a can get prepared for delivery.6 .傭金commission在本協(xié)議期滿時，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應按裝運貨物所收到的發(fā)票累計總金額付給乙方%白傭金。upon the expiration of the agreement and

8、arwhilehallfrom time to8 .宣傳廣告費用advertising & publicity expenses在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費用，由乙方自理。乙方須 事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patter

11、ate this agreement.10 .仲裁arbitration在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應友好協(xié)商解決。若通過友好協(xié)商達不成協(xié)議，則 提交中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲裁。 該委員會的決定是終局的，對雙方均具有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方 負擔。all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reac

12、hed , the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and bindi

13、ngunless otherwiseupon both parties. arbitration fees shall be borne by the losing party awarded.11 .其他條款other terms & conditions(1)甲方不得向經(jīng)銷地區(qū)其他買主供應本協(xié)議所規(guī)定的商品。如有詢價，當轉(zhuǎn)達給乙方 洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關銷售確認書副本寄 給乙方，并按所達成交易的發(fā)票金額給予乙方%白傭金。party a shall not supply the contracted commodity to any other

14、 buyer(s) in the above mentioned territory. direct enquiries , if any, will be referred to party b. however , should any other buyers wish to deal with party a directly , party a may do so. but party a shall send to party b a copy of sales confirmation and give party b% commission on the basis of th
