12、with the contract and specification, the buyer of the commodityinspection bureau should be invited for inspection, and shall have the right to claim against the seller accordingto a report issued by the commodity inspection bureau inspection.(1)如貨物的質(zhì)量與規(guī)格與合同不符，買方應(yīng)請商檢局進行檢驗，并有權(quán)根據(jù)商檢局出具的檢驗報告向賣方索賠15.CLAIM

13、S:In case that the Seller are liable for the discrepancies and a claim is madeby Buyer within the time-limit of inspection and quality guarantee period asstipulated in Clause 14 of this Contract, the Seller shall settle the claim uponthe agreement of the Buyers in one or the combination of the follo

14、wing ways:(1) Agree to the rejection of the goods and refund to the Buyers the value ofthe goods so rejected in the same currency as contracted herein , and to bearall direct losses and expenses in connection therewith including interest accrued, bankingcharges, freight, insurance premium, inspectio

15、n charges, storage, stevedore charges and all other necessary賣方保證選用合適的運輸 方式將貨物運抵expenses required for the custody and protection of the rejected goods.(2) Devalue the goods according to the degree of inferiority, extent of damageand amount of losses suffered by the Buyers.The claims mentioned above

16、shall be regarded as being accepted if the Sellersfail to reply within 30 days after receiving the Buyers claim.索賠： 買方按照本合同14條的規(guī)定，在檢驗或質(zhì)量保證期內(nèi)提出的索賠，其問題應(yīng)由 賣方負責時，賣 方在取得買方同意后應(yīng)按下列之一或混合的方式處理索賠。(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負擔因退貨而發(fā)生的一切直接損失和費用，包括利息、銀行費用、運費、保險費用、商檢費、倉儲費和裝卸費。(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。 賣方在收

17、到買方的索賠30天內(nèi) 沒有答復將被認為接受上述索賠。16.FORCE MAJEURE:The seller shall not be held responsible for the delay in shipment or non-delivery of the goods dueto Force Majeure , such as war , serious fire , flood , typhoon and earthquake , or other events agreed uponbetween both parties , which might occur during th

18、e process of manufacturing or in the course of loading ortransit . The Seller shall advise the Buyer by cable/telex immediately of the occurrence mentioned above andwithin fourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate of theaccident issued by theComp

19、etent Government Authorities, where the accident occurs as evidence thereof. Under such circumstancesthe Seller, however , are still under the obligation to take all necessary measures to hasten the delivery of thegoods .不可抗力： 由于嚴重的火災(zāi)、水災(zāi)、臺風、地震以及雙方同意的其它不可抗力事故，致 使賣方交貨延遲 或不能交貨時，賣方可不負責任，但發(fā)生上述事故時，賣方應(yīng)立即以電

In case no settlement can be reached, the case may thenbe submitted for arbitration to China Intern

21、ational Economic and Trade Arbitration Commission in accordancewith the Rules of Arbitration promulgated by the said Arbitration Commission. The Arbitration shall take place inDalian and the decision of the Arbitration Commission shall be final and binding upon both parties; neither partyshall seek recourse to a law court nor other authorities to appeal for revision of the decision.
