19、s， the total penalty will not exceed 5 of the total contract value 13. 檢驗(yàn)和索賠Inspection and Claim:（ 1 ） 發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量，規(guī)格，性能和數(shù)量/ 重量做精密全面的檢驗(yàn)，出具檢驗(yàn)證明書，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods in regard to the quality specification,

20、performance and quantity/weight, andissue inspection certificates certifying the technical data and conclusion of the inspection.對(duì)貨物的規(guī)/ 和數(shù)量與合同規(guī)定不符，除保60 日內(nèi)憑商檢局出具的檢驗(yàn)證2）貨到項(xiàng)目地后，買方將申請(qǐng)中國(guó)出入境檢驗(yàn)檢疫局格和數(shù)量/重量進(jìn)行復(fù)檢，如發(fā)現(xiàn)貨物殘損或規(guī)格，或險(xiǎn)公司或輪船公司的責(zé)任外，買方在貨物到達(dá)項(xiàng)目地后明書向賣方索賠或拒收該貨物。After arrival of the goods at the site the Buyers

21、shall apply to the China Inspection & Quarantine Bureau (hereinafter referred to as CIQ) for a further inspection in respect of the specifications and quantity/weight of the goods. If damages of the goods are found, or the specification and /or quantity are not in conformity with the stipulation

22、s of this Contract, except when the responsibilities lie with Insurance Company or Shipping Company, the Buyers shall within 90 days after arrival of the gods at the site, claim against the Sellers, or reject the goods according to the inspection certificates issued by CIQ.（ 3） 在保證期限內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷

23、而發(fā)生損壞或/和品質(zhì)，性能與合同規(guī)定不符時(shí)，買方將委托中國(guó)出入境檢驗(yàn)檢疫局進(jìn)行檢驗(yàn)，并憑其檢驗(yàn)證明書向賣方提出索賠（包括換貨），由此產(chǎn)生的全部費(fèi)用應(yīng)由賣方承擔(dān)。In case of damages of the goods incurred due to the design or manufacture defects and / or the quality and performance are not in conformity with the Contract, the Buyers shall, during the guarantee period, request CIQ t

25、in 30 days after the Sellers receive the Buyers claim.14不可抗力Force Majeure ：由于人力不可抗拒事故，賣方交貨推遲或不能交貨時(shí)責(zé)任不在賣方。但賣方應(yīng)將事故立即通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出具的證明書航空郵寄交給買方為憑，并取得買方認(rèn)可。在上述情況下賣方仍有責(zé)任采取一切必要措施加快交貨。The Sellers will not be held responsible for any delay in delivery of the goods due to force majeure. Howeve

26、r ， the Sellers shall advise the Buyers immediately of such occurrence and within fourteen days thereafter ， shall send by airmail to the Buyers for their acceptance a certificate issued by the competent government authorities of the place where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under theobligation to take all necessary measures to hasten the delivery of the equipment.15仲裁 Arbitration ：凡有關(guān)本合同或執(zhí)行合同所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決，不能解決則應(yīng)申請(qǐng)中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)按照中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)的仲裁程序進(jìn)行仲裁。該委員會(huì)作出的裁決是最終的，仲裁費(fèi)由敗訴方承擔(dān) .A11 disputes in connection wit
