2、elephone:甲乙雙方根據(jù)中華人民共和國勞動合同法(以下簡稱勞動合同法和國家、省市的有關(guān)規(guī)定,遵循合法、公平、平等自愿,協(xié)商一致、誠實信用原則,訂立本合同。In accordance with the Labor Contract Law of the Peoples Republic of China (hereinafter referred to as the “Labor Contract Law” as well as relevant provisions of the state, province and city, and on basis of the principl

3、es of lawfulness, fairness, voluntariness, negotiations, honesty and good faith, Party A and Party B conclude this Contract.第一條合同期限與試用期Article 1 Contract Term and Probation(一本合同期限類型為固定期限勞動合同。I. This Contract is a fixed term labor contract.1、雙方合同期從年月日起至年月日止。1. The contract term is from _ (day/month/y

If Party Bs actual working time in Party A is not consistent with the commencing time agr eed in this Contract, the commencing time should be calculated on basis of the actual working time.(二自本合同生效之日起,從年月日起至年月日為試用期。試用期為個月。在試

5、用期內(nèi),甲方認為乙方不符合錄用條件的,向乙方說明理由后解除勞動合同。乙方在試用期內(nèi)出現(xiàn)下列情形之一的,即為不符合錄用條件:II. Since the effective date of this Contract, the probation period shall be from _ (day/month/year to _ (day/month/year, which is _ month(s. Party B should be treated as unqualified under either of the following circumstances within the probation period:1、違反誠實守信原則,乙方未如實告知與工作相關(guān)的信息,包括但不限于教育背景、身體狀況、工作經(jīng)歷、聯(lián)系方式、家庭地址和戶籍信息。1. Violating the principle of honesty and good faith, Party B

7、fails to provide the work related information, including but not limited to the education background, health, working experience, contact, home address and registered permanent residence information.2、乙方的技術(shù)及能力不符合甲方或甲方招聘時對崗位職責(zé)的描述。2. Party Bs skills and ability can not meet the position requirements d

8、escribed at Party As recruitment.3、乙方未到甲方指定(或許可的醫(yī)院進行體檢;在體檢中有冒名頂替的現(xiàn)象;體檢未通過等。3. Party B fails to go to the hospital appointed (or permitted by Party A to have the physical examination; or other person has the physical examination in the name of Party B; or Party B fails to pass the physical examinatio

9、n, etc.4、乙方的用工手續(xù)不完備或有虛假等,給甲方的錄用辦理帶來影響的,包括但不限于未履行完畢與上家單位的競業(yè)限制約定;未在指定時間內(nèi)提交甲方需要的必備資料。4. Party Bs working documents/materials are incomplete or false, causing impact on Party As employing, including but not limited to that the non-competition agreement with the former employer has not been ended; Party

10、B fails to provide necessary materials required by Party A within the appointed time.5、乙方不能達到甲方對所擔(dān)任崗位的要求。5. Party B fails to satisfy the requirements of Party A for the expected position.6、乙方在試用期內(nèi)因身體狀況發(fā)生變化,無法滿足工作崗位的基本要求。6. The health status of Party B changes during the probation period, and can not

11、 meet the basic requirements of the position.7、其他違反法律、法規(guī)、規(guī)章制度和勞動紀律的行為。7. Other activities violating the laws, regulations, rules and labor disciplines.第二條工作內(nèi)容和工作地點Article 2 Working Contents and Working Place(一乙方的工作內(nèi)容為:_ _。I. The working contents of Party B are _.(二乙方的工作地點為:_ _。II. The working place

12、of Party B is _.第三條工作時間和休息休假Article 3 Working Time as well as the Rest and Leave(一乙方所在崗位執(zhí)行標準工時制,具體為:即每日工作小時(不超過8小時,每周工作小時(不超過40小時,每周至少休息一日。I. The position of Party B enforces the standard working time system, i.e. working _ hours every day (not exceeding 8 hours, _ hours every week (not exceeding 40

13、 hours, and at least one day for rest every week.(二乙方加班必須征得甲方書面同意。乙方嚴格遵守甲方的加班申請報批制度,并同意經(jīng)批準的加班單為核算乙方加班工資的唯一依據(jù)。II. Party B should obtain the written consent of Party A for the overtime working, and should strictly c omply with Party As overtime working application and approval system. The approved ove

14、rtime working sheet shall be the sole basis of the calculation of Party Bs overtime working salary.(三乙方有權(quán)享受法定假日及勞動法規(guī)定的其他假日。III. Party B is legally entitled to have the holidays as stated and in accordance by law.第四條勞動報酬Article 4 Remuneration(一甲方依法制定工資分配制度,并告知乙方。甲方支付給乙方的工資不得低于市政府公布的當(dāng)年度最低工資。I. Party A

15、 should make the salary payment system on basis of the law and inform Party B. The salary paid to Party B by Party A shall not be lower than the lowest salary published by the municipal government for the year.(二乙方的工資為每月人民幣元,試用期的工資為每月元,是乙方在同時滿足下列情況下獲得的勞動報酬。II. Party Bs salary is RMB _ /month, and th

16、e salary in the probation perio d is RMB _ /month, which is the remuneration when Party B meets both of the following requirements:1、在考勤周期中,達到全勤:1. Achieving full attendance during the attendance checking period;2、在該工作崗位全面履行本合同勞動義務(wù)。2. Fully performing the obligations under this Contract for the posi

17、tion.(三甲方每月日發(fā)放工資。甲方至少每月以貨幣形式向乙方支付一次工資。III. Party A shall pay the salary on _ every month. Party A shall make at least one payment of salary to Party B every month in the form of money.(四甲方安排乙方延長工作時間或者在休息日、法定休假日工作的,應(yīng)依法安排乙方補休或支付相應(yīng)工資報酬。IV. If Party A arranges Party B to work overtime or work on the res

18、t day or statutory holidays, Party A should make up Party Bs missed rest or pay the corresponding salary in accordance with the law.(五若乙方未出滿全勤,按照國家規(guī)定執(zhí)行。V. If Party B fails to have the full attendance, relevant state provisions should be implemented.(六工資支付:VI. Salary payment甲方代扣國家法律法規(guī)的社會保險個人應(yīng)繳納部分和個人所

19、得稅后,每月25日之前發(fā)放給乙方工資。如果甲方遲延向乙方付款,乙方同意工資發(fā)放相應(yīng)順延。After withholding the social insurance which should be paid by individuals and the individual income tax provided by the state laws and regulations, Party A should pay the salary to Party B before the _25th_ day every month. If Party A delays the payment t

20、o Party B, Party B agrees that the salary payment can be postponed accordingly.第五條工資調(diào)整:Article 5 Salary Adjustment(一甲方實行變崗變薪制度,在合同存續(xù)期間,甲、乙雙方協(xié)商一致后,乙方工作崗位、工作地點和工作任務(wù)可發(fā)生變動,薪資亦隨之變動。I. Party A implements the “position change, salary change” system. During the contract term, after the negotiations of Party

21、 A and Party B, if Party Bs job position, working place and contents change, the salary should also be changed accordingly.(二乙方因患病或者非因公負傷,在規(guī)定的醫(yī)療期滿后不能從事原工作:或者由于乙方不能勝任甲方的崗位工作,甲方按照國家有關(guān)規(guī)定執(zhí)行。II. If Party B suffers illness or non-work related injury, and cannot perform the original work after the provide

22、d medical treatment period expires; or Party B can not qualify Party As working requirements, Party A shall implement relevant state provisions.第六條社會保險Article 6 Social Insurance(一甲方應(yīng)按國家和本市社會保險的有關(guān)規(guī)定為乙方參加社會保險。I. Party A shall arrange the social insurance for Party B in accordance with relevant social

23、insurance provisions of the state and this city.(二乙方按規(guī)定繳納上述費用中個人應(yīng)承擔(dān)的部分。II. Party B shall pay part of the above expenses which should be borne by individuals according to relevant provisions.(三乙方患病或非因工負傷,其病假工資、疾病救濟費和醫(yī)療待遇等按照國家和乙方工作所在地政府相關(guān)規(guī)定執(zhí)行。III. If Party B suffers illness or non-work related injury,

24、 the sick leave salary, illness remedy fees and medical treatment shall be provided in accordance with relevant provisions of the state and the government of Party Bs working place.第七條勞動保護、勞動條件和職業(yè)危害防護Article 7 Labor Protection, Labor Conditions and Occupational Injury Prevention(一甲方建立健全生產(chǎn)工藝流程,制定操作規(guī)程

25、、工作規(guī)范和勞動安全衛(wèi)生制度及其標準。甲方對可能產(chǎn)生職業(yè)病危害的崗位,應(yīng)當(dāng)向乙方履行告知義務(wù),并做好勞動過程中職業(yè)危害的預(yù)防工作。I. Party A shall establish complete manufacture and technological process, and make operation specifications, working regulations and labor safety and health system as well as the standards. For the position which may cause occupationa

26、l disease, Party A is obligated to inform Party B, and make relevant arrangement to prevent the occupational disease during the work.(二甲方為乙方提供必要的勞動條件以及安全衛(wèi)生的工作環(huán)境。II. Party A shall provide Party B with necessary labor conditions and safe, healthy working environment.(三甲方應(yīng)根據(jù)自身特點有計劃地對乙方進行政治思想、職業(yè)道德、業(yè)務(wù)技術(shù)、

27、勞動安全衛(wèi)生及有關(guān)規(guī)章制度的教育和培訓(xùn),提高乙方思想覺悟、職業(yè)道德水準和職業(yè)技能。乙方應(yīng)認真參加甲方組織的各項必要的教育培訓(xùn),認真履行自己的勞動職責(zé)。III. Party A shall train Party B in a planned way in respect of the political thoughts, professional ethics, operation technology, labor safety and health as well as relevant regulations and systems according to Party As own

28、characteristics. Party B shall seriously participate in various necessary education and trainings organized by Party A, and carefully perform the post duties.第八條乙方的保證Article 8 Party Bs Guarantee(一乙方保證其與原用工單位已依法解除(或終止勞動合同或勞動關(guān)系,并且不存在任何原用工單位有關(guān)的競業(yè)限制。I. Party B guarantees that the labor contract or emplo

29、yment with the original employer has been legally cancelled (or terminated, and there is not any non-competition agreement with the original employer.(二乙方保證其將及時向甲方遞交辦理社會保險等相關(guān)手續(xù)所需的有效憑證,如因乙方延遲遞交而造成的任何后果,乙方應(yīng)承擔(dān)相應(yīng)責(zé)任。II. Party B guarantees to submit effective documents required by relevant procedures such

30、 as the handling of social insurance to Party A in time. If Party B delays the submission causing any consequences, Party B shall undertake relevant liabilities.(三乙方保證其向甲方提供的所有信息、資料、證明等均屬真實、有效,并承擔(dān)相應(yīng)責(zé)任。甲方向乙方當(dāng)面提供的法律文書,文件及向乙方提供的通訊地址所送達的一切法律文書、文件,視為對乙方的送達。乙方承擔(dān)拒絕接收甲方送達的材料等信件而造成的責(zé)任和后果。乙方同時保證個人信息有變化時應(yīng)在5天內(nèi)及

31、時通知甲方,乙方承擔(dān)未及時通知造成的責(zé)任和后果。III. Party B guarantees that all the information, materials, certificates, etc. provided to Party A are true and effective. The presentation of the legal papers and documents to Party B by Party A, or sending the legal papers and documents to the communication address provide

32、d by Party B shall be considered as the service on Party B. Party B undertakes the liability and consequences caused by Party Bs refusal to accept the materials served by Party A. In the meantime, Party B guarantees to notify Party A in time within 5 days if the individual information changes. Party

33、 B shall undertake the liability and consequences caused by the failure to give notice in time.(四乙方理解并同意,誠信是重要的原則。因此乙方保證,不會做出任何違背誠信原則的行為。IV. Party B understands and agrees that being honesty and having good faith is an important principle. Therefore, Party B guarantees that Party B will not conduct

34、any activities violating the honesty and good faith principle.(五乙方保證在甲方工作時,以及與甲方解除或終止勞動關(guān)系時,會根據(jù)甲方的要求進行工作和財物等方面的全部移交。V. Party B guarantees to transfer all the work and properties, etc. according to Party As request when working in Party A, or canceling or terminating the labor relationship with Party

35、A.(六乙方應(yīng)嚴格遵守國家和乙方工作地法律和法規(guī),遵守甲方的各項規(guī)章制度、保密規(guī)定和勞動紀律等。VI. Party B shall strictly comply with the laws and regulations of the state and Party Bs working place, and obey Party As various rules and systems, confidential provisions, labor disciplines, etc.(七乙方在收到甲方送達的勞動合同,解除/終止勞動合同協(xié)議書等法律文書,文件后的5個工作日內(nèi)應(yīng)給以明確回復(fù),并

36、將簽字或未簽字的文件送還甲方,否則,甲方有權(quán)單方處理該文件(勞動合同書作廢,解除/終止/變更勞動合同協(xié)議書等需乙方簽字的即視同乙方默認,且乙方須承擔(dān)相應(yīng)的責(zé)任和后果。VII. Party B should give definite reply within 5 working days after receiving the legal papers and documents such as the labor contract, labor contract cancellation/termination agreement, etc serviced by Party A, and

37、send the signed or unsigned documents back to Party A, failing which Party A is entitled to unilaterally deal with such documents (for the labor contract cancellation/termination/change agreement which requires Party Bs signature, it should be treated that Party B agrees by silence, and Party B shou

38、ld undertake relevant liabilities and consequences.(八甲方屬于外資公司,大多數(shù)的管理人員和法人是外籍人士,因此乙方需確認英文的口語和書寫方面沒有任何問題。日常工作中的文件,重要工作交流,公司規(guī)章制度都將以英文形式呈現(xiàn),乙方需接受所有的口頭和書面英文信息。VIII. Party B understands that Party A is a Foreign Co and most of the managers and legal persons are Foreigners. Party B agrees and confirms that

39、It can understand English conversation in oral and in writings. Most of the work related documents and important communications regarding officer work, rules and regulations will be done in English and Party B egress to accept and abide to all English Messages be it Oral or in Writing.第九條勞動合同的變更、解除、

40、終止、續(xù)訂Article 9 Change, Cancellation, Termination and Renewal of the Labor Contract(一乙方違反本合同第八條的約定的,視為嚴重違反規(guī)章制度:I. Party Bs breach of the agreement in Article 8 of this Contract shall be treated as seriously violating the rules and regulations.(二乙方提前三十日以書面形式通知甲方和用工單位,可以解除勞動合同;乙方試用期內(nèi)解除,應(yīng)提前三日書面通知甲方。如乙方未

41、按約定時限通知甲方,乙方承擔(dān)由此造成的對甲方的所有損失。II. Party B may cancel the labor contract by sending a 30 days prior written notice to Party A and the employer; if canceling the contract during the probation period, Party B should notify Party A three days beforehand. If Party B fails to notify Party A according to the

42、 agreed time limit, Party B shall undertake all the losses caused to Party A.(三本合同未盡事宜涉及甲乙雙方變更、解除、終止,續(xù)訂勞動合同的,依照中華人民共和國勞動合同法和國家有關(guān)規(guī)定執(zhí)行。III. Other matters not mentioned in this Contract involving the changing, cancellation, termination and renewal of the labor contract shall be conducted in accordance

43、with the Labor Contract Law of the Peoples Republic of China and relevant state provisions.(四勞動合同的變更IV. Change of the labor contract1 、甲乙雙方經(jīng)協(xié)商一致,可以變更本合同相關(guān)條款,變更后的條款以書面形式確定,雙方各執(zhí)一份。1. Subject to the negotiation and consensus of Party A and Party B, the two parties may amend relevant clauses of this Con

44、tract. The amended clauses should be in the form of writing and the two parties shall each hold one duplicate.2、經(jīng)雙方協(xié)商一致并預(yù)先約定,在本合同履行期間,發(fā)生下列情形時,本合同的相關(guān)條款隨之變更:2. Subject to the consensus and prior agreement of the two parties, during the performance of this Contract, relevant clauses of this Contract sh

45、all be changed accordingly under the following circumstances:(1工作崗位的變更:(1 Change of the position甲方向乙方告知在本合同履行期間本合同所約定工作崗位會發(fā)生變更的可能性,故經(jīng)雙方協(xié)商一致,確認以下情形之一發(fā)生可變更本合同所約定的工作崗位:Party A shall notify Party B of the possibility to change the agreed working position during the performance of this Contract. As such,

46、 subject to the negotiation and consensus of the two parties, it is confirmed that the agreed working position can be changed under the following circumstances:(a乙方因升職而需要崗位變化的:(a The position needs to b e changed because of Party Bs promotion;(b因甲方組織架構(gòu)發(fā)生調(diào)整而導(dǎo)致乙方崗位消失的:(b The organizational structure o

47、f Party A is adjusted causing the cancellation of Party Bs position;(c因甲方經(jīng)營或管理模式發(fā)生變化而導(dǎo)致乙方崗位合并的:(c The operation or management mode of Party A changes causing that Party Bs posi tion is incorporated into other positions;(d因甲方業(yè)務(wù)結(jié)構(gòu)發(fā)生變化而導(dǎo)致乙方崗位無工作任務(wù)的:(d The operation structure of Party A changes causing

48、that there is no task for Party Bs position;(e 其他經(jīng)雙方協(xié)商一致確認可變更的情形。(e Other circumstances agreed and confirmed by the two parties.(f根據(jù)下面的任何一種情況, 甲方有權(quán)調(diào)整乙方的工作職位和職責(zé):乙方未能完成他/她的工作任務(wù)乙方行為不端正, 違反公司的規(guī)章制度, 或公司選派,或職位準則乙方破壞辦公室紀律或引起辦公室不和諧乙方不協(xié)助其他同事的工作或分擔(dān)工作任務(wù)乙方拒絕幫助和指導(dǎo)下屬或其他同事乙方不和其下屬和同事共享必要的信息乙方泄漏本部門的機密并和其他部門或第三方分享不能共

49、享的信息(f Party A can change the position and job profile of the Party B for any of the following:Party B fails to perform his/her given tasks and responsibilitiesParty B is misbehaving and violating the rules and regulations of the companyor of its designation or of its positions guidelineParty B is c

50、reating problem in the office discipline or harmonyParty B is not helping its colleagues or not sharing its dutiesParty B refuses to help and guide its subordinates or colleaguesParty B doesnt share the required information with its colleagues andsubordinatesParty B breaches the confidentiality of i

51、ts departments and shares theinformation which is not required to be shared with other departments orthird party.(2薪金的變更(2 Change of the salary基于甲方向乙方告知在本合同履行期間,本合同所約定的工資標準會發(fā)生變更的可能性,故經(jīng)雙方協(xié)商一致確認以下情形之一發(fā)生時可變更本合同所約定的工資標準:On basis that Party A notifies the possibility to change the agreed salary standard

52、during the performance of this Contract, subject to the negotiation and consensus of the two parties, the salary standard agreed in this Contract can be changed under either of the following circumstances: (a乙方因過錯按甲方規(guī)章制度規(guī)定被降薪的。 (a The salary is reduced according to Party As rules and systems because

53、 of Party Bs fault. (b其他經(jīng)雙方協(xié)商一致確認可變更的情形。 (b Other circumstances agreed and confirmed by the two parties. (C) ,如乙方無法適應(yīng)或完成甲方要求的工作任務(wù),甲方將調(diào)低乙方的工資。 (C Party A may reduce the salary if it understands that Party Bs work in not appropriate and not as per the requirement standards of Party A 3、甲方應(yīng)依法向乙方出具解除和終止

54、本合同的書面證明,并在十五日內(nèi)為乙方辦理檔案和社會保 險關(guān)系轉(zhuǎn)移手續(xù)。 3. Party A should provide the written certificates to Party B in respect of the cancellation and termination of this Contract, and handle the files and social insurance relationship transfer procedures for Party B within fifteen days. 第十條 違反勞動合同應(yīng)當(dāng)承擔(dān)的責(zé)任 Article 10

55、Liabilities in Breach of the Labor Contract (一)乙方違反本合同的約定解除勞動合同或由于乙方原因訂立無效勞動合同,給甲方造成損害, 應(yīng)賠償甲方損失。 I. If Party B breaches the agreement of this Contract to cancel the labor contract or the labor contract is ineffective because of Party B, which causes damage to Party A, Party B shall indemnify Party A

56、s losses. (二)乙方違反其與甲方約定的保守商業(yè)秘密事項,給甲方造成損失的,乙方應(yīng)賠償甲方損失。 II. If Party B violates the agreement with Party A in respect of keeping the trade secrets confidential and causes losses to Party A, Party B shall indemnify Party As losses. (三)甲方如提供專項培訓(xùn)費用,對乙方進行專業(yè)技術(shù)培訓(xùn)的,甲方有權(quán)與乙方簽訂服務(wù)期合同, 服務(wù)期合同另行簽訂。乙方違反服務(wù)期合同的,應(yīng)向甲方承擔(dān)違

57、約責(zé)任。 11 III. If Party A undertakes the special training expenses to provide special technological training to Party B, Party A is entitled to conclude the service period contract with Party B, which shall be signed separately. If Party B violates the service period contract, Party B shall undertake

58、the liabilities of breach of the contract. (四) 乙方在甲方工作期間, 違反甲方有關(guān)規(guī)定, 給甲方造成經(jīng)濟損失的, 按甲方經(jīng)濟賠償規(guī)定處理。 若乙方不按規(guī)定承擔(dān)賠償責(zé)任,甲方可以暫扣獎金或提起仲裁,訴訟追究乙方的責(zé)任。 IV. During the working period in Party A, if Party B violates relevant provisions of Party A causing the economic loss to Party A, Party B should make indemnity according to Party As provisions of economic indemnity. If Party B fails to undertake the indemnity liability, Party A m
