9、nt:the sellers shall ship the goods within theshipmenttimefromtheportofshipmenttothedestination. transshipment is allowed. partial shipment is not allowed.運(yùn)輸：賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。12. shipping advice:the sellers shall, immediately upon the completion of the loading of the goods, advise by

10、 fax the buyers of the contract no., commodity, quantity,invoiced value, gross weight, name of vessel and date of delivery etc. in case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方。如果由于賣

11、方未能通知買方而造成的所有損失均由賣方承擔(dān)。13. guarantee of quality:thesellersguaranteethatthecommodityhereof is made of the best materials with first classworkmanship,brand new and unused,and compliesin allrespectswiththe qualityand specificationstipulatedinthiscontract. theguarantee periodshallbe 12months countingfrom

12、 the date of signingthe acceptancereport of this machine at the end-users site.質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。質(zhì)保期為最終用戶簽定驗(yàn)收報(bào)告后12 個(gè)月內(nèi)。14. claims:within 90 days after the arrival of the goods at destination, should the quality, specification, orquantitybe foundinunconformitywiththe

13、stipulationsofthecontractexceptthoseclaimsforwhichtheinsurance company or not the owners of the vessel areliable,thebuyersshall,onthestrengthoftheinspectioncertificateissuedbythestateadministrationforentry-exitinspectionandquarantineofp.r.c.orthesiteinspectionreportissuedby thesellersengineer,have t

14、he rightto claimfor replacement with new goods, or for compensation,and all expenses (such as inspection charges, freightforreturningthegoods and forsendingthereplacement,insurance premium, storage and loading and unloadingchargesetc.)shall be borneby thesellers.as regardsquality,thesellersshallguar

15、antee thatif within12months from the date of signing the acceptance reportofthismachine,damagesoccurinthecourseofoperationby reasonofinferiorquality,badworkmanshipor the use of inferiormaterials,thebuyersshallimmediatelynotifythesellersinwritingandput forwardaclaimsupportedbyinspectioncertificateiss

16、uedby thestateadministrationforentry-exit inspection and quarantine of p.r.c. .thecertificate so issued shall be accepted as the base ofa claim. the sellers, in accordance with the buyersclaimshallberesponsiblefortheimmediateeliminationofthedefect(s),complete or partialreplacement of the commodity o

17、r shall devaluate thecommodity accordingto the stateof defect(s),. ifthesellersfailtoanswer the buyers withinone month afterreceiptoftheaforesaid claim, theclaim shallbereckoned as having been accepted by the sellers.索賠：貨物抵達(dá)目的地后90 天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符( 除過保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù)) ，買方應(yīng)該依據(jù)中華人民共和國出入境檢驗(yàn)檢疫局的檢

18、驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用( 包括商檢費(fèi)、替補(bǔ)件來回的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等 ) 均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗(yàn)收報(bào)告后 12 個(gè)月內(nèi) ; 由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨附中國商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià) ; 如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。15. force majeure:the sel

19、lers shall not be held responsible forthe delay in shipment or non-delivery of the goods duetoforcemajeure,whichmight occur duringtheprocessofmanufacturingor in the course of loadingortransit.thesellersshalladvisethe buyers immediately oftheoccurrence mentioned above and within fourteen daysthereaft

20、er, the sellers shall send by airmail to thebuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritieswhere theaccidentoccursasevidencethereof.under such circumstancesthe sellers,however,are still under the obligation to take all necessarymeasures to hasten the delive

21、ry of the goods. in case the accident lasts for more than 10 weeks, the buyers shall have the right to cancel the contract.不可抗力：對于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。如果事故持續(xù)十周，買方有權(quán)取消該合同。16. late deliv

22、ery and penalty:should the sellers fail to make delivery ontime as stipulated in the contract, with exception offorce majeure causes specified in clause 15 of thiscontract.thebuyersshallagreetopostponethedelivery on condition that the sellers agree to pay apenaltywhich shallbe deducted by the paying

23、bank fromthe payment. the penalty,however,shallnot exceed 5%of the total value of the goods involved in the latedelivery. the rate of penalty is charged at 0.5% forevery seven days. odd days less than seven days should be counted as seven days. in case the sellers fail tomake deliveryten weeks later

24、than the time of shipmentstipulated in the contract, the buyers shall have theright to cancel the contract and the sellers, in spitethe cancellation,shallstillpay the aforesaidpenaltyto the buyers without delay.遲交貨和罰金：如果賣方未能按合同規(guī)定及時(shí)交貨( 除了本合同15 條款所言的不可抗力) ，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價(jià)值的5%，罰金按每7 日 0.5%計(jì)算，少于7
