10、lied by the Seller stipulated in Annex 3. 1.5合同產(chǎn)品：本合同標(biāo)的物生產(chǎn)的具有本合同附件三規(guī)定的技術(shù)指標(biāo)的產(chǎn)品。 1.5 Contracted Products: Produced by contracted item, have the specifications, quantities and assured values stipulated in Annex 3. All items are subjected to Buyer consultant approval.1.6 合同價(jià)格：買方因賣方提供本合同標(biāo)的物而支付的本合同規(guī)定的總價(jià)。

11、1.6 Contracted Price: The aggregate Buyer should pay to the Seller in consideration of performance by the contractor of its all obligations.1.7合同幣種：用以支付本合同價(jià)款的貨幣，即_美元。1.7 Contracted Currency: Used to pay the contracted price, i.e. USD.1.8 買賣雙方銀行：買方銀行為 ；賣方銀行為 。1.8 Two side's Banks: Buyer's ban

12、k is , Sellers bank is . 1.9安裝：本合同附件一規(guī)定的全部設(shè)備的裝配、就位和連接等組裝工作。 1.9 Installation: The fittings, locations, connections, etc, assemble work for all contracted equipments of contracted Items stipulated in Annex 4.1.10 試車：安裝之后設(shè)備的單獨(dú)或聯(lián)動(dòng)的試運(yùn)轉(zhuǎn)以檢測(cè)設(shè)備的機(jī)械性能。 1.10 Operation Test: Plant Equipment Performance: The ope

13、ration test of all equipments or part after the installation, to ascertain whether the mechanical performance of the contracted equipment is able to attain the values of design. The detail is referring to the stipulations in Annex 4.1.11 投料試生產(chǎn)：將本合同標(biāo)的物連接公用設(shè)施和投入原料以試制合同產(chǎn)品。 1.11 Commissioning Test Run:

14、The contracted items described in Annex 4 connect with public facilities and be put into raw material and operate, to trial produce the contracted products.1.12 性能測(cè)試: 檢測(cè)本合同附件三所規(guī)定的各項(xiàng)技術(shù)參數(shù)，包括設(shè)備的各項(xiàng)性能和產(chǎn)品的技術(shù)指標(biāo)。1.12 Performance Test: To inspect all assured values as stipulated in Annex 3, including all per

15、formances of contracted equipments and technical index of all products. 1.13 驗(yàn)收：如果考核結(jié)果表明，合同標(biāo)的物能夠全部達(dá)到本合同附件所規(guī)定的各項(xiàng)技術(shù)參數(shù)，則視為買方所驗(yàn)收。1.13 Operational Acceptation: If after the examination and performance test, the contracted items can attain the all assured value stipulated in Annexes, is regarded as being

16、operational acceptation by the Buyer. 1.14 裝卸港口：裝運(yùn)港為上海港；卸貨港為雅加達(dá)港。 1.14 Load and Unload Port: Load port is Shanghai China. Unload port is Jakarta Indonesia.1.15 工作現(xiàn)場(chǎng)：生產(chǎn)合同產(chǎn)品的場(chǎng)所，即_印度尼西亞Indrumayu。1.15 Work Site: The places to execute the contract upon, i.e. Indrumayu Indonesia. 1.16 現(xiàn)場(chǎng)代表: 合同雙方各自任命的在工作現(xiàn)場(chǎng)

17、代表己方全權(quán)處理與合同義務(wù)有關(guān)的一切事務(wù)的人員。1.16 Work Site Representatives: Any person nominated by Buyer and Seller separately to perform the duties delegated by the Buyer and the Seller separately at work site. 1.17 技術(shù)文件：本合同附件二、三中所列的與合同標(biāo)的物有關(guān)的設(shè)計(jì)、檢驗(yàn)、安裝、試車、投料試生產(chǎn)、性能測(cè)試、操作、維修等有關(guān)的全部技術(shù)數(shù)據(jù)、規(guī)格、圖紙和文件。1.17 Technical Documents: Al

18、l technical data, specifications, drawings and documents relevant to contracted items design, inspections, installation, commissioning, commissioning test run, performance test, operation, maintenance, just stipulated in Annex 2, Annex 3 and Annex 4. 1.18 技術(shù)服務(wù)：就本合同標(biāo)的物的設(shè)計(jì)、安裝、試車、投料試生產(chǎn)、性能測(cè)試、操作、維修等工作，向買

19、方提供的技術(shù)指導(dǎo)、協(xié)助。1.18 Technical Services: The technical instruction, assistance and supervision provided by the General Contractor in design, inspection, installation, operation test, commissioning test run, performance test, operation and reparation of contracted items pursuant to stipulation on Annex 4

20、. 1.19 技術(shù)培訓(xùn)：賣方根據(jù)合同標(biāo)的物的設(shè)計(jì)、安裝、試車、投料試生產(chǎn)、性能測(cè)試、操作、維修等工作，向買方提供的技術(shù)上的培訓(xùn)。1.19 Technical Training: The Seller supplied training in technology, based the execution of design, installation, test operation, commissioning test run, performance Test, operation and reparation of contracted items. 1.20 檢驗(yàn)機(jī)構(gòu): 中華人民共和國(guó)

21、出入境檢驗(yàn)檢疫局設(shè)立在裝貨港和/或工作現(xiàn)場(chǎng)的或鄰近的分支機(jī)構(gòu)。1.20 Inspection institution: the branch established in loading port and/or working site or neighbor by Entry-Exit Inspection and Quarantine Bureau of the P.R.C.1.21 保證期：保證期3個(gè)月，始于合同標(biāo)的物驗(yàn)收通過(guò)之日，在此期間，賣方保證合同標(biāo)的物的正常、穩(wěn)定運(yùn)行。詳見(jiàn)本合同附件三規(guī)定。1.21 Guarantee Period: commencement with the

22、date of operational acceptation, during the period, the Seller guarantee the proper and steady operation of Contracted Items, and eliminate any defect of contracted items. The detail is referring to the stipulations in Annex 3.1.22 合同生效日: 本合同經(jīng)雙方當(dāng)事人蓋章、授權(quán)代表簽字日起正式生效。1.22 The date of effect: The contrac

23、t is into validity from the date the contract is signed by the Buyer and the Seller.第二章 合同范圍 Clause 2: Scopes of Contract2.1 買方同意從賣方購(gòu)買，賣方同意向買方出售合同標(biāo)的物，其中包括本合同附件一、本合同附件二所列的所有設(shè)備和技術(shù)文件。賣方在保證期內(nèi)免費(fèi)提供技術(shù)服務(wù)和技術(shù)培訓(xùn)。2.1 The Buyer agrees to buy and Seller agrees to sell the contracted items, including contracted eq

24、uipments, permitted patents/know-how, the design documents, technical documents, technical service and technical training which needed by contracted Item.2.2 賣方所供應(yīng)的合同設(shè)備清單見(jiàn)附件一，合同標(biāo)的物及合同產(chǎn)品的技術(shù)參數(shù)和保證指標(biāo)見(jiàn)附件三。2.2 The Contracted Equipment supplied by Seller see Annex 1. The specifications, quantities and assu

25、red values of contracted equipments see Annex 3. 2.3 賣方應(yīng)承擔(dān)本合同標(biāo)的物的設(shè)計(jì)工作。2.3 The Seller is responsible for the whole design of contracted items. 2.4 賣方應(yīng)依據(jù)本合同附件二的規(guī)定向買方提交技術(shù)文件。2.4 The Seller shall submit the technical documents to Buyer accordance with the contract. 2.5 賣方應(yīng)派遣有經(jīng)驗(yàn)的、健康的和稱職的技術(shù)人員到工作現(xiàn)場(chǎng)提供技術(shù)服務(wù)。2.

26、5 The Seller shall send veteran, healthy technicians to Work Site to provide technical service. 2.6 賣方應(yīng)向買方的技術(shù)人員提供技術(shù)培訓(xùn)。2.6 The Seller shall provide technical training to Buyer's technicians.第三章 價(jià) 格 Clause 3: The Price of Contract:3.1 賣方按本合同附件一規(guī)定提供設(shè)備、本合同附件二規(guī)定提供技術(shù)文件、按本合同附件四規(guī)定的時(shí)間完成安裝、試車、性能測(cè)試、驗(yàn)收等項(xiàng)目并符

27、合本合同附件三要求的合同標(biāo)的物、合同產(chǎn)品的技術(shù)參數(shù)及保證指標(biāo)等樣板工程的總價(jià)（FOB）為46,499美元。3.1 The Seller shall provide contracted equipments, authorized patents/Know-how, design and technical documents, technical service and training etc. demo project equivalent to total the price of contract USD 46,499 (forty six thousand four hundred

28、 ninety nine US dollars only). 第四章 支 付 Clause 4: Terms of Payment4.1 本合同買賣雙方的支付均以本合同貨幣通過(guò)買賣雙方銀行進(jìn)行。4.1 Any payment under the contract between Buyer and Seller should be effected through the two side's bank stipulated in the contract.4.2 買方以下列方式進(jìn)行支付： 4.2 The procedure of payments between two sides

29、should be carried through as hereby: 合同總價(jià)以不可撤銷的信用證（L/C方式支付）。買方在本合同生效之日出具以賣方為受益人、金額為上述金額的不可撤銷信用證。信用證有效期限 180天。 The contracted price should be paid by irrevocable Letter of credit. The Buyer should issue the irrevocable L/C in favor of Seller amount to contracted price described as above. The validity

30、 period of the L/C should be before the date of June 30th, 2005. 4.3賣方在交貨時(shí)應(yīng)提交下列商業(yè)單據(jù)。4.3. The Seller should supply following business documents as delivery.A. 簽署的商業(yè)發(fā)票一式四份；（發(fā)票注明支付金額和價(jià)格單）； A. Signed commercial Invoice in quadruplicate. (Notice the amount pay for and Price List);B. 詳細(xì)的裝箱單正本一式四份（注明包裝重量、數(shù)

31、量和對(duì)應(yīng)的發(fā)票日期）；B. Detailed packing List in quadruplicate, noting the packing weight, No. and relevant date of Invoice;C按商業(yè)發(fā)票金額的110%投保一切險(xiǎn)，注明可以在印度尼西亞以合同貨幣理賠的全套保險(xiǎn)單據(jù)。C. Full set of Insurance Policy, covering all risk, amount 110% of value of commercial Invoice, notice that all insurance claim are payable in

32、 Indonesia in contracted currency; D. 由生產(chǎn)廠家簽發(fā)的品質(zhì)證明書(shū)正本一份，副本三份； D. Quality certificate issued by manufacturers in one original and three copies;. E由湖北省國(guó)際貿(mào)易促進(jìn)委員會(huì)簽發(fā)的原產(chǎn)地證正本一份，副本三份；E. Certificate of the Original issued by Hubei provincial CITPC in one original and three copies;F由湖北省商檢局簽發(fā)的包裝箱熏蒸證明正本一分，副本三份。

Certificate of Heat Treatment issued by Hubei provincial CCIQB in one original and three copies.4.4 在買方銀行發(fā)生的費(fèi)用由買方承擔(dān)，而發(fā)生在買方銀行以外的費(fèi)用均由賣方承擔(dān)。4.4 All the expenses occurred in the Buyer's bank is on the account of Buyer; all the expenses occurred out of the Buyer's bank is on the account of Sell

34、er. 第五章 交貨和保險(xiǎn) Clause 5:Delivery and Insurance5.1 賣方應(yīng)于收到信用證通知日后45天內(nèi)將本合同附件一的設(shè)備運(yùn)抵裝運(yùn)港裝船。5.1 The Seller should finish the delivery of whole of equipments of contracted items within 45 days from the date of acceptance of L/C. 5.2 本合同設(shè)備的總毛重大約為_(kāi)噸，凈重為_(kāi)噸，總體積大約為_(kāi)立方米。5.2 The total gross weight of the contracted

35、 equipments is in Tons, the total net weight of the contracted equipments is in Tons, the total volume of the contracted equipments is cubic meter.5.3 本合同設(shè)備的起運(yùn)港為上海港 ；卸貨港為雅加達(dá)港。5.3 The delivery port of the contracted equipments is Shanghai China. The unload port is Jakarta Indonesia. 5.4 合同設(shè)備保管如有特殊要求，

36、賣方應(yīng)提供英文說(shuō)明書(shū)一式六份，說(shuō)明在陸地運(yùn)輸和保管中的特別防范措施。5.4 If there are specific requirements in storage for contracted equipments, Seller should provide demonstrative documents in English in sixtuplicate, giving the specific protective procedure required for in inland transportation and storage.5.5 合同設(shè)備的裝船應(yīng)盡可能地單機(jī)成套，安裝用

37、的專用工具、材料、易損件應(yīng)隨主機(jī)一同交付，如果有通常裝在甲板上的設(shè)備和材料，賣方應(yīng)負(fù)責(zé)進(jìn)行適當(dāng)?shù)陌b及采取特殊的保護(hù)措施。5.5 The shipping for contracted equipment should be whole set for every single equipment if it is possible. The specific tools, materials and vulnerable parts should be delivery with main equipments. If there are equipments shipped in dock

38、 in usual, the Seller pack them in proper and in specific protective procedure.5.6 在設(shè)備備妥待運(yùn)前不遲于三天，賣方應(yīng)以傳真通知買方如下內(nèi)容：5.6 Not less than 3 days before the shipping date of equipment, the Seller should advise Buyer below information:A合同號(hào)；A. Contract No.B合同備妥待運(yùn)日；B. The date of equipment ready for shipping.C貨

39、物總體積；C. Total volume of every batch of equipment for shipping.D貨物總毛重/總包裝件數(shù)；D. Total gross weight/Total piece of packing.E裝船港口名稱:上海；E. The name of load port: Shanghai, China.F危險(xiǎn)品和/或易燃品的名稱、重量和國(guó)際危險(xiǎn)號(hào)； F. The name and international Nos. of danger and flammable. 5.7 賣方負(fù)責(zé)預(yù)訂船位，應(yīng)由賣方支付費(fèi)用對(duì)此予以保險(xiǎn)。 5.7 The Seller

40、 is responsible for booking ship and burden the freight and premium.5.8 為了方便接收和陸地運(yùn)輸，賣方應(yīng)在設(shè)備裝船后24小時(shí)內(nèi)，以傳真通知買方下列事項(xiàng)：合同號(hào)、合同設(shè)備名稱、實(shí)際裝貨數(shù)量、總的毛重、總的體積、船名、裝船完成日期或開(kāi)航日期、預(yù)計(jì)到達(dá)卸貨港日期。如果賣方實(shí)際裝船的合同設(shè)備件數(shù)與賣方前期的通知有差異，該差異應(yīng)分別說(shuō)明。 5.8 In order to facilitate the receipt and inland transportation, The Seller should inform Buyer in

41、 fax within 24 hour upon the finishing of shipping with information: contract Nos., the name of contracted equipments, actual quantity of delivery, total gross, the name vessel, the date of shipped and set sail, estimated arrival date at unload port. If there are deviation between actual the piece o

42、f contracted equipments and Sellers previous notice, these deviation should be given respectively Within 5 days after shipped, the Seller should airmail below documents each one to Buyer and consignee respectively: Bill of Lading, signed commercial invoice, manufacturer's the certificate of qual

43、ity, the certificate of origin, insurance policy/insurance certificate, packing List, etc.裝船后五天內(nèi)，賣方應(yīng)分別向買方和收貨人航寄提單、簽發(fā)的商業(yè)發(fā)票、廠家的質(zhì)量證書(shū)、產(chǎn)地證書(shū)、保單或保險(xiǎn)憑據(jù)和裝箱單等單據(jù)各一式一份。Within five days after loading, the Seller shall send B/L, commercial invoice with signature, certificate of quality from manufacturer, certifica

44、te of the original, insurance or evidence of insurance and packing list, etc. in one to Buyer and consignee separatively. 5.9 賣方應(yīng)向信譽(yù)卓著的保險(xiǎn)公司以買方為受益人按合同設(shè)備發(fā)票金額的110%投保一切險(xiǎn)。按合同金額投保，并表明可在印度尼西亞索賠。 5.9 The Seller should make insurance with good-reputed insurance company in favor of Buyer, covering all risks,

45、against 110% value of commercial invoice. The insurance should cover the value of contracted price, the insurance claim must be available in Indonesia in contract currency. No free clause for claim can't be included.第六章 包裝與標(biāo)記Clause 6: Packing and Labels6.1 除非合同另有規(guī)定，包裝應(yīng)由賣方負(fù)責(zé)。賣方交付的所有設(shè)備應(yīng)具有適合遠(yuǎn)洋和陸地運(yùn)輸

46、和多次搬運(yùn)、裝卸、新的、堅(jiān)固的木箱包裝，賣方應(yīng)根據(jù)設(shè)備的特點(diǎn)和需要采取防潮、防雨、防銹、防震、防腐蝕和防其它損害等必要的保護(hù)措施，以保證合同設(shè)備安全無(wú)損地運(yùn)抵工作現(xiàn)場(chǎng)。6.1 Provided other stipulated, the Seller is responsible for packing. All equipments supplied by Seller should packed with new, solid wooden case suitable for ocean and inland transportation , repeatedly transmit , l

47、oad and unload. According to the characteristic and requirement of these equipments, the Seller should take necessary protective measures of damp proof, rain-proof, rusty proof, shockproof, corrosion-proof and other measures, in order to convoy the all equipments into work sites without any damage.6

48、.2 賣方對(duì)包裝箱內(nèi)和捆內(nèi)的各散裝部件均應(yīng)系加標(biāo)簽，注明合同號(hào)、主機(jī)名稱、本部件名稱以及部件在散裝圖中的位號(hào)、零件號(hào)。備件和工具除注明上述內(nèi)容外，還需注明“備件”或“工具”字樣。 6.2 The Seller makes label on every bulk part inside of packing case and bundle, indicating the contract Nos., the name of main machine, the name of part, the position Nos. and Part Nos. in bulk diagram. Beside

49、s above label, the words of spare part or tools should be made on them in addition for spare parts and tools.6.3 賣方應(yīng)在每件包裝箱的鄰接四個(gè)側(cè)面上，用不褪色的油漆以明顯易見(jiàn)的英文字樣印刷以下標(biāo)記： 6.3 The Seller should print in evident English below marks, on the adjoining four side face of every packing case with fadeless paint:A合同號(hào)；A. 51、cal Documents:7.1 本合同附件二規(guī)定了技術(shù)文件的內(nèi)容。除非另有規(guī)定，技術(shù)文件應(yīng)采用公制，說(shuō)明和解釋采用英文。 7.1 The content of technical documents is as described in Annex 2, Annex 3 and Annex 4. Unless other stipulated, technical documents should be compiled in metric system. The note and description should be in English.7.2 賣方提供的技術(shù)文件，應(yīng)具有適合長(zhǎng)途

52、運(yùn)輸、多次搬運(yùn)、防潮和防雨的包裝，每包的封面上應(yīng)注明下列內(nèi)容： 7.2 All technical documents supplied by Seller should be packed in capable of line-haul, repeatedly transmit, rain-proof, damp proof. No. of case/No. of piece.每包技術(shù)文件應(yīng)附有技術(shù)文件的詳細(xì)清單一式二份，標(biāo)明技術(shù)文件的序號(hào)、代號(hào)、名稱和頁(yè)數(shù)。 Every parcel of technical documents should attach with detail list in duplicate, noting the serial Nos. code, name and quantity in page.7.3 在本合同附件二規(guī)定的時(shí)間內(nèi)，賣方應(yīng)以“DDU目的地機(jī)場(chǎng)”價(jià)格條件交付技術(shù)文
