1、機 器 設(shè) 備 采 購 一 般 條 款General Terms and Conditions for Machinery and Equipment Purchase(LS103 Version 3.0)1. 接受 Acceptance賣方已審閱了本條款，且同意賣方對本合同下的任何工作或效勞的書面接受或開始進行這些工作或效勞均僅構(gòu)成賣方對本條款的接受。賣方提出的有異于或附加于本條款的任何修改應(yīng)根據(jù)本條款第31條作出。Seller has read and understands these terms and conditions, and agrees that Sellers writt

2、en acceptance or commencement of any work or service under this contract shall constitute Sellers acceptance of these terms and conditions only. Any changes proposed by Seller which are different from or in addition to these terms and conditions shall be made in accordance with Paragraph 31.除買賣雙方另有書

3、面約定外，雙方同意本條款適用于雙方所簽訂的在合同附件中列明本條款的所有合同。Unless otherwise agreed in writing by the parties, the parties agree to apply these terms and conditions to all other contracts as long as these terms and conditions are referred to in the attachment by the parties.2. 裝運和交付Shipping and Delivery賣方同意：(a) 將按照買方和相關(guān)承

4、運人的要求對貨物適當(dāng)?shù)匕b、標(biāo)注及運輸以確保運輸費用為最低；對貨物的包裝應(yīng)當(dāng)適于長途運輸、防潮、防濕、防震、防銹、耐裝卸，以確保貨物免于受損，使之完好平安地交付給買方；(b) 按照買方的指示安排貨運路線；(c) 除非本合同中另行說明，將不收取貨物的裝卸費、包裝費、倉儲費、運輸費或拖運費；(d) 在每批裝運貨物的包裝標(biāo)簽上標(biāo)明買方的合同號及其啟運日期；(e) 為每箱貨物上適當(dāng)標(biāo)明合同號、廠家號、車間號及裝卸碼頭號，當(dāng)一次發(fā)運包含多箱貨物時，在每箱貨物上標(biāo)明系列號；(f) 按照買方指示和承運人的要求，迅速提交每批貨物的正本提單或其他裝運收據(jù)，以及所運輸貨物的正確分類識別號。每一貨包上的標(biāo)記和裝箱單

5、、提單和發(fā)票上的貨物標(biāo)注應(yīng)能使買方很容易地辯認(rèn)出所購貨物；(g當(dāng)指定的設(shè)備已完成及組裝，但發(fā)現(xiàn)為裝運和/或安裝確有必要拆卸時，各部件應(yīng)標(biāo)上嵌合符號以便于在工作場地的裝配。裝運時為防止在運輸過程中的破損與扭曲，各部件都應(yīng)相應(yīng)地系緊、捆好，裝運發(fā)票上應(yīng)顯示箱號、盒號；且h假設(shè)設(shè)備的裝卸需特別指導(dǎo)的，賣方應(yīng)在裝運之前通知買方，并且賣方代表應(yīng)參與整個裝卸過程并提供特別指導(dǎo)。Seller agrees: (a) to properly pack, mark and ship goods in accordance with the requirements of Buyer and involved c

6、arriers in a manner to secure the lowest transportation cost; packaging shall be suitable for long-distance transport, moistureproof, waterproof, shockproof, rustproof, resistant to rough loading and unloading, so as to prevent the goods from being damaged and cause the goods to be delivered properl

7、y to Buyer; (b) to route shipments in accordance with instructions of Buyer; (c) to make no charge for handling, packaging, storage, transportation or drayage of goods unless otherwise stated in this contract; (d) to provide with each shipment packing slips with Buyers contract number and Shipment D

8、ate marked thereon; (e) to properly mark each package with the contract number, the factory, plant and dock number, and, where multiple packages comprise a single shipment, to consecutively number each package; (f) to promptly forward the original bill of lading or other shipping receipts, correct c

9、lassification identification of the goods shipped in accordance with Buyers instructions and carriers requirements. The marks on each package and identification of the goods on packing slips, bills of lading and invoices shall be sufficient to enable Buyer to easily identify the goods purchased; (g)

10、 upon completion and assembly of the equipment specified if it is found necessary for shipping and/or installation purposes to disassemble the said equipment, the parts shall be match-marked to facilitate installation on site. Units shall be suitably braced and packed for shipping to prevent breakag

11、e and distortion while in transit. Shipping invoices shall show the crate, box or carton identification number; and (h) Seller shall notify the Buyer of any special instructions for unloading the equipment prior to its shipment and when special instructions are provided, the Sellers representative s

12、hall be present during the unloading activities.交付應(yīng)按照買方交付要求中所規(guī)定的數(shù)量和時間進行。對于發(fā)運給買方的超過買方交付要求中指定數(shù)量的貨物，賣方不得要求買方付款。買方可改變預(yù)定的發(fā)運頻率或臨時指示暫停預(yù)定的發(fā)運，在此兩種情況下，賣方承諾不改變本合同項下貨物或效勞價格和數(shù)量。對于數(shù)量和/或交付日期未確定的合同，賣方應(yīng)按照買方在此后發(fā)出的有關(guān)數(shù)量和時間的指示交付。Deliveries shall be made both in quantities and at times specified in Buyers delivery requir

13、ements. Buyer shall not be required to make payment for goods delivered to Buyer which are in excess of quantities specified in Buyers delivery requirements. Buyer may change the rate of scheduled shipments or direct temporary suspension of scheduled shipments, neither of which shall entitle Seller

14、to a modification of the price for goods or services and its quantities covered by this contract. For contracts of goods or services where quantities and/or delivery schedules are not specified, Seller shall deliver goods in such quantities and times as Buyer may direct in subsequent releases.假設(shè)因賣方原

15、因而無法實現(xiàn)買方的交付要求，買方有權(quán)：(a) 自行選擇運輸效勞提供商并采取比原定方式更加快捷方式進行運輸，上述運輸費用由賣方承當(dāng)，買方有權(quán)從支付賣方發(fā)票金額中扣除此金額；或要求賣方以可能到達的最快速度發(fā)運貨物，并由賣方承當(dāng)費用。在上述情況下，買方有權(quán)向賣方按貨物或效勞延誤交付數(shù)量的總值每天收取相等于千分之三(3)的違約金，最高為合同總值的百分之五(5%); (b) 解除合同并通過其他渠道購置貨物或效勞，并向賣方收取該替代產(chǎn)品或效勞與合同貨物或效勞價格的差額和額外費用，并有權(quán)向賣方按貨物或效勞延誤交付的總值每日收取相等于千分之三(3)的違約金，最高為合同總值的百分之五(5%)。If Seller

16、s acts and/or omissions result in Sellers failure to meet Buyers delivery requirements, Buyer shall have the right to: (a) choose the transportation service provider and require a more expeditious method of transportation for goods than the transporting method originally specified by Buyer; the tran

17、sportation expense otherwise incurred by Buyer shall be borne by Seller and Buyer shall be entitled to deducting such amount upon its payment to Seller, or shipping the goods as expeditiously as possible at Sellers expense; under the circumstance aforesaid, Buyer is entitled to charging Seller a dai

18、ly penalty equal to three-tenth percent (3) of the total amount of the goods or services delayed, up to the limit of five percent (5%) of the total amount of the contract; (b) terminate the contract and order the goods or services from an alternative source, and to charge the difference or additiona

19、l cost between the alternative goods or services and the contract goods or services; and Buyer is entitled to charging the Seller a daily penalty equal to three-tenth percent (3) of the total amount of the goods or services delayed, up to the limit of five percent (5%) of the total amount of the con

20、tract. 3. 單據(jù)和付款 Billing and Payment賣方同意：(a) 向買方出具符合買方要求的發(fā)票作為要求買方付款的憑證；(b) 接受以支票或由買方?jīng)Q定的其他付款方式包括電匯付款。除非本合同正面有特別注明的付款日期，付款日期根據(jù)賣方是否是中國商業(yè)實體而有所不同。對中國商業(yè)實體的賣方而言，付款日應(yīng)為買方收到符合買方要求格式的發(fā)票后的下一個月的第二十五日(“ZNA1)，賣方應(yīng)在交付貨物或完成效勞后如合同規(guī)定賣方有義務(wù)提供貨物安裝時，那么在貨物安裝完成且買方最終驗收合格后，立即向買方提交發(fā)票。對國外商業(yè)實體的賣方而言，合同總金額90的款項以信用證形式支付且付款日應(yīng)為發(fā)運日后的第二個

21、日歷月的MNS結(jié)算日“MNS2，剩余10的款項以電匯MNS2支付；盡管存在上述規(guī)定，對電匯MNS2而言，買方在收到貨物或效勞或賣方完成貨物安裝，且買方在最終驗收合格之前有權(quán)不予付款。賣方應(yīng)當(dāng)通過國際接受的快遞效勞商向買方送達發(fā)票的原件，以確保買方在發(fā)運日后第一個月的第七7個日歷日前收到上述發(fā)票，以便買方付款。假設(shè)賣方未能在上述期限將符合買方要求的發(fā)票送達買方，那么買方有權(quán)將付款時間予以順延。在本第3條中，“發(fā)票日 指賣方開具正確發(fā)票的日期；“發(fā)運日 指清潔提單或空運單上定義的貨物在出口港或者出口機場的發(fā)運日(發(fā)運日與發(fā)票日應(yīng)當(dāng)相同或者兩者相差不超過三(3)個日歷日)；及“MNS結(jié)算日指根據(jù)買方

22、的多邊結(jié)算系統(tǒng)和中國的銀行工作日而預(yù)先決定的每月一天的結(jié)算日。MNS結(jié)算日將以附件的形式附于本合同之后或者由買方在每個日歷年之前決定并提供給賣方。Seller agrees to: (a) issue to Buyer an invoice that is in compliance with Buyers requirements as an evidence of billing Buyer to make payment; (b) accept payment by check or, at Buyers discretion, other cash equivalent (includ

23、ing electronic transfer of funds). Unless otherwise set forth on the face side of this contract, the payment dates shall be different depending on whether Seller is a Chinese business entity or not. If Seller is a Chinese business entity, payment to Seller will be made on the 25th day of the month f

24、ollowing Buyers receipt of a proper invoice (“ZNA1); Seller shall render invoices immediately to Buyer in accordance with the requirement after delivery of goods or completion of service (if the Contract requires Seller to provide installation services, after completion of installation by Seller and

25、 the inspection by Buyer). If Seller is not a Chinese business entity, 90% by L/C on MNS Settlement Date in the second month following the date of shipment, 10% by T/T MNS2payment to Seller will be made on the MNS Settlement Date in the second month after Shipment Date (MNS2); As to MNS2, notwithsta

26、nding the aforesaid stipulations, Buyer is entitled to withholding payment prior to receiving goods or service or before Sellers completion of goods installation passing buyers inspection. Seller will send a copy of the original invoice via internationally accepted courier services to Buyer no later

27、 than the 7th day of the first month following Shipment Date to facilitate prompt payment by Buyer, and if Seller fails to deliver the proper invoice within the period aforesaid, Buyer shall have the right to delay the payment date accordingly. For purposes of this Paragraph 3, “Invoice Issuing Date

28、 means the date that Seller issues correct invoice; “Shipment Date means the date when the goods are shipped as defined in the clean bill of lading or airway bill at the port or airport of export, as the case may be (the Shipment Date and the Invoice Issuing Date shall be identical or the gap betwee

29、n the Shipment Date and the Invoice Issuing Date shall not be more than three (3) calendar days); and “MNS Settlement Date shall mean predetermined date once a month based on Buyers Multilateral Netting System and working days of banks in China. A list of dates for the MNS Settlement Date is attache

30、d hereto as Schedule or will be determined and provided by Buyer prior to the start of each calendar year.買方對貨物或效勞的付款不構(gòu)成對該貨物或效勞質(zhì)量的認(rèn)可。假設(shè)第三方對本合同項下的貨物或效勞主張留置、負(fù)債或者其他權(quán)利的，買方有權(quán)拒絕付款并有權(quán)要求賣方出具符合買方要求的擔(dān)保或者保證。Buyers payment for the goods or services shall not be construed as endorsement of the quality of goods o

31、r services. If any third party declares any liens, encumbrances and claims upon the goods or services of the contract, Buyer is entitled to withholding payment and requiring any warranties or representations provided by Seller in accordance with Buyers requirements.4. 效勞質(zhì)量和檢查 Quality of Workmanship/

32、Inspection賣方同意為符合買方最大利益而采用有效的、經(jīng)濟的方法及時地、勤勉地工作，以期到達買方合理的滿意程度。賣方同意使用最優(yōu)秀的技能和建議、按最高的工程專業(yè)規(guī)格、標(biāo)準(zhǔn)和規(guī)那么提供所有效勞。賣方同意對于那些買方有正當(dāng)理由認(rèn)為不符合前述標(biāo)準(zhǔn)的工作免費為買方重作。 Seller agrees to perform work timely, diligently and to the reasonable satisfaction of Buyer in an efficient and economical manner consistent with the best interests

33、 of Buyer. Seller shall use its best skills and judgment and shall perform all services in accordance with the highest engineering professional standards, codes and regulations. Seller agrees to re-do, at no charge to Buyer, any work which in the reasonable opinion of Buyer does not meet the foregoi

34、ng standard.賣方同意，買方有權(quán)在適當(dāng)?shù)臅r間進入賣方場所，對本合同所涵蓋的設(shè)施、貨物、材料和任何買方的財產(chǎn)進行檢查。買方對制造中、交付前或交付后的一段合理時間內(nèi)的貨物進行檢查，不應(yīng)構(gòu)成買方對任何在制品或制成品的接受。Seller agrees that Buyer shall have the right to enter Sellers facility at reasonable time to inspect the facility, goods, materials and any property of Buyer covered by this contract. Bu

35、yers inspection of the goods, whether during manufacture, prior to delivery or within a reasonable time after delivery, shall not constitute acceptance of any work-in-process or finished goods.5指導(dǎo)手冊、安裝調(diào)試和運行測試、軟件系統(tǒng)Instruction Manual, Installation Adjustment and Performance Test, Software System賣方應(yīng)按要求

36、提供給買方完整的書面指導(dǎo)操作手冊；內(nèi)容包括按規(guī)格說明書對所提供的全部設(shè)備進行合理操作和維修的要求。指導(dǎo)手冊應(yīng)包括但不限于以下內(nèi)容：(a)系統(tǒng)描述；(b)安裝和運行指導(dǎo)；(c)所有設(shè)備的維護、保養(yǎng)與修理要求；(d)監(jiān)控和調(diào)試；(e)部件清單；和(f)系統(tǒng)電路圖。整套指導(dǎo)手冊應(yīng)在最后付款前交送給買方。指導(dǎo)手冊中應(yīng)包括所購設(shè)備的建議性備用零件單。Seller shall be required to provide to Buyer complete sets of instruction manuals covering the proper operation and maintenance r

37、equirements of all equipment furnished under the Specification. Instruction manuals shall essentially consist of but not limited to the following sections: (a) description of system; (b) installation and operating instruction; (c) maintenance, keepingand repair requirements for all equipment; (d) co

38、ntrols and adjustments; (e) parts lists; and (f) system electrical wiring diagrams. Instruction manuals must be submitted to Buyer prior to final payment. A recommended spare parts list of the ordered equipment shall be included in the instruction manuals.除本合同另有約定外，賣方應(yīng)提供合格且有經(jīng)驗的專業(yè)工程師負(fù)責(zé)進行本合同項下貨物的安裝和調(diào)試

39、。如有必要，安裝和調(diào)試完畢后，買賣雙方應(yīng)當(dāng)共同對貨物進行運行測試，賣方應(yīng)當(dāng)根據(jù)實際運行測試情況對貨物作出相應(yīng)調(diào)整，以使貨物在實際情況下能進行最有效的運行。在符合貨物所設(shè)計的工作環(huán)境和條件下，賣方應(yīng)保證貨物的正常運行，使其到達合同中所明確的性能水平。除非本合同另有約定，賣方不向買方另行收取貨物安裝、調(diào)試和運行測試的任何費用包括但不限于人員效勞費用、差旅費用等。在貨物安裝、調(diào)試和運行測試的過程中，賣方人員應(yīng)當(dāng)遵守有關(guān)操作規(guī)程和買方的平安管理要求，如果出現(xiàn)任何意外事件，應(yīng)當(dāng)按照本條款第22條的規(guī)定執(zhí)行。Unless provided for in the contract, the delivere

40、d equipment under the contract will be installed and adjusted under the direction of the Seller qualified and experienced field start-up engineer. If necessary, after installation and adjustment, both Buyer and Seller should conduct performance tests for the goods. Seller shall make adjustments to t

41、he goods according to the actual condition of performance tests so as to optimize goods operation under the actual condition. Under the working environment and conditions in conformity with what goods are designed for, Seller shall ensure goods normal performance in order to match their capability l

42、evel defined in the contract. Unless provided for in the contract, Seller will not separately charge Buyer any expenses related to goods installation, adjustment and performance test (including but not limited to personnel service expenses, traveling expenses, etc.) In the process of goods installat

43、ion, adjustment and performance test, Seller should comply with related operational procedure and Buyers security management requirements. If there is any accident, Paragraph 22 should be applied. 如果賣方所提供的機器設(shè)備中帶有軟件系統(tǒng)的，該軟件系統(tǒng)應(yīng)視為本合同項下貨物的組成局部，并適用本合同項下所有條款。為了確保機器設(shè)備的正常運行，賣方應(yīng)當(dāng)保證該軟件系統(tǒng)在機器設(shè)備的整個壽命周期內(nèi)能夠正常使用。如果軟

44、件系統(tǒng)并非由于買方的過錯而出現(xiàn)任何故障的，無論是否在貨物的質(zhì)量保證期內(nèi)，賣方均有義務(wù)到機器設(shè)備所在地免費為買方進行軟件系統(tǒng)的修復(fù)或重裝。鑒于，軟件系統(tǒng)與機器設(shè)備的不可分割性，賣方許可買方在機器設(shè)備報廢之前對其中的軟件系統(tǒng)擁有全球的、免費的、不可撤銷的非獨占使用權(quán)。如果賣方在向買方銷售機器設(shè)備后，自行對該類機器設(shè)備的軟件系統(tǒng)進行升級的，那么應(yīng)當(dāng)及時通知買方。但無論賣方是否自行對機器設(shè)備的軟件系統(tǒng)進行升級，應(yīng)買方的合理需求，賣方都應(yīng)當(dāng)為買方提供機器設(shè)備軟件系統(tǒng)的升級效勞，有關(guān)機器設(shè)備軟件系統(tǒng)升級產(chǎn)生的費用由雙方另行協(xié)商。If machinery and equipment provided by

45、Seller are equipped with software system, the software system should be considered the goods under the contract and all terms and conditions under the contract shall be equally appliable thereto. To ensure the proper operation of the machinery and equipment, Seller shall make sure that the software

46、system works properly through the whole life cycle of the machinery and equipment. If the software system suffers malfunction without Buyers fault, whether in the warranty period of goods or not, Seller has the obligation to repair or reinstall the software system in the machinery and equipment for

47、Buyer free of charge. In consideration of non-severability between the software system and machinery and equipment, Seller shall grant worldwide, royalty free, irrevocable, non-exclusive using rights for the software system thereof to Buyer before discarding the machinery and equipment. If Seller ca

48、n upgrade the software system of the machinery and equipment at its own discretion after selling the machinery and equipment to Buyer, Seller shall give timely notice to Buyer; provided, however, that whether Seller upgrades the software system of the machinery and equipment at its own discretion or

49、 not, per Buyers reasonable requirements, Seller should provide upgrading service of the software system in the machinery and equipment for Buyer, and expenses arising from upgrading service of the software system in the machinery and equipment will be negotiated by the Parties separately.6效勞和替換零件Ma

51、m) and have the obligation to give guidance to Buyer to conduct proper maintenance and repair.在機器設(shè)備的整個壽命周期內(nèi)，賣方有義務(wù)提供替換零件，以保證本合同項下機器設(shè)備零件的及時維修和替換。在機器設(shè)備的質(zhì)量保證期內(nèi)，如果機器設(shè)備的零件出現(xiàn)任何質(zhì)量問題，賣方應(yīng)當(dāng)免費為買方進行修理或更換，重新更換后的零件的質(zhì)保期應(yīng)當(dāng)自更換之日起重新開始計算。零件修理或更換兩次仍不能正常使用的，賣方應(yīng)當(dāng)按發(fā)票價格一次退還貨款。Within the whole life cycle of the machinery and

52、 equipment, Seller has the obligation to provide spare parts to ensure timely repair and replacement for parts of the machinery and equipment. During the warranty period, if the machinery and equipment incurs any quality problems, Seller should carry out repairs or provide replacement for Buyer free

53、 of charge. The warranty period of the replaced parts should be restarted from the part replacing date. In case that the parts cannot be used after two times repair or replacement, Seller shall reimburse Buyer in accordance with the invoice price.本條款中有關(guān)效勞和替換零件的質(zhì)量保證，雙方同意按照本條款第7條的規(guī)定執(zhí)行。Parties agree to

54、 carry out quality guarantee in this Paragraph 6 related to service and replaced parts in accordance with those set out in Paragraph 7.7. 保證 Warranty賣方明確保證，本合同項下的所有貨物或效勞均符合提供給買方或買方提供的規(guī)格、圖紙、樣品或說明，以及法律法規(guī)的規(guī)定，包括但不限于：國家標(biāo)準(zhǔn)、行業(yè)標(biāo)準(zhǔn)、地方性標(biāo)準(zhǔn)，并可以合法出售，具有良好材質(zhì)和工藝，沒有瑕疵。此外，賣方確認(rèn)其了解買方的用途，并明確保證根據(jù)買方申明的用途由賣方選擇、設(shè)計、制造或組裝的本合同項

56、ons furnished to or by Buyer, the laws and regulations including, but not limited to, the national standards, trade standards and local standards, and will be legally merchantable, of good material and workmanship and free from defect. In addition, Seller acknowledges that Seller knows of Buyers int

57、ended use and expressly warrants that all goods covered by this contract which have been selected, designed, manufactured, or assembled by Seller, base upon Buyers stated use, will be fit and sufficient for the particular purposes intended by Buyer. Seller shall provide a warranty period which is co

58、nformed to applicable law or industry regulation. If Seller offers a longer warranty to Buyer than the laws or regulations, such longer period shall apply. Seller shall take measures such as repairing, remaking, replacing or withdrawing to ensure the goods or services under the contract as may be ne
