法律顧問合同

2、ngtoaccepttheconsignmentandprovidelongtermlegalcounselingservice.Afterfriendlynegotiation,thepartiesagreedtothefollowingtermsandconditionsontheconsigning.第一條：Article 1意向及總則Intentionandgeneralprinciple甲方同意聘請乙方作為常年法律顧問，乙方同意接受甲方聘請?zhí)峁┏Ｄ攴深檰柗?wù)。PartyAagreestoassignPartyBasitslong-termlawconsultant,andParty

3、Biswillingtoaccepttheconsignmentandprovidelong-termlegalcounselingservice.第二條：顧問律師Article 2 Consultinglawyers乙方指派以黃海栩律師為主體的顧問組擔任甲方之按照第一條所確定常年法律顧問。同時，因應(yīng)甲方的法律事務(wù)，乙方得以安排相應(yīng)的專業(yè)律師為甲方提供法律服務(wù)，維護甲方合法權(quán)益，甲方接受乙方指派之律師。ThePartyBassignLawyerHaixiangHuangasleadingroleintheconsultantgrouptoprovidelong-termcounselingse

5、17年6月21日始至2019年6月20日止。BothpartiesagreethattheconsignmentperiodistwoyearsfromJune21,2017toJune20,2019.Theagreementwillterminateafterexpiration.第四條：乙方職責Article 4 ResponsibilityofPartyB1:為甲方的日常業(yè)務(wù)提供法律咨詢及法律依據(jù)，具體包括：PartyBshallprovidePartyAwithlegalcounselingandlegalrationaleforitscurrentundertaking,specif

6、icallyincluding:A、為甲方起草、審查、修改各類法律文書；Draft,reviewandamendanykindoflegaldocuments.R根據(jù)甲方的經(jīng)濟、商務(wù)談判，為甲方完善各類常用格式合同；ImproveandperfectanykindofcommonstandardformofcontractonthebasisofPartyAseconomicandcommercialnegotiation.G為甲方事務(wù)出具法律意見書、律師函、律師聲明等文件；ProvidePartyAwithlegaladvisorypaper,lawyersletterandcounseli

7、ngstatementsandotherdocumentsforPartyAsaffairs.DX為甲方的經(jīng)營管理決策提供法律論證；ProvidePartyAwithlegalargumentforPartyAsmanagerialdecision-making.E、為甲方進行必要的法律輔導；ProvidePartyAwithnecessarylegaltutoring.F、協(xié)助甲方處理勞資關(guān)系。AssistPartyAwithLaborRelations.2：根據(jù)甲方的另外授權(quán)委托代理甲方參加各類糾紛的協(xié)商、調(diào)解、訴訟、仲裁；AccordingtoPartyAsadditionalautho

8、rizationdelegation,PartyBshallparticipateinnegotiation,mediation,litigationandarbitrationofallkindsofdisputes.3：根據(jù)甲方的另外授權(quán)委托對甲方重大商務(wù)行為或者項目提供法律服務(wù)。AccordingtoPartyAsadditionalauthorizationdelegation,PartyBshallprovidelegalservicestoPartyAsmajorbusinessactivitiesorprojects.第五條：甲方責任Article 5Responsibility

9、ofPartyA1、甲方應(yīng)當如實向乙方提供有關(guān)文件、資料以及反映其他情況，甲方必須確保所提供文件、資料、信息的真實性，如因甲方故意或過失向乙方提供虛假文件、資料，或故意隱瞞有關(guān)事實，而導致乙方無法作出正確的口頭或者書面法律意見，由此所造成的損失，均由甲方承擔。PartyAshallprovidePartyBwithrelevantauthenticfiles,documentsandreflectothersituationsaccurately.PartyAshallensurethatallfiles,documentsandinformationareinaccordancewithth

10、efact.IfPartyAhasintentionallyornegligentlyprovidedfalsedocuments,information,orintentionallyconcealedthefactstoPartyB,whichcausesPartyBunabletomakecorrectoralorwrittenlegaladvice,PartyAshallbearthecorrespondingeconomiclossbyitself.2、為乙方開展工作提供必要的條件與協(xié)助。ProvidePartyBwithnecessaryconditionsandassistanc

11、eforPartyBdoingitsjob.3、如期如數(shù)支付法律顧問費用及應(yīng)由甲方承擔的法律事務(wù)開支。Shallmakepaymentoflegaladviserfeeasscheduledandinexactamount,andbearthelegalexpensesincurredbyPartyA.第六條：法律顧問費用Article 6Legal consultant fees1、甲乙雙方同意，就本次甲方聘請乙方作為常年法律顧問，甲方應(yīng)當向乙方支付的顧問費用為每年人民幣壹萬肆仟元(RMB14,000)。InthisAgreement,PartyAagreestoassignPartyBas

12、itslong-termlawconsultant,bothpartiesagreethatPartyAshallpayRMB14,000toPartyBfortheconsultantfeeeveryyear.2、前述年度費用自本合同書簽署之時給付。TheaforementionedannualfeeshallbepaidfromthetimeofsigningofthisAgreement.3、如乙方應(yīng)甲方的要求指派律師參與訴訟、仲裁或者重大商務(wù)行為、項目提供法律服務(wù)時，乙方按照律師協(xié)會有關(guān)規(guī)定另行優(yōu)惠收費。IfPartyBisrequiredtoassignalawyertopartic

13、ipateinlitigation,arbitrationormajorbusinessconductandprojectandprovidelegalservices,PartyBshallchargeextrafeesaccordingtotherelevantpreferentialprovisionsofthebarassociation.4、發(fā)律師函、調(diào)查取證等涉及行政機關(guān)收費、快遞費用，由甲方承擔。PartyAshallbearthefeesonsendinglawyersletter,investigatingandcollectingevidenceandanyotherpay

14、mentsrelatedtoadministrationfeesandpostalfees,etc.5、甲方每筆單項業(yè)務(wù)費用，由雙方根據(jù)實際情況另行協(xié)商。TheindividualbusinessexpensesofPartyAshallbenegotiatedseparatelybythetwopartiesaccordingtotheactualsituation.第七條：Article 7第八條：Article 8有關(guān)乙方失職責任NegligenceliabilityofPartyB乙方應(yīng)對其所出具的書面法律意見的正確性負責，如因乙方出具的書面法律意見缺乏正確性而導致甲方?jīng)Q策失誤，乙方對

15、由此所造成的甲方損失，應(yīng)當承擔賠償責任。PartyBshallberesponsiblefortheaccuracyofthewrittenlegaladvicethatitprovides.PartyBshallbeliableforanylosscausedbyPartyBduetothelackofcorrectnessinPartyAswrittenlegalopinion.乙方律師在擔任法律顧問期間，如未能勤勉盡責、嚴密謹慎地忠實履行職責的，甲方有權(quán)提前終止本合同。PartyBshallhavetherighttoterminatethiscontractinadvanceifhef

16、ailstoperformhisdutieswithduediligence,strictandprudentfulfillmentofhisdutiesduringhistermofofficeaslegaladviser.乙方工作地點及方式PartyBsworklocationandmodeofwork乙方律師的辦公地點在乙方法定地址辦公。PartyBsofficeislocatedatthelegaladdressofPartyB.第九條Article9保密責任Confidentialityobligations雙方同意，在本次項目進行過程中，除非權(quán)利方同意，任何一方不得將因為履行本合同

17、所獲得的關(guān)于對方的任何信息、資料、數(shù)據(jù)或者其他商業(yè)秘密，以及甲方從乙方獲得的且乙方已經(jīng)作出聲明限制使用的任何專業(yè)意見（無論書面的或者口頭的）對無關(guān)人員泄露。Intheprocessofthisproject,bothpartiesreachanagreementthat,withouttheconsentfromeitherparty,neitherpartyshalldisclosetoanythirdPartyorirrespectivepersonsanyinformation,documents,dataorotherbusinesssecretsofeitherpartygained

18、duringtheexecutionoftheagreements.Meanwhileanykindofprofessionaladvice(oralorwritten)thatPartyBhasmadeastatementrequestingrestrictedusagesof,whichisobtainedbyPartyA,shallnotbedisclosedtoanyirrespectivepersons.第十條Article10爭議解決及補充協(xié)議Disputesettlementandsupplementaryagreement雙方應(yīng)當友好協(xié)商，協(xié)商不成時任何一方均可以向中山市有管轄

19、權(quán)的法院提起訴訟解決。Anydisputesarisingduringtheexecutionoftheagreementshallbesettledthroughfriendlynegotiationbybothparties.Ifthedisputesarenotsettledbymutualagreement,eitherpartymayinstitutelegalproceedingsinthecourtsinZhongshan,whichownsjurisdictionovertheparties.甲乙雙方在執(zhí)行本合同書過程中如果發(fā)現(xiàn)需要對有關(guān)事項作出補充時，在征得雙方同意之后可以訂立補充協(xié)議。IntheprocessofcarryingoutthisAgreement,ifitisfoundthattherelevantmattersneedtobeadded,asupplementaryagreementmaybemadewiththeconsentofbothparties.第十一條Article11生效及其他Validityandothers本合同的訂立、生效、解釋、履行、爭議的解
